1 Oggetto / Subject Condizioni Generali di Vendita/ General Terms and Conditions of Sale Rif./ Ref Data / Date 11/12/ OGGETTO E AMBITO DI APPLICAZIONE DELLE PRESENTI CONDIZIONI GENERALI Le presenti condizioni generali disciplinano tutti gli attuali e futuri rapporti contrattuali tra le parti relativi alla fornitura di componenti, attrezzature, impianti oleoidraulici e pneumatici. Esse devono essere coordinate con le condizioni speciali eventualmente concordate per iscritto dalle parti o inserite nella conferma scritta del Fornitore di accettazione dell ordine A meno che non siano state specificamente approvate per iscritto dal Fornitore dovranno, invece, ritenersi prive di effetto le condizioni generali o speciali difformi riportate o richiamate dal Cliente nelle sue comunicazioni al Fornitore L eventuale richiesta di modifica ordine già confermato, pervenuta oltre cinque (5) giorni lavorativi dall emissione della conferma d ordine, comporta l applicazione a carico del Cliente dell Onere per la gestione servizio modifica ordine, quantificato in 70,00 Euro, anche in caso di successiva impossibilità da parte del Fornitore di esecuzione della modifica richiesta L ordine confermato dal Fornitore è irrevocabile per il Cliente oltrepassati cinque (5) giorni lavorativi dall emissione della conferma d ordine. Resta salva la facoltà del Fornitore di accettare la richiesta di annullamento dell ordine, in tal caso sarà addebitato al Cliente l Onere a titolo di risarcimento, quantificato in almeno il 10% del totale ammontare dell ordine con un minimo di 150,00 Euro. 2 - FORMAZIONE DEL CONTRATTO Gli ordini effettuati dal Cliente non s intendono accettati finché non siano stati confermati per iscritto dal Fornitore. Nel caso in cui il Fornitore non provveda alla conferma per iscritto di un ordine negoziato verbalmente, l emissione della fattura da parte del Fornitore oppure l esecuzione dell ordine da parte del Cliente sarà considerata quale conferma. Per ordini di importo netto inferiore a 700,00 Euro per singola fattura e spedizione, saranno applicate le spese amministrative quantificate in 70,00 Euro. Importo minimo fatturabile 300,00 Euro Le quotazioni ed offerte rimarranno in vigore per un periodo di tempo di 30 giorni dalla data di emissione, salvo diversa conferma scritta del Fornitore. Il Fornitore comunque si riserva il diritto di annullare o rivedere le quotazioni ed offerte in qualunque momento prima della emissione della conferma scritta di accettazione dell'ordine Eventuali offerte del Fornitore si considerano valide limitatamente al periodo di tempo indicato sulle medesime ed esclusivamente per l integrale fornitura di quanto nelle stesse quotato I prezzi dei prodotti non sono comprensivi di IVA, che deve essere corrisposta al momento della consegna o in conformità alle specifiche disposizioni indicate nella fattura. A meno che non sia diversamente precisato, tutti i prezzi indicati in qualsivoglia documento o corrispondenza emessi dal Fornitore si intendono non comprensivi dei costi di imballaggio e di trasporto, né degli oneri accessori indicati nel catalogo del Fornitore in vigore al momento della conclusione del contratto. Le imposte, bolli, spese doganali ed ogni altro onere aggiuntivo non sono compresi nei prezzi. Salvo una qualunque esenzione, tali costi ed oneri saranno pagati dal Cliente e se eventualmente pagati del Fornitore, il loro ammontare sarà fatturato al Cliente in aggiunta ai prezzi quotati. I prezzi possono essere soggetti a correzioni dovute ad eventuali errori di stampa. 3 - DATI TECNICI, DISEGNI, DOCUMENTI INERENTI LA FORNITURA I dati e le illustrazioni risultanti dai cataloghi, prospetti, circolari o altri documenti illustrativi del Fornitore hanno carattere indicativo. Questi dati non hanno valore impegnativo se non espressamente menzionati come tali nella conferma d ordine del Fornitore. 1

2 3.2 - Il Fornitore si riserva la facoltà di apportare in qualunque momento ai propri prodotti le modifiche che ritenesse convenienti, dandone notizia al Cliente se interessano l installazione Qualora il Cliente proponesse delle modifiche ai prodotti, affinché le medesime divengano di obbligatoria esecuzione, dovrà esistere pieno accordo scritto tra le parti sulle variazioni che tali modifiche dovessero occasionare sui prezzi e sui periodi di consegna precedentemente stabiliti. I prezzi potranno inoltre subire variazioni qualora le quantità ordinate vengano ridotte o venga richiesta una consegna più sollecita rispetto a quanto già concordato Salvo patto contrario le forniture si intendono per merce resa Franco Fabbrica, senza imballaggio Con la rimessione dei materiali al Cliente o al vettore il Fornitore si libera dell obbligo di consegna e tutti i rischi sui materiali stessi passano al Cliente anche nel caso in cui il Fornitore sia incaricato della spedizione o del montaggio in opera I termini di consegna hanno carattere indicativo e si computano a settimane lavorative Il Cliente s impegna espressamente a non far uso, per ragioni diverse da quelle previste nel contratto di fornitura, dei disegni, delle informazioni tecniche e dei ritrovati relativi alla fornitura, che restano di proprietà del Fornitore e che il Cliente non può consegnare a terzi né riprodurre senza autorizzazione scritta Se non diversamente pattuito dalle parti, essi iniziano a decorrere dal momento della conclusione del contratto, a meno che il Cliente non debba corrispondere parte del prezzo a titolo di acconto, perché allora la decorrenza dei termini è sospesa fintantoché non vi abbia provveduto Il Cliente è tenuto ad informare il Fornitore, in fase precontrattuale, dell esistenza di eventuali normative particolari da rispettare nel Paese di destinazione finale della merce da fornire. 4 - ESCLUSIONI Salvo diverso accordo scritto, non sono compresi nella fornitura il progetto del sistema, l installazione delle apparecchiature fornite, specifici collaudi, manuali e corsi di addestramento, assistenza all avviamento e tutte le prestazioni e gli oneri non menzionati nella conferma scritta del Fornitore di accettazione dell ordine I termini di consegna si intendono prolungati di diritto: 1) qualora il Cliente non fornisca in tempo utile i dati o i materiali necessari alla fornitura o richieda delle varianti in corso di esecuzione o, ancora, ritardi nel rispondere alla richiesta di approvazione dei disegni o degli schemi esecutivi; 2) qualora cause indipendenti dalla buona volontà e diligenza del Fornitore, ivi compresi ritardi di subfornitori, impediscano o rendano eccessivamente onerosa la consegna nei termini stabiliti Nel caso in cui il Cliente non sia in regola con i pagamenti relativi ad altre forniture la decorrenza dei termini è sospesa ed il Fornitore può ritardare le consegne fintantoché il Cliente non abbia corrisposto le somme dovute Analogamente i costi di imballaggio, le imposte, i bolli, le spese doganali, i dazi ed ogni altro onere aggiuntivo non sono compresi nei prezzi se non risulta altrimenti dalla conferma scritta del Fornitore di accettazione dell ordine. 5 CONSEGNE Nel caso in cui il Cliente non effettui il pagamento nei termini e secondo le modalità indicate dal Fornitore o nel caso in cui l attività dell acquirente sia condotta non in conformità al corso ordinario degli affari, con ciò intendendosi, senza alcuna limitazione, l emissione di atti di sequestro o di protesti, o quando i pagamenti siano stati ritardati o siano state richieste o promosse procedure concorsuali, il Fornitore ha il diritto, a propria discrezione, di sospendere o di cancellare

3 ulteriori consegne e di dichiarare qualsiasi pretesa derivante dal rapporto d affari come immediatamente esigibile. Inoltre il Fornitore può in tali casi richiedere anticipi sui pagamenti o un deposito in garanzia. I beni presenti in fattura rimangono di proprietà del Fornitore fintantoché il pagamento non sia interamente pervenuto In aggiunta agli altri rimedi consentiti dalla legge applicabile o dalle presenti Condizioni Generali di Vendita, il Fornitore si riserva il diritto di applicare interessi di mora sui ritardati pagamenti a decorrere dalla data in cui sia maturato il diritto al pagamento, calcolati al tasso ufficiale di riferimento della Banca Centrale Europea aumentato di sette (7) punti Anche in caso di notifica di contestazioni per vizi e difetti, il Cliente non potrà iniziare o proseguire azioni se prima non avrà integralmente pagato il prezzo nei termini del contratto. I pagamenti, in nessun caso, potranno essere sospesi o ritardati: qualora fossero insorte contestazioni, le relative azioni non potranno essere iniziate o proseguite se prima non si sarà provveduto al pagamento del prezzo secondo i termini e i modi stabiliti. iscritto. Qualsiasi costo a tal fine sostenuto è a carico del Cliente Il valore massimo di un eventuale riacquisto è quantificato nella misura del 60% dell importo indicato nella fattura di vendita. 6 - COLLAUDI E MONTAGGI Tutti i prodotti di produzione del Fornitore sono sottoposti a collaudo finale standard prima della consegna. Tale collaudo è da ritenersi finale e conclusivo. Ogni collaudo addizionale e/o speciale deve venire richiesto e specificato dal Cliente nell ordine di acquisto, è soggetto ad accettazione da parte del Fornitore e verrà eseguito a spese del Cliente Montaggio e collaudo in opera, se richiesti, verranno eseguiti dal Fornitore a spese del Cliente. 7 - PAGAMENTI Il Fornitore si riserva comunque il diritto di sospendere la consegna dei prodotti qualora, a proprio insindacabile giudizio, le condizioni patrimoniali del Cliente siano divenute tali da rendere comunque difficile il conseguimento del prezzo Salvo quanto previsto nel successivo art. 11, nel caso di mancata presa in consegna dei prodotti da parte del Cliente per fatto a lui imputabile o, comunque, per causa indipendente dalla volontà del Fornitore, il Cliente sopporterà i rischi e le spese per la loro custodia Salvo diverso accordo, i pagamenti devono essere effettuati dal Cliente entro i termini previsti nella conferma scritta di accettazione d ordine presso il domicilio del Fornitore o presso l Istituto di Credito da lui indicato: in caso di ritardo il Cliente sarà tenuto al pagamento degli interessi moratori, salva in ogni caso la facoltà per il Fornitore di chiedere il risarcimento del maggior danno subito e la risoluzione del contratto ai sensi del successivo art Eventuali contestazioni che dovessero insorgere tra le parti non dispensano il Cliente dall obbligo di osservare le condizioni e i termini di pagamento Qualora le parti abbiano pattuito che, in caso di ritardata consegna, il Fornitore sia tenuto a pagare una somma a titolo di penale, il Cliente non potrà chiedere somme superiori alla penale come risarcimento per i danni patiti a causa del ritardo Il Fornitore non è obbligato ad accettare resi dei prodotti, salvo che sia stato espressamente pattuito per 8 - GARANZIA Il Fornitore garantisce la conformità di prodotti forniti, intendendosi cioè che i prodotti sono privi di difetti nei materiali e/o lavorazioni e che sono conformi a quanto stabilito da specifico contratto accettato dalle parti.

4 8.2 - La durata della garanzia è di dodici (12) mesi che decorrono dalla settimana di immatricolazione dei prodotti facendo riferimento al numero seriale e, per i prodotti o componenti sostituiti, dalla settimana della loro sostituzione Entro tale periodo il Fornitore al quale il Cliente, non più tardi di otto (8) giorni dalla consegna per i difetti palesi ed otto (8) giorni dalla scoperta per quelli occulti, abbia denunciato per iscritto l esistenza dei difetti si impegna, a sua scelta - entro un termine ragionevole avuto riguardo all entità della contestazione - a riparare o sostituire gratuitamente i prodotti o le parti di essi che fossero risultati difettosi. Il reso di merce non conforme dovrà essere sempre autorizzato dal Fornitore per iscritto, dovrà rispettare l imballo originale e questo dovrà risultare integro come da fornitura originale. La comunicazione deve chiaramente specificare la tipologia e l ammontare dei vizi addotti indicando quanto riscontrato nell apposito modello Le sostituzioni o le riparazioni vengono di regola effettuate Franco Fabbrica: le spese ed i rischi per il trasporto dei prodotti difettosi sono a carico del Cliente. Tuttavia qualora il Fornitore, d accordo con il Cliente, ritenesse più opportuno svolgere i lavori necessari alla sostituzione o riparazione presso il Cliente, quest ultimo sosterrà le spese di viaggio e soggiorno del personale tecnico messo a disposizione dal Fornitore e fornirà tutti i mezzi ed il personale ausiliario richiesti per eseguire l intervento nel modo più rapido e sicuro. Il Fornitore garantisce che i prodotti sono esenti da vizi e conformi alle specifiche tecniche dichiarate dallo stesso. Con l obbligazione di garanzia il Fornitore si impegna a sostituire e/o riparare il prodotto viziato e/o difettoso nei limiti del presente contratto senza alcuna ulteriore obbligazione di risarcimento, danno diretto e/o indiretto e/o consequenziale derivante al Cliente o a terzi da difetti del prodotto (in via esemplificativa anche a titolo di perdite di produzione, danni a cose o persone ecc). La garanzia si applica solo sui prodotti utilizzati in ambiente e per applicazioni coerenti con quanto previsto in fase di progetto; ogni uso improprio è da ritenersi vietato. I prodotti sono garantiti per un periodo di dodici (12) mesi dalla data di immatricolazione. La durata dei cuscinetti può essere calcolata con il supporto di SAI sulla base di un ciclo di lavoro fornito dal Cliente. L eventuale rottura di questi componenti per mancata sostituzione prima del loro consumo, non costituisce diritto al riconoscimento della garanzia del prodotto La garanzia decade ogniqualvolta i prodotti siano stati montati o utilizzati non correttamente oppure abbiano ricevuto una manutenzione insufficiente o siano stati modificati o riparati senza l autorizzazione del Fornitore. Il Fornitore non risponde inoltre dei difetti di conformità dei prodotti dovuti all usura normale di quelle parti che, per loro natura, sono soggette ad usura rapida e continua. L eventuale rimozione dei sigilli o manomissione, modifica e/o sostituzione di parti del prodotto non autorizzata dal Fornitore, può generare pericolo di infortunio e solleva il costruttore da Responsabilità Civili e Penali, facendo comunque decadere la garanzia La riparazione del prodotto risultato non in garanzia è a totale carico del Cliente e verrà effettuata a seguito di accettazione da parte di quest ultimo del preventivo emesso dal Fornitore quando l importo dello stesso eccede i 300,00 Euro; per importi inferiori l accettazione del Cliente è considerata implicita e la riparazione verrà effettuata senza emissione di preventivo. Nel caso il Cliente non accetti il preventivo oppure il prodotto non sia riparabile, il Fornitore richiederà al Cliente indicazioni scritte sulla modalità di trattamento del prodotto (restituzione o rottamazione) con l applicazione a carico del Cliente dell Onere per servizio analisi quantificato in 70,00 Euro. Trascorsi sei (6) mesi dall invio dell analisi, la merce sarà restituita al Cliente con spedizione a suo carico Le parti cambiate in garanzia diventano di proprietà del Fornitore all atto della sostituzione. Le parti sostituite non in garanzia sono di proprietà del Cliente e rimangono a sua disposizione per trenta (30) giorni dall invio dell analisi, entro le quali egli potrà ritirarli o dare disposizioni affinché a proprie spese gli siano inoltrate; oltre tale termine il Fornitore è autorizzato a considerarli come rottami di sua proprietà e quindi acquisisce il diritto a provvedere al loro smaltimento senza indennizzo alcuno. 9 - RESPONSABILITÀ DEL FORNITORE Il Fornitore è esclusivamente responsabile del buon funzionamento di componenti, attrezzature, impianti oleoidraulici e pneumatici forniti in rapporto alle caratteristiche e prestazioni da lui espressamente indicate. Egli non si assume, invece, alcuna responsabilità per l eventuale difettoso funzionamento di macchine o sistemi realizzati dal Cliente o da terzi con componenti idraulici o pneumatici del Fornitore anche se le singole apparecchiature 4

5 idrauliche o pneumatiche sono state montate o collegate secondo schemi o disegni suggeriti dal Fornitore, a meno che tali schemi o disegni non siano stati oggetto di distinta remunerazione, nel qual caso la responsabilità del Fornitore sarà comunque circoscritta a quanto compreso nei suddetti disegni o schemi In ogni caso, al di fuori delle ipotesi tassative ed inderogabili previste dall ordinamento vigente in tema di responsabilità del Fornitore, e salvo quanto previsto dall art cod. civile, il Cliente non potrà chiedere il risarcimento di danni diretti e indiretti, mancati profitti o perdite di produzione. Il Fornitore si riserva la facoltà di apportare modifiche al prodotto in qualunque momento, per esigenze della propria produzione purché tali modifiche non alterino in modo sostanziale le prestazioni e/o specifiche dei prodotti. 2) ritardi o manchi di prendere in consegna i prodotti nei termini previsti dal precedente art. 5; 3) non osservi gli obblighi di riservatezza previsti dall art Il contratto si intenderà risolto di diritto nel caso in cui il Cliente venga posto in liquidazione o sia stato assoggettato ad una qualsiasi procedura concorsuale RECESSO CONVENZIONALE Nel caso in cui il Cliente diminuisca le garanzie che aveva dato o non fornisca le garanzie che aveva promesso, il Fornitore avrà facoltà di recedere dal contratto RISERVA DI PROPRIETÀ Il Fornitore conserva la proprietà dei prodotti forniti fino al totale pagamento del prezzo pattuito Ogni targhetta di identificazione e/o ogni altra forma di identificazione posta sui prodotti venduti dal Fornitore non può essere rimossa senza il suo consenso scritto. Ogni alterazione e/o modificazione di marchi o dei dati tecnici o delle targhette apposte dal Fornitore genererà la decadenza del diritto al riconoscimento della garanzia del prodotto. Il Fornitore si riserva la possibilità di perseguire condotte illegittime e/o per contraffazioni. 13 TRATTAMENTO DEI DATI PERSONALI I dati personali del Cliente saranno trattati secondo quanto disposto dalla legge Italiana in materia di trattamento dei dati personali (Decreto Legislativo 196/2003). Il Fornitore informa il Cliente di essere il titolare del trattamento e che i dati personali del Cliente vengono raccolti e trattati esclusivamente per l esecuzione del presente accordo. Ai sensi dell articolo 7 del D. Lgs. 196/2003, il Cliente ha il diritto di richiedere al Fornitore l aggiornamento, la rettifica, l integrazione, la cancellazione e la trasformazione in forma anonima dei propri dati LEGGE APPLICABILE Tutti i contratti di fornitura con l estero disciplinati dalle presenti condizioni generali sono regolati dalla Legge Italiana CLAUSOLA RISOLUTIVA ESPRESSA E CONDIZIONE RISOLUTIVA Il contratto di fornitura sarà risolto di diritto ai sensi dell art c.c. per effetto della semplice dichiarazione scritta del Fornitore di volersi avvalere della presente clausola risolutiva espressa, qualora il Cliente: 1) ometta o ritardi i pagamenti dovuti; 15 - FORO COMPETENTE 15.1 Per qualsiasi controversia inerente all esecuzione, interpretazione, validità, risoluzione, cessazione di contratti di fornitura intervenuti tra le parti ove l azione sia promossa dal Cliente è esclusivamente competente il Foro del Fornitore, ove invece l azione sia promossa dal Fornitore è competente oltre al Foro del Fornitore medesimo ogni altro Foro stabilito per legge.

6 1 SUBJECT AND SCOPE OF APPLICATION OF THESE STANDARD CONDITIONS 1.1 These standard conditions shall govern all present and future contractual and pre-contractual relations between parties concerning the supply of hydraulic and pneumatic components, equipment and systems. They shall be co-ordinated with any special conditions agreed in writing by the parties or inserted in the Supplier s written confirmation of acceptance of order Unless specifically approved in writing by the Supplier, deviant general or special conditions included or referred to by the Customer in his communications to the Supplier shall however be deemed null and void. 2 FORMATION OF CONTRACT 2.1 Orders placed by the Customer shall not be regarded as accepted before these have been confirmed by the Supplier in writing. If the Supplier should fail to confirm an agreement in writing which it has entered into verbally, the Supplier s invoice or the execution of the order by the Supplier shall be regarded as confirmation. The purchase orders whose total net amount for each single invoice and shipment is lower than 700,00 Euro will be charged of 70,00 Euro as administration fees. The minimum invoice amount is 300,00 Euro. Customer will be charged of the Burden in compensation, quantified in at least 10% of the total amount of the order. 2.6 The prices of the products shall exclude any statutory VAT which shall be payable at the date of delivery or pursuant specific provisions included in the invoice. Unless otherwise stated all prices quoted in any document or correspondence issued by the Supplier do not include packaging and transport costs, nor the ancillary expenses as indicated in the Supplier s sales catalogue in force at the moment of the conclusion of the contract. Taxes, stamps, custom duties and any other supplementary cost are not included in the prices. Unless an exception is made, those costs and expenses will be paid by the Customer and, in case they are paid by the Supplier, their amount will be invoiced to the Customer as well as with the quoted prices. The prices will be corrected in case of any printing errors. 3 TECHNICAL DATA, DRAWINGS AND DOCUMENTS PERTAINING TO THE SUPPLIES 3.1 The data and illustrations resulting from the catalogues, brochures, circulars or other illustrative documents from the Supplier shall be of an indicative nature. This data shall have no commitment value unless expressly mentioned as such in the confirmation of order Quotations and offers will keep in force for a period of thirty (30) days from the date of issue, unless differently stated by the Supplier in writing. Anyhow the Supplier will be entitled to cancel or change the quotations or offers at any moment before issuing the written confirmation of order acceptance. 2.3 Every further Supplier s offer shall be deemed valid only within the period of time it itself states and exclusively for the complete supply the offer rates. 3.2 The Supplier reserves the right to make any modifications to his own products at any moment as he deems appropriate, giving notice to the Customer if they affect the installation. 3.3 If the Customer proposes modifications so that it becomes compulsory to implement them, there shall be full written agreement between the parties on the variations which such modifications may cause to prices and delivery periods previously established. Moreover, the prices could vary in case the ordered quantities should be reduced or the Customer should ask for a more prompt delivery. 2.4 The eventual request of modification of the order already confirmed, received more than five (5) working days from the issuance of order confirmation involves the application at Customer s charge of the Burden for order modification management service, quantified at 70,00 Euro, even in the case of subsequent impossibility by the Supplier to implement the request modification. 2.5 The order confirmed by the Supplier is irrevocable by the Customer exceeded five (5) working days from the issuance of order confirmation. It doesn t affect the right of the Supplier to accept the request to cancel the order, in that case the 3.4 The Customer shall expressly undertake not to use, for purposes other than those envisaged in the supply contract, the drawings, technical information and discoveries relating to the supply which shall remain the Supplier s property and which the Customer shall not be able to deliver to third parties nor reproduce without written permission. 3.5 Should there be any particular normative law to respect in the Country of destination of the Supply, the Customer is bound to inform the Supplier before the stipulation of the contract.

7 4 EXCLUSIONS 4.1 Unless otherwise agreed in writing, the plan of the system, the installation of equipment supplied, special testing, manuals and trading courses, assistance with start-up and all services and costs not mentioned in the Supplier s written confirmation of acceptance of the order shall not be included in the supply. 4.2 Likewise the costs of packing, taxes, stamp duties, customs expenses, duties and any other extra expenses shall not be included in the prices unless otherwise stated in the Supplier s written confirmation of acceptance of order. 5 DELIVERY 5.1 Unless there is agreement to the contrary, the supplies shall be deemed to be goods supplied ex works, without packing. 5.2 With handover of the equipment to the Customer or carrier the Supplier shall be released from the obligation to deliver and all risks on the equipment itself shall pass to the Customer even in the event where the Supplier is responsible for the dispatch or assembly for working. 5.3 The delivery deadlines shall be regarded as an indication and shall be reckoned in working weeks. suspended and the Supplier may delay delivery until the Customer has paid the sums due. 5.7 If the Customer fails to take payments in the time and manner specified by the Supplier or the Customer business shall be operated beyond the ordinary course of business which shall include, without limitation, when seizure or protest has been made, payments shall be delayed or insolvency proceedings shall have been petitioned or opened, the Supplier shall have the right to suspend or cancel, at its sole discretion, further delivery and to declare all its claims arising from the business relationship as immediately payable. Moreover the Supplier may in such event request for anticipation on the payments or a warranty deposit. The goods listed in the invoice will remain property of the Supplier until the payment is fully received. 5.8 In addition to other remedies permitted under the applicable law and these General Terms and Conditions of Sale, the Supplier reserves the right to recover defaults interest on delayed payments starting from the due date, calculated at the official reference rate of the European Central Bank increased by seven (7) basis points. 5.9 Also in case of notification of faults and defects, the Customer will not be entitled to start or continue proceedings without previously paying the total price in accordance with the contract. The payment will, in no case, be suspended or delayed: should disagreements arise, the related proceedings will not be started or continued unless the payment has been made according to the fixed terms and procedures Unless otherwise agreed by the parties, the deadlines shall start to run from the moment of conclusion of the contract, unless the Customer has to meet part of the price on an account basis because then the elapse of the deadlines shall be suspended until he has paid this The Supplier will be entitled to interrupt the product delivery should, in the Supplier s unquestionable opinion, the Customer s statement of assets and liabilities put the payment at risk It shall be understood that the delivery deadlines are automatically extended: 1) if the Customer does not supply in reasonable time the data or equipment necessary to the supply or requests changes during execution or, even, delays in meeting the request for approval of the drawings or working diagrams; 2) if causes independent of the goodwill and diligence of the Supplier, including delays of sub-contractors, impede or render excessively difficult delivery in the terms established. 5.6 In the event the Customer is not in order with payments relating to other supplies, the elapse of the deadlines shall be 5.11 Except as provided in the Art. 11, in case the Customer does not collect the goods for reasons attributable to him or, in any case, for reasons, not attributable to the Supplier s will, the Customer shall bear the risks and costs of their care If the parties have agreed, in the event of late delivery, the Supplier is required to pay an amount as a penalty, the Customer cannot ask for sums exceeding the penalty as compensation for damages suffered due to the delay.

8 5.13 The Supplier is not obliged to accept the Products returns, unless otherwise agreed in writing. Any costs arising thereof shall be at the expense of the Customer The maximum value of a possible Supplier s re-purchase of the goods is quantified at 60% of the amount specified in the sales invoice. 8.3 Within this period the Supplier to whom the Customer has reported in writing the existence of evident defects no later than eight (8) days from their delivery and the existence of hidden defects no later than eight (8) days from their discovery shall undertake, at his choice, to repair or substitute free the products or parts thereof which have proved to be defective. The return of not conforming goods shall be always authorized in writing by the Supplier and shall have to keep the original packaging, which should look like intact as originally supplied. The notice must clearly specify the kind and amount of the alleged defect by specifying the details in the specific form modello TESTING AND ASSEMBLY WORK 6.1 All the products produced by the Supplier are subject to a final standard test before the delivery. That test is to be considered as final and conclusive. Each additional test and/or each special test must be requested and specified by the Customer on the purchase order, and it has to be accepted by the Supplier and will be carried out at the Customer s expense. 6.2 Assembly and working testing, if requested, shall be carried out by the Supplier at the Customer s expense as. 7 PAYMENTS 7.1 Unless otherwise agreed, payments shall be made by the Customer within the terms provided in the written confirmation of acceptance of order at the Supplier s domicile or with the Bank indicated by him: in the event of delay, the Customer shall be bound to pay interest on arrears, in any case reserving to the Supplier the option to request compensation for greater damage suffered and termination of the contract as per Art. 11 below. 7.2 Any disputes which may arise between the parties shall not release the Customer from the obligation of observing the payment terms and conditions. 8.4 The substitutions or repairs shall as a rule be carried out ex-works: the costs and risks for transport of faulty products shall be at the Customer s expense. However, if the Supplier, in agreement with the Customer, deems it more appropriate to carry out the necessary work for substitution or repair on the Customer s premises, the latter shall bear the travelling and accommodation expenses of the technical staff made available by the Supplier and shall supply all means and auxiliary staff requested for carrying out the operation in the quickest and safest way. The Supplier hereby represents and warrants that the products shall be free from defect and shall comply with the technical specifications forwarded by the Supplier. Under warranty obligation, the Supplier commits to replacing and/or repairing the spoilt and/or faulty defect within the limits of this contract and without any further refunding obligation deriving from direct and/or indirect and/or subsequent damage deriving to the Customer or any third parties due to product defects (as an example, also provoking product losses, damage to things or people, etc.). The warranty shall be valid only on the products used in suitable environment and for suitable applications in appliance with what has been foreseen in the moment the project has been studied; every improper use of products is forbidden. The products are guaranteed for a period of twelve (12) months from the week of the product serial number registration. The bearings lifetime can be calculated with SAI assistance on the basis of a working cycle provided by the Customer. Any failure of these components, for not replacing them before their use, is not entitled to the recognition of the product warranty. 8 8 GUARANTEE 8.1 The Supplier shall guarantee conformity of the products supplied, which shall mean that they are without defects in their materials and/or processing and that they correspond to the provisions of the specific contract agreed to by both parties. 8.2 The duration of the guarantee shall be twelve months counting from the week of the product serial number registration and, for substituted products or components, from the day of their substitution. 8.5 The guarantee shall cease whenever products have not been correctly assembled or used, or have received insufficient maintenance or have been modified or repaired without the Supplier s permission. Moreover, the Supplier shall not be held responsible for the conformity defects of the products caused by the ordinary wear of those parts which are normally subject to continuous and rapid wear. Any alteration, change or replacement of product parts, which has not been authorized by the Supplier may represent an accident risk and therefore releases the manufacturer from any Civil or Penal Liabilities, and makes the warranty void.

9 8.6 The repair of the product resulted as out of warranty is totally at Customer s charge and it will be performed after approval from the latter of the estimate issued by the Supplier when the amount of the same exceed 300,00 Euro; for lower amounts the approval of the Customer is considered as implicit and the repair will be performed without any estimate issued. In case the Customer does not accept the estimate or the product is not repairable, the Supplier will request to the Customer written instructions on how to treat the product (return or scrap) with the application at Customer s charge of the Burden for analysis service, quantified at 70,00 Euro. After six (6) months from the analysis, the goods will be returned to the Customer with shipping costs at his charge. 10 RESERVATION OF OWNERSHIP 10.1 The Supplier shall retain ownership of the products supplied until full payment of the price agreed Any identification brand and/or any other identification form positioned on the products which are sold by the Supplier cannot be removed without his written agreement. Any distortion and/or change of the brand name or technical data or labels applied by the Supplier will cause the revocation of the right to the recognition of the product warranty. The Supplier reserves the right to prosecute illegal conducts and counterfeiting. 8.7 The parts substituted under warranty become property of the Supplier at the moment of their replacement. The substituted parts that are not under warranty are the property of the Customer and remain at his disposal for thirty (30) days within which time he can collect them to give instructions for them to be sent to him, at his expense. After this term has elapsed the Supplier is authorized to consider such parts as scrap belonging to him and hence acquires the right to dispose of them without any compensation whatsoever. 9 LIABILITY OF THE SUPPLIER 9.1 The Supplier shall be solely responsible for the good operation of the hydraulic and pneumatic equipment supplied as regards features and performances expressly indicated by himself. He shall not, however, assume any liability for any faulty operation of machines or systems made by the Customer or third parties with hydraulic and pneumatic components from the Supplier even if the individual hydraulic and pneumatic equipments have been assembled or connected according to diagrams or drawings proposed by the Supplier, unless such diagrams and drawings have been the subject of separate remuneration, in which case the liability of the Supplier shall in any case be limited to what is contained in the above/mentioned drawings or diagrams. 9.2 In any case, outside the strict and imperative cases provided by current legislation regarding the liability of the Supplier, and except what provided by the art of the Italian Civil Code, the Customer shall not be able to request compensation for direct and indirect damage, loss of profits or production, nor shall he be able to claim entitlement to compensation of sums in excess of the value of the equipment supplied. The Supplier will be entitled to make changes to the product at any moment, due to production needs, provided those changes do not alter the product performance and/or specifications in a substantial way. 11 TERMINATION CLAUSE AND RESOLUTORY CONDITION 11.1 The contract for supply shall be terminated automatically, according to art of the Italian Civil Code, through simple written declaration by the Supplier that he wishes to avail himself of this express termination clause if the Customer: 1) omits or delays payments due; 2) delays or fails to take delivery of the products in the times provided under art. 5 above; 3) does not fulfil the obligations of confidentiality provided under art The contract shall be deemed terminated automatically if the Customer is put into liquidation or is subject to any bankruptcy proceedings. 12 WITHDRAWAL BY AGREEMENT 12.1 If the Customer reduces the guarantees ha had given or does not provide the guarantees he had promised, the Supplier shall have the option of withdrawn from the contract. 13 LAW APPLICABLE 13.1 The personal data of the Customer shall be processed in accordance with the Italian Data Protection Law (Legislative Decree 196/2003). The Supplier informs the Customer that the Supplier is the data controller and that the Customer s personal data shall be collected and processed for the only purpose of the performance of this agreement. Pursuant article 7 of the Italian Legislative Decree 196/2003, the Customer has the right to ask the Supplier the updating, amendment, integration, writing off and transformation in anonymous form of his data. 9

10 14 COMPETENT COURT 14.1 For any dispute pertaining to the execution, interpretation, validity, termination or cessation contracts entered into between the parties, if the action is brought by the Customer, the Supplier s Court exclusively shall be competent; if, however, the action is brought by the Supplier, as well as the Court of the Supplier himself, any other Court established by law shall be competent. 10
