2 Licenza d uso del marchio Progetto franchising Franchising licensing terms

3 l franchisee verserà una quota una tantum per l apertura di ogni location, a fronte dell utilizzo del progetto/manuale CABOU/TDO. L apertura di piu di tre location in due anni permetterà di usufruire sulle successive Caffè Boutique di una percentuale di sconto della suddetta quota. Per l utilizzo dei marchi TDO in concessione d uso alla CABOU il franchisee verserà una quota pari al 5% percentuale fissa del fatturato di vendita. La cessione della licenza d uso del manuale/progetto CABOU/TDO in esclusiva per un determinato Paese, avrà un valore variabile quantificato in base al rapporto tra importanza economico politico /estensione / popolazione del singolo Territorio. Tale cessione avrà una durata pari a cinque anni a partire dalla data dell accordo. Il franchisee avrà facoltà di apertura di Caffè Boutique Tazza D Oro senza limiti numerici. Per l utilizzo del marchio CABOU/TDO il franchisee verserà una quota pari al 5% del fatturato di vendita The franchisee will be charged a one off entry fee for every outlet opened, thus obtaining the rights to the concept for that particular location. Including design planning and support, manuals etc from CABOU / TDO The opening of more than three locations within two years, will grant the Franchisee a discount on fees for additional outlets. The Franchisee will be liable to pay Tazza D Oro a fixed percentage of the Caffé Boutiques turnover for use of the trademark. The awarding of a Caffé Boutique franchise exclusive for a particular country will have a charge relative to the importance of the economic base, the balance between the political situation and population of said country. The award will be for a period of five years from date of contract. The Franchisee will be allowed to open any amount of Caffé Boutiques without any limit on numbers. The Franchisee will be liable to pay Tazza D Oro a fixed percentage of the Caffé Boutiques turnover for use of the trademark.

Per l utilizzo dei marchi TDO in concessione d uso alla CABOU il franchisee verserà una quota pari al 5% percentuale fissa del fatturato di vendita.

4 Il cessionario usufruira del know-how di CABOU/TDO per la realizzazione e conduzione delle location sopratutto per quel che riguarda il servizio, la somministrazione e la vendita dei prodotti caffetteria, attenendosi alle indicazioni di CABOU/TDO. Per quel che riguarda particolari servizi di vendita utili al franchisee, gli stessi saranno concordati con TDO, che ne supervisionera la corretta conduzione nel rispetto del progetto CABOU/TDO. Tutte le location dovranno essere realizzate seguendo fedelmente il progetto/manuale di franchising CABOU/TDO. Condizioni generali General Conditions & Parameters The concessionaire will make use of the Caffé Boutique / Tazza D Oro (CABOU/TDO) Know-how and expertise for the realisation and running of the location, especially as regards to service, the provision and sale of catering products, taking head of CABOU/TDO guidelines. With regard to products and services particular to the franchise, these will be as agreed with TDO, who will supervise that these are conducted according to guidelines as laid out in the CABOU/TDO project. All locations will be executed following faithfully the project/operating manual of the CABOU/TDO franchise.

Per quel che riguarda particolari servizi di vendita utili al franchisee, gli stessi saranno concordati con TDO, che ne supervisionera la corretta conduzione nel rispetto del progetto CABOU/TDO.

6 La realizzazione sara curata esclusivamente dalla CABOU, e propri partner accreditati; eventuali deroghe potranno essere concesse da CABOU. I relativi costi saranno a carico del cessionario nelle modalita e tempi concordate con CABOU. Il cessionario acquistera in esclusiva tutti i prodotti per il fabbisogno dei propri locali direttamente da CABOU, o ad opera di propri distributori, ai prezzi stabiliti. Le locations dovranno essere individuate in posizioni urbane o extraurbane di primaria visibilita e passaggio, comunque su preventivo accordo con CABOU. The completion of the project will be undertaken by the CABOU, and accredited partners; any changes or alterations can only be allowed by the CABOU. The relative costs will be borne by the concessionaire, within the terms as agreed with the CABOU. The concessionaire will purchase exclusively all products needed for the running of its franchise operations from the CABOU, or from its own distributors at the agreed prices. All franchise outlets can be sited either in metropolitan or rural locations as long as due attention is given to visibility and customer flow. Nevertheless agreement on the location must be reached with the CABOU

Il cessionario acquistera in esclusiva tutti i prodotti per il fabbisogno dei propri locali direttamente da CABOU, o ad opera di propri distributori, ai prezzi stabiliti.

7 CABOU provvedera alla formazione del personale di somministrazione, selezionato dal franchisee in base ai profili generali professionali forniti da CABOU (cura del cliente, servizio al banco e tavolo, pulizia ed igiene, controllo prodotti ). CABOU effettuera il training course per la formazione tecnica del personale ( erogazione caffe e bevande, preparazione prodotti). CABOU concordera con il franchisee il ricettario gastronomico a cui lo stesso si dovra attenere. CABOU indichera le generalita dei fornitori che provvederanno a fornire i servizi di assistenza e manutenzione. CABOU fornira la lista prodotti, gadgets e linea di abbigliamento (con relativo listino prezzi). CABOU fornira la lista delle attrezzature con relativi manuali di manutenzione e assistenza. The CABOU will provide all training to the service personnel, chosen by the franchisee in accordance with the guidelines and profiles make available by the CABOU (customer care, counter and table service, cleaning and hygiene, quality control ) The CABOU will undertake technical training courses for the staff (brewing of coffee, service of beverages preparation of food.) The CABOU will agree with the franchisee the gastronomic menu, including recipes and methods of work, to which the franchisee will have to adhere. The CABOU will provide details of companies who will be providing assistance and maintenance services to the franchisee. The CABOU will provide brochures and pricelists of products, gadgets and uniforms. The CABOU will provide lists of equipment needed inclusive of operating and maintenance manuals.

CABOU concordera con il franchisee il ricettario gastronomico a cui lo stesso si dovra attenere.

9 Per consentire l internazionalizzazione del gruppo in maniera ottimale si è proceduto sin dal 1996 alla estensione della registrazione dei marchi nonché alla tutela e protezione degli stessi sia livello Comunitario Europeo che Internazionale. Stessa attenzione è stata prestata alla protezione dei propri marchi caratteristici e distintivi nel mondo di internet(domini). Infatti si è proceduto ad una sistematica registrazione, sin dal 1995, degli stessi nonché delle denominazioni riconducibili ad essi. Contemporaneamente si è attuato un monitoraggio costante sull abuso di terzi unendo anche, laddove fosse necessario, azioni a tutela. Anche l ottenimento di certificazioni di qualità quali l ISO 9001, Kasher ed FDA sono delle conferme importanti per un approccio strutturato ai mercati esteri. Marchi, domini e certificazioni Trademarks, Domains and Certification To allow for and safeguard the internationalisation of the group in the most efficient way, TDO has as far back as 1996 taken care to extend all its trademark registrations both at European Community level as well as internationally. The same care has been taken to protect its trademarks and domains on the internet. In fact as far back as 1995 TDO has systematically registered a number of domains that could be linked to its main site. In parallel to this a systematic monitoring of the trademarks was undertaken, and where abuse of same by third parties was discovered, action both legal and otherwise was taken to protect TDO s rights. Obtaining ISO 9001 certification (Kasher and FDA) is an important confirmation of our structured approached towards overseas markets.
