AVVISO IMPORTANTE A partire dal 01 ottobre 2014 tutti gli ordinativi dovranno avere un valore minimo di Euro 250,00#. Ogni ordine avente valore inferiore a Euro 250,00# sarà soggetto ad una quota di Euro 100,00# che verrà sommata al valore dell ordine a titolo di diritti di gestione. Consegne Se non diversamente specificato, le consegne saranno effettuate a mezzo nostro trasportatore autorizzato a spese del cliente. Per spedizionieri nominati dal Cliente, i nostri orari di ritiro merce sono dalle alle 15.00, dal lunedì al venerdì. Nel caso le merci vengano danneggiate durante il trasporto, al momento della consegna vi chiediamo di firmare ed accettare la merce 'CON RISERVA' poiché ciò faciliterà le azioni di rivalsa nei confronti del trasportatore. Il danneggiamento dovrà esserci segnalato entro 4 giorni dal ricevimento della merce. In mancanza di ciò, potremmo non essere in grado di accettare il Vostro reclamo. Pagamenti Se non diversamente specificato, i termini di pagamento si intendono al netto a 30 giorni data fattura e devono avvenire a mezzo bonifico bancario presso: BANCA POPOLARE DI MILANO IBAN: IT 81 V BIC/SWIFT: BPMIITMM915 Tutte le commissioni applicate ai bonifici bancari sono da intendersi a carico del Cliente.

Chiusure aziendali per l anno 2014 Durante il 2014, la Società osserverà le seguenti giornate di chiusura aziendale, pertanto si raccomanda di valutare le Vostre esigenze di fornitura durante tali periodi. 21 Aprile 25 Aprile 1 e 2 Maggio 2 Giugno Agosto: dall 11 al 22 3 Novembre 8 Dicembre Da confermare le date relative al periodo natalizio Garanzia Tutti i sensori, i dispositivi e gli accessori di Argus Security sono coperti da un periodo di garanzia di 3 anni dalla data di fabbricazione e sono garantiti da difetti di materiale e di fabbricazione in normali condizioni d uso. La data di fabbricazione si può chiaramente identificare attraverso il codice-data riportato sull etichetta del dispositivo, da leggersi come segue: 2011/01 dispositivo prodotto nella prima settimana dell anno Restituzione del prodotto Nel caso in cui si rendesse necessario restituire un prodotto, si prega di contattare il Sig. Alberto Makovec all indirizzo amakovec@argussecurity.it il quale attribuirà un Numero di Autorizzazione al Reso (RAN). Alla notifica del RAN, tutti i dispositivi dovranno essere inviati al nostro indirizzo di Trieste unitamente ad una descrizione completa del guasto identificato ed di tutta la documentazione necessaria al trasporto. Il Cliente dovrà sostenere tutti i costi relativi alla restituzione dei dispositivi a Trieste utilizzando protezioni ed imballaggi adeguati ed atti a prevenire rotture o danneggiamenti delle parti plastiche. Sarà importante accertarsi che il numero di RAN venga chiaramente riportato sul cartone esterno di imballo. Qualunque restituzione di merce che non sia stata autorizzata oppure non sia stata opportunamente identificata, potrà, a discrezione di Argus Security, essere rifiutata e rispedita al mittente con spese a carico del Cliente.

4 TERMINI & CONDIZIONI 2014 MOD 092 / 3-I Pagina 4 di 9 Al fine di evitare indesiderate richieste di accredito da parte dei Vostri clienti, vi suggeriamo di organizzare un processo di selezione dei dispositivi da rendere prima di restituirci i sensori. I numeri di RAN sono categorizzati e vengono emessi come segue: A. Standard Return (Reso Standard) per dispositivi in garanzia; essi verranno riparati oppure sostituiti B. Special Return (Reso Speciale) per dispositivi in garanzia che provengono da specifiche installazioni e per i quali si richiede un rapporto di analisi tecnica; essi verranno riparati oppure sostituiti C. Cleaning (Pulizia Manutenzione) D. Repair (Riparazione) - qualunque tipo di prodotto difettoso restituito fuori garanzia vedrà l addebito per spese di riparazione oppure di sostituzione. I prodotti sostituiti verranno addebitati al prezzo di vendita, mentre i pezzi riparati verranno addebitati all 80% del prezzo di vendita del prodotto. Nel caso in cui non venga riscontrato alcun guasto, tale condizione verrà notificata ed i dispositivi verranno restituiti con spese a carico del Cliente oppure, in caso di mancate disposizioni nell arco di 4 settimane, i pezzi verranno rottamati ed i relativi costi verranno notificati e fatturati al Cliente. Tutti i dispositivi restituiti saranno verificati e convalidati e qualora fossero giudicati guasti ed ancora in garanzia verranno riparati oppure sostituiti come sopra riportato alle voci A. e B. I prodotti restituiti in garanzia per i quali vengano riscontrati un eccessiva contaminazione e/o dei danneggiamenti/abusi ambientali o meccanici non verranno più considerati essere in garanzia. Tali prodotti verranno restituiti nelle medesime condizioni in cui sono stati ricevuti oppure verranno rottamati e tutti i relativi costi verranno fatturati al Cliente. Tutti i dispositivi che verranno restituiti per eccesso d ordinazione incorreranno in una quota pari al 25% del prezzo di vendita del prodotto che verrà addebitata a titolo di ricarico a magazzino. I dispositivi potranno essere resi a tale titolo solamente previa approvazione da parte di Argus Security che sarà accordata solo per sensori ancora in garanzia, imballati nella loro confezione originale e che risultino essere in perfette condizioni. Le spese di trasporto per la restituzione delle merci a Trieste sono a carico del Cliente. La Argus Security sosterrà il costo del trasporto per la rispedizione della merce solo per dispositivi in garanzia che rientrino nel caso sopra descritto di Standard e Special Return. Le spese di trasporto per la restituzione di merce a titolo di pulizia e/o riparazione sono a carico del Cliente.

5 TERMINI & CONDIZIONI 2014 MOD 092 / 3-I Pagina 5 di 9 Pulizia - Manutenzione Un sistema di rilevazione antincendio necessita di essere revisionato in base ai Regolamenti locali al fine di garantire la propria operatività e funzionalità. Oltre ai controlli periodici, i dispositivi necessitano di regolari ispezioni per verificarne le condizioni di sporcizia e contaminazione. I sensori sporchi possono essere puliti utilizzando un aspiratore / spazzola morbida oppure un ventilatore idoneo a rimuovere le particelle di polvere. Le plastiche possono essere pulite con un soffice panno inumidito con un detergente delicato. Nel caso i sensori fossero eccessivamente sporchi o contaminati, essi devono essere restituiti alla Argus Security per la necessaria pulizia e ricalibrazione. In nessun caso il sensore dovrà essere smontato poiché ciò invaliderà la garanzia ed influirà negativamente sulle prestazioni e sull integrità del Sistema di rilevazione antincendio. I seguenti sensori potranno essere restituiti per pulizia e ricalibrazione e saranno soggetti ai costi unitari qui indicati: Serie Aurora convenzionale 6.00 Serie Vega intelligente: 6.00 Serie Sagittarius radio: Qualunque dispositivo che venisse restituito ancora in garanzia e che presentasse danneggiamenti meccanici od ambientali, oppure risultasse fortemente contaminato, non verrà più considerato in garanzia o potrà essere soggetto a costi aggiuntivi qualora fosse restituito per il servizio di pulizia. Collaudi e manutenzione raccomandati per i sensori di Argus Security Le normative mondiali richiedono che il collaudo dei sensori antincendio venga eseguito in modo sicuro e controllato. A tale scopo, sul mercato è disponibile un ampia gamma di prodotti per test che permette soluzioni professionali e consente il collaudo dei sensori ottici, termici ed a criterio multiplo di Argus Security installati fino ad un altezza di 9 metri. Collaudo del sensore Ottico Il prodotto Solo 330 Aerosol Dispenser viene utilizzato congiuntamente al Solo A3 aerosol per permettere di eseguire il test funzionale dei sensori ottici di Argus Security. La bomboletta dell aerosol è posizionata ed assicurata sul fondo del dispenser e si attiva quando la parte superiore dello stesso viene premuta contro la superficie, ad esempio il soffitto attorno al sensore.

La bomboletta dell aerosol è stata sostituita da capsule che producono fumo a richiesta, una volta che l unità viene posizionata sopra al sensore. Tali capsule vengono attivate da un bastone alimentato a batteria personalizzato per il Cliente. Questi metodi di collaudo sono raccomandati ed approvati da Argus Security ed, in conformità alle normative, assicurano che il fumo possa entrare nella camera ottica ed innescare un segnale di allarme antincendio senza danneggiare o compromettere la prestazione del sensore. Inoltre, il Testifire si è dimostrato compatibile con l ultima generazione di sensori intelligenti che in passato si erano rivelati difficili se non impossibili da collaudare. Collaudo del sensore Termico Il collaudo del sensore termico di Argus Security si effettua facilmente utilizzando il Solo 461. L utensile è attivato da un bastone alimentato a batteria che permette la generazione di calore non appena il dispositivo viene posizionato sopra al sensore. Il Testifire utilizza una tecnologia simile, ma offre delle configurazioni avanzate, come un impostazione per alti livelli di calore per collaudare sensori che sono impostati per temperature più elevate. L utilizzo del Solo oppure del Testifire assicurano un collaudo sicuro e conforme alle normative ed ai regolamenti previsti per il settore industriale. Questi prodotti sono approvati da Argus Security e dai maggiori produttori di sensori. INTERPRETATION 1.1 In These Conditions: BUYER means the person who accepts a quotation of the Seller for the sale of the goods or whose order for the goods is accepted by the Seller. GOODS means the goods (including any instalment of the goods or any parts for them) which the Seller is to supply in accordance with these conditions. SELLER means ARGUS SECURITY S.r.l. (registered in ITALY) of Via Gonzaga Milano Italy CONDITIONS means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Buyer and the Seller. CONTRACT means the contract for the purchase and sale of the goods. WRITING includes telex, cable, facsimile transmission and comparable means of communication. 1.2 Any reference in these conditions to any provision of a statute shall be constructed as a reference to that provision of an amended, re-enacted or extended at a relevant time. 1.3 The headings in these Conditions are for convenience only and shall not affect their interpretation. 2. BASIS OF SALE 2.1 These conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer to the exclusion of all other items and conditions, including any terms and conditions which the buyer may purport to apply under any purchase order, confirmation of order or similar document. 2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Conditions. 2.3 Without prejudice to the effects of paragraphs 2.1 and 2.2 hereof, acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer s acceptance of these conditions. 2.4 Any variation of these conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller. 2.5 No variation to these Conditions shall be binding unless agreed in writing between the authorized representatives of the Buyer and the Seller. 2.6 The Seller s employees or agents are not authorized to make any representations concerning the goods unless confirmed by the Seller in writing. In entering into the contract the Buyer acknowledges that it does not rely on, and waives any claim for breach of, any such representations which are not so confirmed. 2.7 Any advice or recommendation given by the Seller or its employees or agents to the Buyer or its employees or agents as to the storage, application or use of the goods which is not confirmed in writing by the Seller is followed or acted upon entirely at the Buyer s own risk, and accordingly the Seller shall not be liable for any such advice or recommendation which is not so confirmed. 2.8 Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller. 3. ORDERS AND SPECIFICATIONS 3.1 No order submitted by the Buyer shall be deemed to be accepted by the Seller unless and until confirmed in writing by the Seller s authorized representative. 3.2 The Buyer shall be responsible to the Seller for ensuring the accuracy of the terms of any order (including any applicable specification) submitted by the Buyer, and for giving the Seller any necessary information relating to the goods within a sufficient time to enable the Seller to perform the contract in accordance with its terms. 3.3 The quantity, quality and description of and any specification for the goods shall be those set out in the Seller s quotation (if accepted by the Buyer) or the Buyer s order (if accepted by the Seller). 3.4 If the goods are to be manufactured or any process is to be applied to the goods by the Seller in accordance with a specification submitted by the Buyer, the Buyer shall indemnify the Seller against all loss, damages, costs and expenses awarded against or incurred by the Seller in connection with or paid or agreed to be paid by the Seller in settlement of any claim for infringement of any patent, copyright, design, trademark or other industrial or intellectual property rights of any other person which results from the Seller s use of the Buyer s specification. 3.5 The Seller reserves the right to make any changes in the specification of the goods which are required to conform with any applicable safety or other statutory requirements or, where the goods are to be supplied to the Seller s specification, which do not materially affect their quality or performance. 3.6 No order which has been accepted by the Seller may be cancelled by the Buyer except with the agreement in writing of the Seller and on terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), costs (including the cost of all labor and materials used), damages, charges and expenses incurred by the Seller as a result of cancellation. 4. PRICE OF THE GOODS 4.1 The price of the goods shall be the Seller s quoted price or, where no price has been quoted (or a quoted price is no longer valid), the price listed in the Seller s published price list current at the date of acceptance of the order. Where the goods are supplied for export from the ITALY, the Seller s published export price list shall apply. All prices quoted are valid for 30 days only or until earlier acceptance by the Buyer, after which time they may be altered by the Seller without giving notice to the Buyer.

8 TERMINI & CONDIZIONI 2014 MOD 092 / 3-I Pagina 8 di The Seller reserves the right, by giving notice to the Buyer at any time before delivery, to increase the price of the goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture), any change in delivery dates, quantities or specification for the goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions. 4.3 Except as otherwise stated under the terms of any quotation or in any price list of the Seller, and unless otherwise agreed in writing between the Buyer and the Seller, all prices are given by the Seller on an ex-works basis, and where the Seller agrees to deliver the goods otherwise than at the Seller s premises, the Buyer shall be liable to pay the Seller s charges for transport, packaging and insurance. 4.4 The price is exclusive of any applicable value added tax, which the Buyer shall be additionally liable to pay to the Seller. 5. TERMS OF PAYMENT 5.1 Subject to any special terms in writing between the Buyer and the Seller, the Seller shall be entitled to invoice the Buyer for the price of the goods on or at any time after delivery of the goods, unless the goods are to be collected by the Buyer or the Buyer wrongfully fails to take delivery of the goods, in which event the Seller shall be entitled to invoice the Buyer for the price at any time after the Seller has notified the Buyer that the goods are ready for collection or (as the case may be) the Seller has tendered delivery of the goods. 5.2 The Buyer shall pay the price of the goods within 30 days of the date of the Seller s invoice, not withstanding the delivery may not have taken place and the property in the goods has not passed to the Buyer. The time of payment of the price shall be of the essence of the contract The Buyer shall give the Seller all reasonable assistance for the purposes of any such proceedings or negotiations; Except pursuant to a final award, the Buyer shall not pay or accept any such claim, or compromise any such proceedings without the consent of the Seller (which shall not be reasonably withheld); The Buyer shall do nothing which would or might vitiate any policy of insurance or insurance cover which the Buyer has in relation to such infringement, and this indemnity shall not apply to the extent that the Buyer recovers any such policy or cover (which the Buyer shall use its best endeavours to do); The Seller shall be entitled to the benefit of, and the Buyer shall accordingly account to the Seller for, all damages and costs (if any) awarded in favour of the Buyer which are payable by or agreed with the consent of the Buyer (which consent shall not be unreasonably with held) to be paid by any other party in respect of any such claim; and Without prejudice to any duty of the Buyer at common law, the Seller shall be entitled to require the Buyer to take such steps as the Seller may reasonably require to mitigate or reduce any such loss, damages, costs or expenses for which the Seller is liable to indemnify the Buyer under this clause. 6. INSOLVENCY OF THE BUYER 6.1 This clause applies if: The Buyer makes any voluntary arrangement with its creditors or becomes subject to an administration order or (being an individual or firm) becomes bankrupt or (being a company) goes into liquidation (otherwise than for the purposes of amalgamation or reconstruction); or An encumbrance takes possession, or a receiver is appointed, of any of the property or assets of the Buyer; or The Buyer ceases, or threatens to cease, to carry on business; or The Seller reasonably apprehends that any of the events mentioned above is about to occur in relation to the Buyer and notifies the Buyer accordingly. 6.2 If this clause applies then, without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to cancel the contract or suspend any further deliveries under the contract without any liability to the Buyer, and if the goods have been delivered but not paid for the price shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary. 7. EXPORT TERMS 7.1 In these conditions Incoterms means the International Rules for the Interpretation of Trade Terms of the International Chamber of Commerce as in force at the date when the contract is made. Unless the context otherwise requires, any term or expression which is defined in or given a particular meaning by the provisions of Incoterms shall have the same meaning in these conditions, but if there is any conflict between the provisions of Incoterms and these conditions, the latter shall prevail. 7.2 Where the goods are supplied for export from the ITALY, the provisions of this clause 11 shall (subject to any special terms agreed in writing between the Buyer and the Seller) apply notwithstanding any other provision of these conditions. 7.3 The Buyer shall be responsible for complying with any legislation or regulations governing the importation of the goods into the country of destination and for the payment of any duties therein. 7.4 Unless otherwise agreed in writing between the Buyer and the Seller, the goods shall be delivered net ex-works Trieste Italy. 7.5 The Buyer shall be responsible for arranging for testing and inspection of the goods at the Seller s premises before shipment. The Seller shall have no liability for any claim in respect of any defect in the goods which would be apparent on inspection and which is made after shipment, or in respect of any damage during transit. 7.6 The Buyer undertakes not to offer the goods for resale in any other country notified by the Seller to the Buyer at or before the time the Buyer s order is placed, or to sell the goods to any person if the Buyer knows or has reason to believe that the person intends to resell the goods in any such country.

GENERAL 8.1 Any notice required or permitted to be given by either party to the other under these conditions shall be in writing addressed to that other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice. 8.2 No waiver by the Seller of any breach of the contract by the Buyer shall be considered as a waiver of any subsequent breach of the same or any other provision. 8.3 If any provision of these conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these conditions and the remainder of the provision in question shall not be affected thereby. 8.4 Any dispute arising under or in connection with these conditions or the sale of the goods shall be referred to arbitration by MILANO Court. 8.5 The contract shall be governed by the laws of ITALY.
