IN FAVOUR OF ENEL S.P.A: IMPACT ON STOCK OPTION CONTRACTS AND STOCK FUTURES CONTRACTS ON SHARES (EGPW) Segue versione in italiano Foreword 1 On Friday 1 st, April 2016, partial and not proportional demerger of Enel Green Power in favour of Enel S.p.A. will be effective with attribution of nr Enel shares for every nr. 1 Enel Green Power share held and simultaneously canceled, with impact on Options contracts and Futures contracts, in the manner indicated Borsa Italiana s Notice n.5682, n.5695 and n.5696 dated 29 March 2016 and section B of the CC&G Rules. 1. Adjustment of Positions Stock option and Stock Futures At close of trading day of Thursday 31 st, March 2016 and after the night batch, open positions will be adjusted as indicated below. 1.1 Options positions 2 a. The strike prices will be multiplied by the K =1/0,486 = 2, coefficient diffused by Borsa Italiana, and then rounded to the fourth decimal: Strike Price Ex = Strike Price Cum x K; b. the number of underlying shares will be divided by the same K coefficient rounded to the unit: Shares Number (EGPW ENEL1) = 1000/K = Futures Positions a. The daily settlement prices of series will be multiplied by the K=1/0,486 = 2, coefficient diffused by Borsa Italiana and then will be rounded to the fourth decimal: 1 2 The Italian tt of this notice shall prevail over the English version. Positions ercised and/or assigned up to, Wednesday 30 March 2016 will not be adjusted. Accordingly, the delivery obligation on these positions is still referred to a quantity of Ordinary Shares Cum

4 the basis of the daily settlement price of, Thursday 31 st, March 2016 adjusted as indicated at point 1, sub point Differentials The calculation of the differentials arising from the adjustment of options (application of the CEP- cash equalization payment - if different from zero ) will be indicated in the report RP-MC10. The cash amount will be paid in the daily margin settlement on Monday 4 th April and reports in the "Cash adjustments/buy-in of reports RP-MS11 and MS12. * * * The early ercise is suspended on Thursday 31 st, March Report MT55 Net Futures contract Positions dated 1 st April 2016,distributed nt 4 th April, will indicate in the column Prv / Trd price the adjusted Price. 4

A FAVORE DI ENEL S.P.A.: IMPATTO SUI CONTRATTI DI OPZIONE E SUI CONTRATTI FUTURES SU AZIONI (EGPW) Premessa A decorrere da venerdì 1 aprile 2016 avrà efficacia in Borsa l operazione di scissione parziale non proporzionale di Enel Green Power a favore di Enel S.p.A., con assegnazione di n. 0,486 azioni Enel ogni n. 1 azione Enel Green Power posseduta e contestualmente annullata, con impatto sui contratti di Opzione e sui contratti Futures, secondo le modalità degli Avvisi di Borsa Italiana n. 5682, n.5695 e n.5696 del 29 marzo 2016 e dell art. B del Regolamento di CC&G. 1. Operazione di rettifica Al termine della sessione di giovedì 31 marzo p.v. e dopo l elaborazione del Batch serale, le posizioni aperte saranno rettificate come di seguito riportato. posizioni in opzioni 4 a) I prezzi di esercizio saranno moltiplicati per il coefficiente K=1/0,486= 2,057613, diffuso da Borsa Italiana, e arrotondati alla quarta cifra decimale: Prezzo di Esercizio Ex = Prezzo di Esercizio Cum x K; b) il numero di azioni sottostanti sarà diviso per il medesimo coefficiente K e arrotondato all unità: Numero Azioni (EGPW ENEL1) = 1000/K=486 posizioni in futures a) I prezzi di regolamento giornaliero saranno moltiplicati per il coefficiente K=1/0,486)= 2, diffuso da Borsa Italiana e arrotondati alla quarta cifra decimale: Prezzo Ex = Prezzo Cum K b) il numero di azioni sottostanti sarà diviso per il medesimo coefficiente K e arrotondato all unità: Numero Azioni (EGPW ENEL1) = 1000/K=486 4 Le posizioni in opzioni esercitate e/o assegnate fino a mercoledì 30 marzo 2016 non saranno rettificate.
