73 RACCOMANDAZIONI PER LA SCELTA, LO STOCCAGGIO, L USO E LA MANUTENZIONE DEI TUBI FLESSIBILI IN GOMMA RECCOMENDATION REGARDING CHOICE, STORING, USE AND MAINTENANCE OF RUBBER HOSES 1. CRITERI DI SCELTA Per scegliere un tubo idoneo all'uso previsto è necessario determinare almeno i seguenti parametri fondamentali: 1.1 Pressione - depressione Deve essere determinato il valore della pressione massima di esercizio o depressione in servizio. E' da considerare che, nel caso di brusche variazioni di pressione o addirittura di picchi superiori alla pressione massima di esercizio, sarà pregiudicata la normale durata del tubo. 1.2 Compatibilità dei prodotti trasportati Vanno definite la natura, la designazione, la concentrazione, la temperatura e la forma (liquida, gassosa, solida). In caso di prodotti solidi da trasportare è necessario indicare la granulometria, la densità, la portata del prodotto solido trasportato, la natura, la velocità e la portata del fluido portante. 1.3 Ambiente E' necessario conoscere il luogo d'uso, la temperatura ambiente, il grado igrometrico e l eventuale esposizione agli agenti atmosferici. Condizioni ambientali particolari quali le luci ultraviolette, l'ozono, l'acqua salata, gli agenti chimici ed altri elementi aggressivi possono provocare una precoce degradazione del tubo. 1.4 Sollecitazioni meccaniche Deve essere stabilito il raggio minimo di curvatura in servizio nonché eventuali sollecitazioni a trazione, torsione, flessione, vibrazioni, compressione, schiacciamento e carichi longitudinali o trasversali. 1.5 Abrasione della copertura Anche se i tubi sono già progettati per garantire una buona resistenza all'abrasione, è bene ricorrere ad una protezione ulteriore quando nell'impianto si possono verificare danneggiamenti a causa di urti, corrosioni e strisciamenti. 1.6 Posizione di lavoro Indicare se il tubo in esercizio è posto al suolo, in sospensione o in immersione. 1.7 Raccordatura utilizzata o prevista Va determinata per: - i raccordi e le flange: il tipo, la dimensione, la natura della filettatura, la norma di riferimento ed il tipo di applicazione; - i codoli: il diametro interno ed esterno e la lunghezza di accoppiamento; - le staffe: il tipo e le dimensioni. Per garantire un buon funzionamento deve essere assicurata la compatibilità tra il tubo ed il tipo di raccordatura. Il tubo assemblato deve comunque garantire la pressione di servizio indicata dal costruttore. 1.8 Regolamentazione tecnica Si dovrà sempre tenere conto delle norme e delle regolamentazioni tecniche esistenti a livello nazionale, europeo ed internazionale. In caso di tubazioni per impieghi di tipo particolare è bene definire con il produttore un capitolato specifico. 1.9 Marcatura I produttori provvedono a riportare sulla copertura del tubo, ad intervalli regolari, una serie di informazioni atte a definire il campo di impiego. In caso di difficoltà di interpretazione o quando le informazioni non sono ritenute sufficienti, gli utenti sono invitati a rivolgersi al produttore. 1. CHOICE CRITERIA In order to choose a hose suitable for a specific use it is necessary to determine at least the following basic points: 1.1 Pressure - suction It is necessary to determine the maximum working pressure or suction values. It should be taken into consideration that the normal life of the hose will be prejudiced in the case of a sudden pressure variation or pressure peaks exceeding the maximum allowed. 1.2 Compatibility of conveyed substances The nature, designation, concentration, temperature and state ( liquid, solid, gaseous) must be determined. In the case of solid substances conveyed, it is necessary to indicate granulometry, density, quantity of the solid substance conveyed as well as the nature, speed and flow of the fluid carrying it. 1.3 Environment It is necessary to know the place of usage, ambient temperature, hygrometric conditions and exposure to atmospheric agents. Specific environment conditions such as ultraviolet rays, ozone, sea water, chemical agents and other aggressive elements could cause early degeneration of the hose. 1.4 Mechanical stress The minimum bend radius must be established as well as any stress related to traction, torsion, bending, vibration, compression, deflection and longitudinal or transversal loads. 1.5 Cover abrasion Even though the hoses are manufactured to guarantee good resistance to abrasion, it is advisable to use further protection when damage to the hose may be caused by shock, corrosion and dragging. 1.6 Working position Indicate if the hose is either placed on the ground, suspended or immersed. 1.7 Used or foreseen couplings This must be selected according to: - coupling and flanges: type, dimension, type of thread, standard references and kind of application; - ruffles: internal and external diameter and coupling length; - brackets: type and dimension. In order to guarantee good performance the compatibility between the hose and type of coupling must be ensured. The assembly must guarantee the working pressure suggested by the manufacturer. 1.8 Technical standards National, European and International technical standards and rules must always be adhered to. In the case of hoses for peculiar purposes it is advisable to establish proper specification with the manufacturer. 1.9 Marking Manufacturers must mark hoses at regular intervals with the information necessary for the proper use of the product. When the interpretation is not clear or the informations are insufficient, users should apply to the manufacturer. 75

RACCOMANDAZIONI PER UNO STOCCAGGIO CORRETTO Le gomme sono soggette, per loro natura, a una modifica delle loro proprietà fisico-prestazionali. Questi cambiamenti, che avvengono normalmente nel tempo in relazione al tipo di gomma impiegato, possono essere accelerati da singoli fattori o da una combinazione degli stessi. Anche i materiali di rinforzo possono essere condizionati negativamente da un immagazzinaggio inadeguato. Le seguenti prescrizioni enunciano un insieme di precauzioni per ridurre al minimo il deterioramento degli articoli stoccati. 2.1 Durata di stoccaggio La durata di stoccaggio deve essere ridotta il più possibile attraverso una rotazione programmata del magazzino. Quando non è possibile evitare uno stoccaggio di lunga durata è necessario che l'utilizzatore, effettui un controllo approfondito del tubo prima della sua entrata in servizio. 2.2 Temperatura ed umidità La temperatura ottimale per l'immagazzinaggio di tubi flessibili in gomma varia da 10 C a 25 C. Essi non devono essere sottoposti a temperature superiori a 40 C o inferiori a 0 C. Quando la temperatura è inferiore a -15 C è necessario adottare precauzioni per la loro movimentazione. I tubi non devono essere immagazzinati né vicino a fonti di calore né in condizioni di alta o bassa umidità. L'umidità relativa non deve preferibilmente superare il 65% Luce I tubi devono essere immagazzinati in locali bui, evitando in particolare la luce solare diretta o una illuminazione artificiale intensa. Se i locali di stoccaggio hanno finestre o aperture vetrate, queste devono essere schermate Ossigeno ed ozono I tubi devono essere protetti dall'aria attraverso idonei imballi o immagazzinati in contenitori chiusi. Poiché l'ozono esercita una particolare azione aggressiva su tutti i prodotti in gomma, i magazzini di stoccaggio non devono contenere materiali capaci di produrne come il materiale elettrico ad alta tensione, i motori elettrici o altri materiali in grado di provocare scintille o archi elettrici. 2.5 Contatto con altri materiali I tubi non devono essere messi a contatto con solventi, carburanti, oli grassi, composti chimici volatili, acidi, disinfettanti e liquidi organici in genere. Inoltre, il contatto diretto con alcuni metalli (per esempio manganese, ferro, rame e sue leghe) ed i loro composti esercitano effetti dannosi su alcuni tipi di gomme. Va altresì evitato il contatto con cloruro di polivinile (PVC) e con legname o tessuto impregnati di creosoto. 2.6 Fonti di calore Devono essere rispettati i limiti di temperatura definiti al punto 2.2. Quando ciò non è possibile, è necessario frapporre una protezione termica. 2.7 Campo elettrico o magnetico Nei locali di stoccaggio devono essere escluse variazioni di campo elettrico o magnetico, le quali possono provocare correnti nei raccordi metallici, riscaldandoli. Simili campi possono essere creati da linee ad alta tensione o da generatori ad alta frequenza. 2. RECOMMENDATION FOR CORRECT STORAGE Rubber is subject, by nature, to change in physical properties. These changes, which normally occur over the course of time, according to the kind of rubber used, can be accelerated by one particular factor or by a combination of these. Reinforcement materials are also adversely affected by unsuitable conditions of storage. The following recommendations give some precautions to be taken to ensure the minimum deterioration to stored articles. 2.1 Storage life Storage time should be reduced to the minimum through programmed rotation. When it is not possible to avoid long term storage, it is necessary that the user carries out a complete check of the hose before its use. 2.2 Temperature and humidity The best temperature for the storage of rubber hoses varies from 10 to 25 degrees centigrade. Hoses should not be stored at temperature above 40 C or below 0 C. When the temperature is below -15 C it is necessary to take precautions when handling. Hoses should not be stored neither near sources of heat nor in conditions of high or low humidity. A humidity level of a maximum of 65% is recommended. 2.3 Light Hoses must be stored in dark places, avoiding direct sun light or strong artificial light. Should store rooms have windows or glass openings, these must be screened. 2.4 Oxygen and ozone Hoses should be protected from circulating air by suitable packing or by storage in air-tight containers. As ozone has a particularly aggressive action on all rubber products, the warehouses must not contain material producing ozone like devices under high electrical tension, electric engines or other materials provoking sparks or electric arcs. 2.5 Contact with other materials Hoses should not come into contact with solvents, fuels, oils, greases, volatile chemical mixtures, acids, disinfectants and other organic liquids in general. Furthermore direct contact with some metals (for example manganese, iron, copper and its alloys) and relative mixture exercise harmful effects on some types of rubber. Contact with PVC and creosote impregnated timber or fabrics should be avoided. 2.6 Heat sources The temperature limits given in point 2.2 must be respected. When this is impossible, it is necessary to use a thermic shield. 2.7 Electric or magnetic field Variation in electric or magnetic fields must be eliminated in warehouses as these could provoke currents in metal coupling, heating them. Similar fields could be caused by high-tension cables or high frequency generators. 76

I T 2.8 Condizione di stoccaggio I tubi devono essere immagazzinati senza sollecitazioni, allungamenti, compressioni, o deformazioni eccessive evitando il contatto con oggetti spigolosi o taglienti. Verranno immagazzinati preferibilmente in appositi scaffali o superfici asciutte. I tubi confezionati in rotolo, devono essere immagazzinati orizzontalmente evitando l'accatastamento. Quando ciò non è possibile, l'altezza delle pile deve essere tale da evitare deformazioni permanenti agli articoli posizionati in basso. Il diametro interno di avvolgimento del rotolo, in fase di stoccaggio deve essere tale da non pregiudicare le prestazioni del prodotto stesso. In particolare tale diametro non deve essere inferiore ai valori prescritti dal costruttore. E' consigliabile evitare di collocare i rotoli su aste o ganci. E' inoltre consigliabile immagazzinare orizzontalmente, senza curvarli, i tubi che vengono consegnati diritti. 2.9 Roditori ed insetti I tubi devono essere preservati dall'eventuale attacco di roditori ed insetti. In caso di tali rischi dovranno essere predisposte adeguate protezioni Marcatura degli articoli imballati E' opportuno che il tubo sia sempre chiaramente identificabile, anche se imballato Ritiro dal magazzino Prima della consegna si deve controllare che i tubi siano integri e corrispondano all'uso previsto. Nel caso di uno stoccaggio prolungato e quando i raccordi non sono aggraffati, mandrinati o vulcanizzati, è necessario controllare la buona chiusura dei collari di serraggio Ritorno in magazzino I tubi che sono stati utilizzati, devono essere svuotati da tutte le sostanze trasportate prestando un'attenzione particolare quando sono stati trasportati prodotti chimici, esplosivi, infiammabili, abrasivi o corrosivi. E' consigliabile, dopo la pulizia, verificare il buono stato e la possibilità di riutilizzazione. 3. NORME E MODALITÀ D USO Dopo aver selezionato il tipo di tubo, l'utilizzatore deve tenere conto dei seguenti criteri di montaggio: 3.1 Controlli pre montaggio Prima del montaggio occorre esaminare attentamente il tubo controllando tutte le sue caratteristiche per verificare la conformità alle specifiche: tipo, diametro e lunghezza. E' inoltre opportuno effettuare un controllo visivo accertandosi che non vi siano ostruzioni del diametro, tagli, coperture danneggiate o altri difetti palesi. 3.2 Movimentazione I tubi devono essere movimentati con precauzione evitando urti, trascinamenti su superfici abrasive, schiacciamenti e non devono essere tirati con forza quando sono attorcigliati o piegati. I tubi di peso elevato, che vengono abitualmente consegnati in posizione orizzontale, devono essere sostenuti, durante il trasporto, su speciali supporti per il trasporto. Se si impiegano cavalletti di legno, gli stessi non devono essere trattati con iniezioni di creosoto o verniciati con sostanze che possono avere effetti dannosi. 2.8 Storage conditions Hoses must be stored in a relaxed condition free from tension, compression or other deformation and contact with objects that could pierce or cut must be avoided. It is preferable to store hoses on special shelves or on dry surfaces. Coiled hoses must be stored horizontally avoiding piling. When this is not possible the height of the piles must be such to avoid permanent deformation of hoses stored underneath. The inside diameter of the coil, during the storage, must be such as not to compromise the performances of the products. In particular, this diameter must not have value less than those indicated by the manufacturer. It is advisable to avoid storing coiled hoses on poles or hooks. Furthermore it is advisable to store hoses to be delivered straight, horizontally, without bending. 2.9 Rodents and insects Hoses must be protected from rodents and insects. Particular attention must be paid when chemical, explosive, inflammable, abrasive and corrosive substances have been conveyed. After cleaning, the hose must be checked for integrity. 3. NORMS AND METHOD OF USE After having chosen the type of hose, the users must keep in mind the following hose installation criteria: 3.1 Pre-assembly checks Prior to installation it is necessary to check carefully the characteristics of the hose so to verify that type, diameter and length conform with the required specifications. Moreover a visual check must be effected to make sure that there are no obstructions, cuts, damaged cover or any other evident imperfections. 3.2 Handling Hoses must be moved with care avoiding knocks, dragging over abrasive surfaces and compression. Hoses must not be pulled violently when twisted or knotted. Heavy hoses, normally delivered in a straight line, must be laid on special supports for transport. Should wood supports be used these must not be treated with creosote or painted with substances which could damage the rubber. 77

Dopo l'installazione, eliminate tutte le possibili bolle d'aria, porre gradatamente il sistema alla massima pressione di esercizio allo scopo di verificare il funzionamento della apparecchiatura e l'assenza di perdite. Tale controllo va effettuato in aree dove non sussistono pericoli. 3.4 Temperatura I tubi devono essere utilizzati entro i limiti di temperatura generalmente indicati. In caso di dubbio consultare il produttore. 3.5 Prodotti trasportati I tubi devono essere utilizzati per trasportare esclusivamente quei prodotti per i quali sono stati progettati. In caso di dubbio è sempre consigliabile rivolgersi al produttore. Per quanto è possibile, i tubi devono essere vuotati al termine del periodo di lavoro. In caso di impieghi pericolosi è necessario adottare tutte le misure e le precauzioni possibili per limitare le conseguenze di eventuali scoppi accidentali di un tubo. 3.6 Ambiente I tubi devono essere utilizzati nelle condizioni ambientali per le quali sono stati progettati. 3.7 Raggi di curvatura Installazioni al di sotto del raggio minimo di curvatura riducono sensibilmente la vita del tubo. Inoltre è necessario evitare le curvature in uscita dai raccordi. 3.8 Torsione Salvo indicazioni diverse, i tubi non sono progettati per lavorare in torsione. 3.9 Trazione Gli sforzi di trazione devono essere compresi nei limiti specificati dal produttore. Nel caso di dubbi sulla idoneità dei tubi a lavorare in trazione, è bene consultare preventivamente il produttore Vibrazioni Le vibrazioni sottopongono i tubi a sollecitazioni a fatica e riscaldamento che si concentrano in prossimità dei raccordi e possono provocare scoppi prematuri. E' sempre opportuno accertarsi che i prodotti siano stati progettati per resistere a dette sollecitazioni Piegature Alcuni utenti usano interrompere il passaggio del liquido piegando completamente il tubo. Tale sistema, sconsigliato dai produttori, sottopone l'armatura ad uno sforzo particolare che può provocare scoppi prematuri Scelta e montaggio dei raccordi Oltre a rispettare le raccomandazioni fornite dai produttori, è sempre necessario verificare la compatibilità tra la pressione d'uso dei raccordi e quella del tubo. I raccordi con diametri sovradimensionati creano sollecitazioni anomale che possono provocare la rottura dell'armatura del tubo, mentre quelli sottodimensionati presentano difficoltà di serraggio e rischi di fughe. Inoltre i raccordi non devono avere spigoli vivi o parti taglienti che possono danneggiare il tubo. Per infilare il raccordo si possono utilizzare acqua o acqua e sapone evitando di impiegare prodotti contenenti olii o solventi, salvo per i tipi di tubi destinati a trasportarli. E' proibito ammorbidire il tubo percuotendolo con un martello o oggetti similari. In case of doubts, it is advisable to get in touch with manufacturers Vibration Vibrations put hoses under stress from heat and fatigue above all near couplings and premature bursting may occur. It is therefore advisable to check that hoses have been manufactured to resist to such a stress Kinking Some users tend to obstruct the flow of liquids by kinking the hose. This system is not advised by manufacturers because the reinforcement is subjected to eccessive stress and could lead to bursting Choice and application of couplings Besides meeting manufacturers instructions, it is always necessary to check the compatibility between the working pressure of couplings and hoses. Couplings with too large diameters cause abnormal stress which can split the hose reinforcement, whilst too small dimensions can create clumping difficulties and leakage. Furthermore couplings must be free from sharp and cutting edges which could damage the hose. Water or soap and water can be used to fit couplings. To put on fittings, use water or water with soap but do not use products containing oils or solvents except for the type of hoses suitable to carry them. Softening hoses with mallet or similar tools is forbidden. As far as the fixing and the external collars are concerned take care to avoid: 78

Installazioni mobili Quando i tubi devono collegare pezzi o organi in movimento, è necessario verificare che la lunghezza del tubo sia adeguata e che i movimenti non sottopongano il tubo ad urti, sfregamenti e non provochino sollecitazioni anomale di curvatura, piegatura, trazione o torsione Identificazione Quando sono neccessarie marcature ulteriori, si possono utilizzare delle fascette di nastro autoadesivo. Quando è impossibile evitare l'utilizzo di vernici, consultare preventivamente il produttore del tubo per verificarne la compatibilità della copertura. 4. MANUTENZIONE Anche se la scelta, lo stoccaggio e l'installazione sono state eseguite correttamente, è necessario effettuare un regolare e corretto programma di manutenzione, la cui frequenza dovrà essere determinata in funzione della severità dell'applicazione. Durante i controlli periodici è necessario prestare un'attenzione particolare allo stato dei raccordi e alla comparsa delle seguenti anomalie, rilevabili a vista, che denotano uno stato di degrado del tubo: - Screpolature, fenditure, abrasioni, scollamenti, strappi della copertura con zone dell'armatura lese o scoperte; - Deformazioni, bolle, rigonfiamenti localizzati sotto pressione; - Zone appiccicose o molli; - Perdite. 4.1 Riparazioni Si sconsigliano riparazioni sui tubi. Tuttavia, quando si ha un deterioramento di una estremità su un tubo sezionabile, e se la lunghezza rimasta integra lo consente, si può procedere all'eliminazione della zona difettosa. 4.2 Pulizia In assenza di istruzioni da parte del produttore, la pulizia, se necessaria, deve essere effettuata con acqua e sapone evitando l'impiego di solventi (per esempio benzina, olii paraffinici, ecc.) o soluzioni detergenti. Non si devono impiegare strumenti abrasivi, appuntiti o taglienti (ad esempio spazzole metalliche). - the use of makeshift collars (for example wire) with sharp edges; - the use of a too tight clumping that leads to a damage of the cover and reinforcement Electrical properties Electrical properties of hoses and assemblies, are measured between couplings and/or the end of the hose and are expressed in ohm. Resistance > 106 ohm Installation between two points The hoses must be supported in a suitable way, so that the normal movement of the hose under pressure (variations in length, diameter, twisting, etc.) is allowed Mobile pieces When hoses link mobile pieces, it is necessary to check that the length of the hose is suitable and that the movement does not hurt or drag the hose and that abnormal stress, bending, traction or torsion do not occur Identification If further markings are necessary, self-adhesive tapes may be used. When the use of paint is unavoidable, check the compatibility of the cover with the manufacturer. 4. MAINTENANCE Even though choice, storage and installation have been correctly carried out, regular maintenance is necessary, the frequency of which is determined according to the use involved. However when deterioration occur at one end, and if the full length allows for such, the worn section may be eliminated. 4.2 Cleaning If cleaning instructions are not supplied by the manufacturer clean, if necessary, with soap and water avoiding the use of solvents (petrol, paraffin, etc.) or detergents. Never use abrasive, sharp-pointed or cutting tools (wire brushes). 79

Le presenti condizioni generali di vendita si applicano al rapporto commerciale tra l'operatore professionale (di seguito denominato "Cliente") e la Società CIDAT S.p.A. Condizioni di vendita diverse dalle presenti sono da considerarsi inefficaci, anche se non espressamente obiettate da CIDAT S.p.A. Qualsiasi deroga o modifica alle presenti condizioni generali di vendita avrà validità solo se esplicitamente concordate per iscritto. Le condizioni qui indicate si intendono accettate alla sottoscrizione del Cliente, dovendosi considerare come parte integrante e vincolante del contratto di vendita. 2.Offerte. Le offerte sono valide per un periodo massimo di 4 (quattro) settimane a partire dalla data del loro rilascio. Gli accordi conclusi per via orale o per telefono saranno vincolanti solo se formalizzati per iscritto da Cidat S.p.A. 3.Formalizzazione dell ordine. Gli ordini devono essere formalizzati per iscritto sia via fax, sia via . Il contratto si conclude formalmente con l invio al Cliente della conferma d ordine. Cidat S.p.A. si riserva il diritto di accettare o di rifiutare interamente o parte di un ordine. Senza la conferma scritta di Cidat S.p.A. nessun ordine, offerta o proposta avrà valore di impegno tra le parti. Ogni altro termine di acquisto indicato nell ordine del Cliente o qualsiasi altra condizione che varia e/o è in conflitto con le presenti condizioni generali di vendita possono essere rifiutate da Cidat S.p.A. e non dovranno essere considerate come parte integrante del contratto di vendita, se non specificamente concordato per iscritto con Cidat S.p.A. 4.Prezzi. Salvo diversa indicazione, i prezzi di vendita delle merci sono importi netti espressi in Euro e al netto di IVA. Cidat S.p.A. si riserva il diritto di modificare i prezzi, gli sconti e le condizioni di pagamento in vigore al momento della conferma d ordine. Tuttavia le eventuali modifiche acquisteranno efficacia dopo la notifica delle stesse al Cliente e si applicheranno solo alla parte di fornitura non ancora eseguita. In questo caso il Cliente ha la facoltà di recedere dal contratto, relativamente alla parte non eseguita entro una settimana dal ricevimento della notifica. 5.Modalità e termini di consegna. Se non diversamente pattuito, tutte le spedizioni si intendono franco fabbrica/ex works secondo gli Incoterms 2000 (International Commercial Terms). I termini di consegna sono puramente indicativi e sono in funzione del ricevimento di tutte le informazioni necessarie da parte del Cliente. Cidat S.p.A. non potrà essere ritenuta responsabile per eventuali perdite o spese sostenute dal Cliente nel caso di ritardi nelle consegne dovuti a circostanze impreviste. Eventuali reclami per danni o differenze quantitative rispetto a quanto indicato nei documenti di trasporto dovranno essere comunicati entro 24 ore dal ricevimento della merce e devono essere segnalate attraverso opportuna riserva scritta nei documenti di accompagnamento della merce. 6.Restituzioni. Non sono ammesse restituzioni di prodotto se non preventivamente concordate con Cidat S.p.A. Gli accordi di restituzione dei prodotti pertanto devono essere perfezionati prima della spedizione degli stessi, mediante l invio di fax e/o , spiegandone dettagliatamente i motivi e citando i riferimenti dei documenti di trasporto e/o della fattura corrispondente. Tutti i prodotti devono essere restituiti integri e completi di ogni parte. Cidat S.p.A. si riserva il diritto di decidere l effettivo importo dei rimborsi, dopo la verifica dei materiali ricevuti. 7.Tolleranze. Cidat S.p.A. si riserva la facoltà di effettuare la fornitura con una tolleranza del +/- 10% delle quantità confermate. 8.Pagamento. Il pagamento è effettuato entro il termine concordato, nella valuta concordata all'indirizzo indicato sulla fattura. 1. General. These sale standard terms and condition will apply to the entire business relationship between the professional operator (hereinafter referred to as The Customer ) and Cidat S.p.A Company. Deviating provisions shall be ineffective even if Cidat S.p.A. does not expressly object thereto. Different conditions proposed by the Customer shall only be effective if Cidat S.p.A. accepts the same in writing. The Customer shall be deemed to be fully aware of the contents of these Terms and Sales Conditions stated herein, to have understood that they are binding and to have them accepted as such by placing any orders and any products. 2.Offers. Offers shall be valid for a maximum period of 4 (four) weeks starting from their date of issue. Agreements concluded orally or over the phone will be only binding if Cidat S.p.A. has acknowledged them in writing. 3. Ordering Process. The Customer may issue purchase orders to Cidat S.p.A. in the following ways: a) by fax b) by Orders received by Cidat S.p.A. are accepted only upon written confirmation. Cidat S.p.A. has the right to accept or to reject all or part of the orders. Until written confirmation has been sent by Cidat S.p.A. no bid, offer or quotation will be binding upon. Any and all terms in the Customer purchase orders, acknowledgments, confirmations or any other business forms which vary, conflict with or add to or are in any way inconsistent with the terms provided below are rejected by Cidat S.p.A. and shall not be part of any agreement between the Customer and Cidat S.p.A., unless specifically agreed to in a writing document signed by Cidat S.p.A. The terms provided below shall prevail over any varying, additional or conflicting terms in the Buyer s forms. 4. Prices. Unless otherwise stated, the selling prices for the goods as well as offers shall be considered net amounts in Euro, VAT not inclueded. Cidat S.p.A. reserves the right to change prices, discounts and payment conditions in force when the contract is confirmed. However any modifications will become effective after notification of these has been issued and they will apply only to the part of the supply that has not been completed. In such a case the Customer may cancel the contract for the part not completed within 1 (one) week of the issue of the notification. 5. Delivery. Shipments shall be EXW according to the Incoterms 2000 (International Commercial Terms), unless differently agreed upon in the contract. Shipping dates are to be considered approximate and are based on prompt receipt by Cidat S.p.A. of all the necessary information from the Customer. Cidat S.p.A. shall not be liable for any loss or expense incurred by the Customer in the event that Cidat S.p.A. fails to meet the specified delivery schedule(s) due to unforeseen circumstances. Claims for damage or loss of the goods in transit must be filled by the Customer against the Carrier and they must be notified within 24 hours from the goods receipt. In addition to this, claims should be reported through an appropriate reserve written in the delivery note. 6. Returns. Cidat S.p.A. will accept returns only upon prior agreements and at conditions to be defined between the parties. Agreements on returns must therefore be accepted before the dispatch, by fax and/or by , explaining in details the reasons of these returns and mentioning the original number of the delivery note and/or of the invoice. Products must be returned undamaged and complete in all their original parts. Cidat S.p.A. reserves the right to decide the amount to be reimbursed, after the materials check. 7. Tolerances. Due to Cidat S.p.A. requirements, tolerances of +/-10% of the confirmed quantities are always allowed and accepted. 8. Payment. Payment shall be made within the agreed period, in the agreed currency at the address shown on the invoice. 80

I T CONDIZIONI GENERALI DI VENDITA SALE STANDARD TERMS AND CONDITION In caso di ritardato pagamento, al Cliente verrà addebitato un interesse pari al tasso Euroribor maggiorato di 2 punti percentuali (2%) sul saldo non pagato. Gli interessi decorrono automaticamente dal giorno successivo della scadenza del termine per il pagamento. Per nessuna ragione e per nessun titolo il Cliente potrà sospendere e/o differire il versamento del corrispettivo convenuto, neppure in caso di controversia e/o reclami ed eventuali vizi e/o difetti della merce fornita. Cidat S.p.A. si riserva il diritto di sospendere tutte le ulteriori forniture, recuperare tutti i materiali non pagati (che restano di proprietà della stessa fino al pagamento dell intero importo della fattura) e di richiedere il pagamento immediato di tutti i crediti in essere. Il Cliente inadempiente dovrà sostenere l'onere di tutte le spese sostenute per il recupero del credito. 9.Modifica e cancellazione del contratto. Il Cliente non può annullare o modificare un ordine senza preventiva autorizzazione scritta di Cidat S.p.A. e si assume la responsabilità per tutti i costi sostenuti a causa di tale modifica e/o cancellazione. Cidat S.p.A. si riserva il diritto di sospendere il contratto se il Cliente è considerato finanziariamente rischioso. 10.Forza Maggiore. Cidat S.p.A. non è responsabile per qualsiasi ritardo o mancata esecuzione del contratto per cause di forza maggiore. Queste clausole (elencate solo a titolo esemplificativo e non esaustivo) includono, senza limitazione, incendi, inondazioni, terremoti, incidenti, atti del nemico pubblico, guerra, atti di terrorismo, sommosse, epidemie, quarantene, controversie di lavoro, carenze di manodopera, interruzione del pubblico trasporto, impossibilità di ottenere materie prime o macchinari, aumenti straordinari nei prezzi delle materie prime, embarghi, atti di governo. Cause di forza maggiore analoghe possono consentire al Cliente il mancato ritiro della merce ordinata, comunicando detto rischio con ragionevole preavviso a Cidat S.p.A. Tuttavia, il Cliente non è giustificato in caso di (a) merci spedite prima del ricevimento di tale comunicazione, oppure (b) quando le merci sono già in transito prima che si verifichi una causa di forza maggiore. 11.Garanzia. La garanzia per la durata di un anno si intende subordinata al riscontrato difetto di fabbricazione del prodotto sulla base dell insindacabile giudizio di Cidat S.p.A., che a sua scelta potrà rimediare mediante la sostituzione della merce difettosa, da effettuarsi nel più breve tempo possibile, o mediante l emissione di una nota di credito per l'importo della merce difettosa. Nessun altro costo aggiuntivo potrà essere a carico di Cidat S.p.A. Inoltre Cidat S.p.A. non sarà in alcun caso responsabile per danni diretti, indiretti, incidentali o consequenziali. Non ci sono altre garanzie esplicite o implicite al di là di quelle ivi menzionate. È al tempo stesso esclusa qualsiasi forma di garanzia per vizi e/o difetti derivanti da componenti esterni (agenti chimici, fisici, elettromeccanici, atmosferici), ovvero da riparazioni, interventi e/o sostituzioni eseguiti sul prodotto direttamente dal Cliente e/o da terzi da questo incaricato senza l autorizzazione di Cidat S.p.A., da insufficiente manutenzione e da mancata osservanza delle istruzioni per lo stoccaggio, l uso e la manutenzione dei prodotti (disponibili per la consultazione sui cataloghi o nel sito 12.Controversie. Le presenti condizioni generali di vendita sono regolate dalla legge italiana. Per qualsiasi controversia giudiziaria si elegge competente il Tribunale di Busto Arsizio. Le parti dichiarano di aver interamente letto ed approvato i patti e le condizioni generali di vendita ai sensi e per gli effetti degli Art e 1342 del C.C. ed in particolare quelle riportate ai punti 1), 2), 3), 4), 5), 6), 7), 8), 9), 10) Forza maggiore, 11) Garanzia, 12) Foro per le controversie. In the event of late payment, the Customer will incur an interest charge of 2% above the Euroribor rate on the unpaid balance. Interests shall occur automatically from the following day of the overdue payment. For any reason, the Customer may suspend and/or defer the payment, even in the event of disputes and/or complaints and in the event of any faults and/or defects of the goods supplied. Contract modification and cancellation. The Customer may not cancel or modify any order without Cidat S.p.A. prior written consent and accepts responsibility for all the applicable costs incurred by Cidat S.p.A. due to such cancellation or modification. Cidat S.p.A. may suspend the contract if the Customer is considered financially risky and unsafe. 10.Force Majeure. Cidat S.p.A. shall not be responsible for any delay or failure to perform due to causes beyond its reasonable control. These clauses (to be considered as examples and not as exhaustive) shall include, without limitation, fire, flood, earthquake, accident, acts of the public enemy, war, acts of terrorism, riot, epidemic, quarantine restrictions, labor dispute, labor shortages, interruption of transportation, inability to secure raw materials or machinery, extraordinary increases in such raw materials prices, rationing or embargoes, acts of God, acts of Government. Similar causes shall excuse the Customer for failure to take goods ordered, providing reasonable notice to Cidat S.p.A. of such contingency. However, the Customer shall not be excused from the terms for (a) any goods shipped prior to receipt of such notice; or (b) goods already in transit when the force majeure cause occurs. 11.Warranty and claims. The warranty for a period equal to 1 (one) year from the date of shipping from Cidat S.p.A. can be executed once the goods delivered proved to be defective or faulty at Cidat S.p.A. option by means of replacing the defective goods (when these are returned to Cidat S.p.A. premises) with new goods of good quality that have to be delivered as quickly as possible or of issuing the credit note for the amount of the defective goods. No other related extra costs will be borne by Cidat S.p.A. Moreover Cidat S.p.A. shall in no event be liable for direct, indirect, incidental or consequential damages. There are no other warranties either expressed or implied beyond those set herein. However this warranty does not cover any faults caused by normal deterioration, accelerated deterioration caused by special physical, chemical or electromechanical conditions, insufficient maintenance or incorrect repair, failure to follow the storage, user and operating instructions (available on Cidat S.p.A. catalogues or on the web site or any other faults arising as a result of circumstances over which Cidat S.p.A. has no control. 12.Interpretation. The validity, performance of these standard terms and condition of sales shall be governed by the Italian Law. For any legal dispute that may arise the final adjudicator of any such dispute is nominated to be the Tribunal of Busto Arsizio and this shall apply even in cases where the sales contract may stipulate the residence of the client. The parties declare to have read and accepted the standard terms and condition of sales under and for the purposes of Art and Art of the Italian Civil, especially for clauses 1), 2), 3), 4), 5), 6), 7), 8), 9), 10) Force Majeure, 11) Warranty and claims, 12) Competent Court. 81
