ONIZIONI GENERLI I VENIT GENERL SLES ONITIONS 1. Normativa contrattuale Le presenti condizioni generali, salvo eventuali modifiche o deroghe concordate per iscritto, disciplinano tutti i contratti di vendita conclusi tra LI e l acquirente, sia presenti che futuri. Le vendite che seguono le proposte di commissione, trasmesse anche da agenti di commercio, procacciatori d affari e/o collaboratori di LI, si perfezionano contrattualmente con l accettazione per iscritto di LI o con l esecuzione dell ordine da parte di LI medesima. 2. Quantità I quantitativi consegnati possono differire per eccesso rispetto a quelli ordinati a causa del contenuto di ogni singolo imballo; in tal caso le quantità eccedenti sono fatturate ai medesimi prezzi unitari. 3. Prezzi I prezzi s intendono sempre al netto di IV e altre tasse, imposte, oneri doganali o di frontiera, imballi, spese di spedizione, costi di trasporto e posa. I prezzi non tengono conto di eventuali richieste del cliente riguardo particolari imballi, spedizioni per espresso, ecc.; tali richieste vengono preventivamente concordate con il cliente e rimangono in ogni caso a suo carico. 4. Revisione prezzi Se per qualsiasi altro motivo, non prevedibile da un imprenditore con normale esperienza del settore, l esecuzione degli obblighi di LI sia divenuta eccessivamente onerosa in rapporto alla controprestazione originariamente concordata, tanto da modificare il rapporto stesso per più del 20%, prima dell esecuzione degli obblighi suddetti LI può chiedere un riesame delle condizioni contrattuali e, nel caso che quest ultimo non sia concesso, dichiarare risolto il contratto senza che ciò generi alcun diritto aggiuntivo in capo all acquirente. 5. onsegna Salvo diversa e specifica pattuizione, la merce viene consegnata secondo le condizioni previste dall ultima versione degli Incoterms emessa dalla International hamber of ommerce (I) e vengono indicate utilizzando le relative sigle. Salvo diverso accordo scritto, la vendita e la consegna s intendono effettuate Ex Works Loaded (EXW), anche ove sia concordato che la spedizione o parte di essa venga curata da LI; in tal caso quest ultima agisce come mandataria dell acquirente, essendo inteso che il trasporto viene effettuato a rischio di quest ultimo. on l accettazione del carico da parte del trasportatore, l acquirente esonera LI da ogni responsabilità per danni conseguenti il ritardo o la mancata consegna della merce ordinata e/o danni, rotture, manomissioni o ammanchi avvenuti durante il trasporto. In ogni caso, se la spedizione è effettuata a cura di LI, la merce viene resa al piano strada accessibile al mezzo, escluso quindi l eventuale trasporto allo specifico piano. Si precisa inoltre che, in caso di ritardo nel ritiro della merce, i costi aggiuntivi di giacenza e riconsegna sono tutti a carico del cliente. In caso di mancato ritiro del cliente, al medesimo vengono addebitati i costi di andata e ritorno delle merci, nonché tutti gli ulteriori costi sostenuti a tale proposito. Le consegne parziali possono essere effettuate solo in accordo con il cliente; gli eventuali costi aggiuntivi sono a carico del cliente stesso. 6. Termini di consegna L acquirente solleva LI da ogni responsabilità conseguente il mancato rispetto dei termini contrattuali determinati da ogni causa, con esclusione di dolo o colpa grave, per cui l acquirente stesso non può pretendere il rimborso di eventuali danni diretti o indiretti. 7. Reclami L acquirente si impegna a controllare accuratamente la merce al suo ricevimento, segnalando eventuali vizi e/o difformità rispetto a quanto ordinato entro 8 giorni dal ricevimento della merce stessa e comunque prima della posa del materiale. Il termine predetto, solo in caso di vizi occulti e sempre prima della posa, può decorrere dal momento in cui i medesimi si sarebbero potuti scoprire; in ogni caso, la denuncia per i vizi occulti non può avvenire oltre 12 mesi dalla consegna. I reclami devono pervenire ad LI a mezzo di lettera raccomandata e devono indicare con chiarezza i vizi e le non conformità. 8. Pagamento I termini di pagamento sono di rigore e decorrono sempre dalla data di fatturazione della merce. Tutti i pagamenti devono essere eseguiti presso gli uffici LI di Gualdicciolo, domicilio della venditrice. Ove si effettuino pagamenti in forma diversa, ovvero anche nel caso che il contratto preveda altre forme di pagamento, la deroga s intende rivolta soltanto a facilitare il pagamento da parte dell acquirente, ma non comporta il trasferimento del luogo stesso del pagamento, che resta fissato presso la sede di LI. In ogni caso, i pagamenti eventualmente effettuati in luoghi diversi dalla sede della società, non possono essere riscossi dal personale che non sia dipendente dell azienda, salvo espressa e specifica autorizzazione scritta di volta in volta fornita dall azienda stessa. In caso di mancato rispetto dei termini di pagamento, l eventuale accettazione di dilazioni da parte di LI s intende sempre convenuta salvo buon fine e senza revoca del debito. Qualsiasi ritardo o irregolarità nel pagamento attribuisce ad LI, fatti salvi tutti gli altri suoi diritti, il diritto di sospendere le forniture, di risolvere ogni contratto in corso, di annullare sconti, prezzi speciali ed eventuali condizioni commerciali particolari anche se non relative ai pagamenti in questione, nonché al risarcimento degli eventuali danni. on decorrenza dalla scadenza del pagamento e senza necessità di messa in mora, LI ha comunque diritto agli interessi sulla somma dovuta calcolati applicando per ogni mese il tasso Euribor ad un mese del primo giorno del mese stesso, maggiorato di due punti. Qualora LI venga a conoscenza di mutamenti negativi inerenti le condizioni patrimoniali e finanziarie della parte acquirente, è sua facoltà richiedere la prestazione di idonee garanzie e provvedere altresì a sospendere l esecuzione di quanto concordato sino all avvenuta prestazione delle garanzie predette. 9. Patto di riservato dominio Le merci vendute s intendono cedute con riserva di proprietà a favore di LI sino a totale effettivo pagamento dell intero prezzo, compresi eventuali interessi e costi accessori; risulta comunque escluso che i materiali venduti diventino immobili per destinazione o pertinenza di immobile. L acquirente che intende rivendere le merci a terzi cede ad LI, che accetta, tutti i suoi futuri diritti maturati da tale vendita. LI concede al suo acquirente il diritto di riscuotere i crediti da terzi, tranne il caso in cui LI revochi all acquirente medesimo tale diritto di riscossione; quest ultimo in ogni caso decade dal momento in cui l acquirente di LI non svolge più una regolare attività commerciale. 10. Garanzia La garanzia resa da LI è in ogni caso limitata ai materiali forniti dalla stessa; è comunque fatto salvo tra le parti ogni eventuale accordo stipulato per iscritto. Ogni elemento in legno della medesima specie legnosa possiede un aspetto originale ed unico, che dipende sia dalle caratteristiche climatiche e mineralogiche del luogo di accrescimento della pianta di provenienza che dal suo punto di prelievo e dal suo orientamento nel tronco. i conseguenza i campioni, i cataloghi e qualsiasi documentazione tecnica in possesso dell acquirente hanno valore puramente indicativo, dimostrativo e pubblicitario e quest ultimo non può fondare alcun reclamo su eventuali differenze tra la merce fornita e quanto risulta dal materiale dimostrativo in suo possesso. LI si riserva in qualsiasi momento di apportare alla merce in produzione le modifiche di carattere tecnico e costruttivo ritenute più opportune, senza l obbligo da parte sua di informazioni a terzi e di modifica dei campioni, dei cataloghi e dell altra documentazione tecnica in circolazione. La garanzia per vizi è limitata ai soli difetti dei prodotti conseguenti a deficienza dei medesimi riconducibile ad LI e non si applica nel caso in cui l acquirente non provi di averne effettuato un corretto uso e/o conservazione. fronte di regolare comunicazione LI è tenuta alternativamente a sua scelta, entro un termine ragionevole e avuto riguardo dell entità della contestazione, a: fornire gratuitamente franco rivenditore/ cantiere prodotti dello stesso genere e qualità di quelli risultati difettosi o non conformi a quanto concordato; l LI può in tal caso esigere la resa dei prodotti difettosi, che ritornano di sua proprietà; oppure, concedere all acquirente una riduzione del prezzo proporzionale ai difetti constatati sui prodotti e, salvo dolo o colpa grave di LI, l eventuale risarcimento dei danni all acquirente non potrà comunque superare il prezzo di vendita dei prodotti difettosi; oppure, LI potrà dichiarare per iscritto la risoluzione del contratto, offrendo la restituzione del prezzo di acquisto contro la restituzione dei prodotti forniti. In ogni caso, una volta che si è proceduto con la posa in opera dei prodotti, l acquirente decade di fatto e di diritto dalla garanzia di cui ai punti precedenti. 11. Norme tecniche e responsabilità del venditore Per ciò che concerne le caratteristiche dei prodotti LI si attiene alla legislazione e alle norme tecniche in vigore in Europa e che l acquirente dichiara di conoscere e accettare completamente. Quindi l acquirente si assume per intero il rischio di un eventuale difformità con le norme del paese di destinazione dei prodotti, liberando in tal modo LI da ogni responsabilità. L acquirente prende atto e accetta che l eventuale attività svolta dagli agenti di commercio, procacciatori d affari e/o collaboratori di LI è diretta a fornire suggerimenti e consigli circa l adozione di specifici prodotti, le modalità di posa, le verifiche dell idoneità degli ambienti alla posa del materiale venduto, la segnalazione di nominativi di posatori o di altri prestatori d opera o servizi; pertanto pur rappresentando il meglio della conoscenza di LI, ciò non impegna in alcun modo la medesima, in quanto essa è vincolata unicamente a eseguire gli adempimenti derivanti dal contratto di compravendita, con espressa esclusione di ogni ulteriore responsabilità e/o obbligo contrattuale. In ogni caso, LI non può essere ritenuta responsabile dell idoneità del materiale all uso che l acquirente intende farne, se diverso dalle indicazioni fornite dalla medesima nelle molteplici forme di propria documentazione messa a disposizione (cataloghi, listini, siti internet, schede prodotto, imballi, supporti multimediali, ecc.) 12. Legislazione applicabile, giurisdizione e foro competente Il contratto s intende stipulato e perfezionato a Gualdicciolo, presso la sede sociale di LI, anche se sottoscritto altrove; è inoltre convenuta la competenza dell utorità Giudiziaria della Repubblica di San Marino, applicando le relative leggi e consuetudini. Per controversie relative all esecuzione del presente contratto e all interpretazione del suo contenuto tra LI e gli acquirenti (persone fisiche o giuridiche), le parti riconoscono che LI può ricorrere in via alternativa anche alla giurisdizione competente per la sede dell acquirente, la quale decide in base alle norme locali vigenti. 13. essione del contratto L acquirente non può cedere a terzi la sua posizione contrattuale e i singoli rapporti obbligatori da questo derivati senza l accettazione scritta di LI; anche in tal caso, l acquirente rimane comunque solidamente responsabile col cessionario per le obbligazioni cedute. 14. Interpretazioni, modifiche, clausole Per l interpretazione delle presenti condizioni generali fanno fede unicamente le versioni in lingua italiana, inglese e tedesca delle stesse, e gli eventuali allegati o le premesse s intendono parte integrante del contratto a cui si riferiscono, anche in eventuale deroga a quanto qui stabilito. Ogni riferimento ai listini prezzi, alle condizioni generali o ad altro materiale di LI o di terzi è relativo ai documenti in vigore al momento del riferimento medesimo, salvo non sia diversamente specificato; devono ritenersi annullati i testi corrispondenti in precedenza in vigore fra le parti. In ogni caso, tutte le modifiche o integrazioni fatte dalle parti ai contratti cui si applicano le presenti condizioni generali devono essere compiute per iscritto a pena di nullità. La deroga ad una o più disposizioni delle presenti condizioni generali non dev essere interpretata estensivamente o per analogia e non esprime la volontà di non applicare le condizioni generali nel loro insieme. Eventuali variazioni alle condizioni contrattuali concordate tra le parti non costituiscono novazione del contratto stesso, salvo espressa volontà contraria risultante per iscritto. In presenza di disposizioni contrattuali non valide o non efficaci, il contratto nella sua globalità va integrato e interpretato come se contenesse tutte le clausole che consentono di raggiungere, in modo conforme alla legge, lo scopo essenziale perseguito dall accordo contenente le clausole in questione. 1. ontract general rules Except where amendments and exceptions are expressly agreed in writing, these general terms of business shall apply to all current and future purchase contracts between LI and the Purchaser. Sales arising out of order proposals, even if transmitted by LI s trade representatives, business agents and/or employees, shall be considered accepted under these terms of business only upon LI s written acceptance or implementation of the order. 2. Quantities ue to the single package size, supplied quantities can exceed the quantities indicated in the order, in which case the excess quantities will be invoiced at the same unit price. 3. Prices Prices shall be understood as net excl. VT and any other tax, levy, customs duty, packaging, forwarding, transportation and laying. Prices do not include any particular ustomer s request regarding packaging, forwarding via express courier and so on. ll these requests shall be agreed with the ustomer in advance and in any case their cost shall be borne by the ustomer. 4. Price adjustments If for any reason, unforeseeable for an entrepreneur with average experience in the sector, the fulfilment of LI s obligations should become too onerous and exceed the original agreed valuable consideration by more than 20%, before fulfilling its obligations LI can ask to review the contract conditions and, in case of refusal, can withdraw from the contract without any additional right accruing to the Purchaser. 5. elivery Unless otherwise specifical- ly agreed, goods are delivered in compliance with the conditions provided for in the latest Incoterms version issued by the International hamber of ommerce (I) and are indicated with the Incoterms relevant abbreviations. Unless otherwise agreed in writing, sale and delivery shall be understood as to be Ex Works loaded (EXW), even when it has been agreed that delivery or part of it should be organised by LI. In such a case, LI will act as a mere mandatary of the Purchaser and in any case goods travel at the Purchaser s sole risk. Upon acceptance of the consignment by the freight forwarder, the Purchaser relieves LI of all responsibility for all and any damage arising from delays or non-delivery of the ordered goods and/or damage, breakage, tampering or deficit occurring to the goods during transportation. Even if delivery is organised by LI, the goods are none the less delivered at the ground floor, where accessible to the vehicle. elivery to upper floors is therefore excluded. Please note that in case of delay in withdrawing the goods, the ustomer shall pay all additional storage and re-delivery costs. In case of failure to withdraw the goods, the ustomer shall pay all (round trip) transportation charges and all other related incurred costs. Partial delivery can be performed only if previously agreed with the ustomer, who shall bear all additional costs. 6. Terms of delivery The Purchaser relieves LI from all responsibility resulting from the non-fulfilment of the terms of the contract due to any reason, except in the case of gross negligence or wilful deception. The Purchaser cannot therefore claim a refund for any direct or indirect damage. 7. omplaints Upon arrival of the goods the Purchaser shall thoroughly and carefully check them and report any defect and/or deficiency with respect to the order within 8 days after delivery and in any case before laying the material. Only in case of hidden defects and always before laying, such a period shall start from the moment of possible defect detection. In any case complaints about hidden defects must be presented no later than 12 months after delivery. omplaints must be notified to LI by registered letter and must clearly indicate the detected defects and deficiencies. 8. Payment Terms of payment shall always be scrupulously respected and always start from the invoice date. ll payments shall be effected at the offices of LI in Gualdicciolo, that is at the vendor s headquarters. If payments are effected in another form, or even if other forms of payment are envisaged by the contract, these exceptions shall be understood only as payment facilitations for the Purchaser, but do not imply any change in the address for payment, which always remains LI s headquarters. In any case, payments effected in places other than the company s headquarters cannot be accepted by external personnel without the company s express prior written consent given for each single case. In case of failure to respect the terms of payment, LI s acceptance of deferred payment shall be always understood as made under reserve and does not imply revocation of the debt. ny delay or irregularity in the payments entitles LI, without prejudice to its other rights, to cease further deliveries, withdraw from all running contracts, cancel any discount, special prices and commercial terms granted to the Purchaser, even if they do not relate to the payments concerned, as well as ask for compensation for damages. From the date of maturity of the payment and without formal notice, LI has the right to claim interests on the outstanding amounts. Interests shall be charged monthly and calculated at the current Euribor rate on a monthly basis, as fixed on the first day of the relevant month, plus 2 percent. If LI obtains knowledge of deterioration of the economic and financial situation of the Purchaser, the company can demand the Purchaser suitable collaterals and suspend the execution of the contract until such collaterals have been provided. 9. Retention of title It is understood that sold goods remain the property of LI until the entire purchase is paid in full, including all and any interest and collateral cost. Sold goods shall always be considered a movable property, even when they have already been laid and form an integral part of a real property or are retained for future installation in a building. If the Purchaser wants to resell the goods to third parties, he shall assign to LI, which accepts, all future rights resulting from this resale. LI grants to the Purchaser the right to collect from third parties all receivables, until LI itself revokes to the Purchaser such a right. The Purchaser s right to collect receivables on behalf of LI shall be forfeited if the Purchaser stops carrying out a regular business activity. 10. Warranty LI s warranty covers only the materials provided by the company itself. Specific different agreements can, however, be concluded in writing between the Parties. ny wood element, even of the same kind of wood, has its own unique appearance, which depends on the climatic and mineralogical characteristics of the place of growth of the plant, on the section from which the element has been cut and on its orientation. Thereby, any sample, catalogue and technical document is provided to the Purchaser for ease of reference only and shall be used only as demonstration and advertising material. Therefore, the Purchaser can lodge no complaint for differences detected between the supplied goods and the demonstration material. LI reserves the right to modify product technical and/or design characteristics at any time and at its sole discretion, without being obliged to give prior notice to third parties or to modify the relevant samples, catalogues and technical documents. Warranty against defects covers only product defects ascribable to LI and shall be forfeited if the Purchaser cannot prove that he exercised all due care in using and/or storing the products. Upon receipt of proper notification LI shall be bound to choose at its own discretion, within a reasonable time and considering the relevance of the complaint, whether to deliver free of charge to the retailer/ building site products comparable for kind and quality to the defective or not complying ones, or grant to the Purchaser a price reduction proportionate to the detected defects. In the first case LI can demand return of the defective goods, of which the company regains possession. Except in the case of gross negligence or wilful deception on the part of LI, compensation due to the Purchaser shall never exceed the purchase price of the defective products. LI can also declare in writing the rescission of the contract and offer refund of the purchase price against return of the supplied products. In any case, once the products have been laid, the Purchaser shall loose all formal and actual warranty rights stated here. 11. Technical standards and Purchaser s responsibility With regard to the product characteristics LI abides by the existing laws and technical standards valid in Europe, which the Purchaser declares to know and accept completely. The Purchaser, therefore, completely accepts the risk of any possible lack of correspondence with the laws and standards in force in the country of destination of the products and relieves LI of all responsibility. The Purchaser takes note and accepts that any activity carried out by LI s trade representatives, business agents and/or employees is provided solely for the purpose of giving advice and guidance about adoption of specific products, laying methods, suitability assessment of room and materials, recommendation of floor layers and other service companies. Therefore, even if such advice and guidance may represent and transmit the best of LI s experience in the sector, they are in no way binding for the company, which shall be bound only to fulfil its obligations resulting from the contract of sale. ny further responsibility and/or contractual obligation is therefore expressly ruled out. LI shall in no case be held responsible for the non-suitability of the material for the Purchaser s intended use, if such a use differs from the directions given in the numerous documents provided by LI (catalogues, price lists, websites, product specifications, multimedia supports, and so on). 12. pplicable law, competent jurisdiction and court The contract shall be deemed concluded in Gualdicciolo, at the headquarters of LI, even if it is signed elsewhere. The Parties agree that the Judicial uthorities of the Republic of San Marino shall have jurisdiction and relevant laws and customs shall be applied. With regard to disputes arising between LI and the Purchasers (natural or juridical persons) about the fulfilment of the present contract and/or the interpretation of its content, Parties agree that LI can also appeal to the judicial authorities having jurisdiction over the Purchaser s registered office, which shall then decide on the basis of the directives valid in situ. 13. ssignment of the contract The Purchaser cannot assign to a third party his position or any of his obligations under this contract without LI s written consent and in any case he shall remain jointly and severally liable with the assignee for the assigned obligations. 14. Interpretation, amendments and provisions The present terms and conditions shall be interpreted exclusively on the basis of their Italian, English and German versions. Notwithstanding any of the agreed provisions all annexes and premises shall form an integral part of the contract to which they refer. Unless otherwise specified, all reference to price lists, general conditions or any other document provided by LI or third parties shall be understood as referring to the documents valid at that moment. ll previous versions of the documents, which were in force between the Parties, shall therefore be deemed cancelled. In any case, all changes and amendments made by the Parties to contracts subject to these terms and conditions shall be legally valid only if made in writing. erogations from one or more provisions of the present general terms and conditions shall not lead to broad (liberal) interpretation and do not mean that these terms and conditions are no longer applicable in their entirety. Unless otherwise expressly specified to the contrary in writing, amendments to the general terms and conditions agreed between the Parties shall not be interpreted as a novation (substitution) of the contract itself. If contractual provisions are invalid or ineffective, the contract in its entirety shall be amended and interpreted as if it contained all provisions necessary to the legal achievement of the essential aim of the agreement containing such provisions. 78 79
