Per riprodurre le fughe presenti tra le varie pietre, terminata la lisciatura, incidere la superfice ottenuta servendosi di una spatola tipo giapponese o della punta di un cacciavite, ottenendo riquadri delle dimensioni volute; lisciare le fughe ottenute con della carta abrasiva. Per ottenere righe dritte, utilizzare un listello come guida. Se si desidera colorare Travertino, applicare, dopo 24 ore, con una spugna o un guanto, una mano di Velatyure nella tinta desiderata. Travertino può essere applicato anche all esterno, se opportunamente protetto con una mano di Velatyure, neutra o colorata. Resa: 2 mq/kg per mano in funzione dell assorbimento del supporto e del tipo di applicazione. Si ritiene perciò nulla qualsiasi clausola apposta dal Cliente nelle sue richieste, sua corrispondenza e nelle sue ordinazioni che risulti contraria o comunque aggiuntiva alle presenti Condizioni Generali di Vendita. 1.3 Le clausole delle presenti Condizioni Generali di Vendita sono le uniche aventi efficacia per tutti gli ordinativi, forniture e/o contratti commerciali tra la Pozzi Colours S.r.l. e i propri Clienti dal momento della loro sottoscrizione. 1.4 Accordi e pattuizioni stabilite per un singolo ordinativo non costituiscono deroga per forniture successive e/o altri contratti commerciali. 1.5 Qualora il Cliente non ritenga di accettare tali Condizioni Generali di Vendita, deve manifestare il suo dissenso senza esitazioni per iscritto. In tal caso la Pozzi Colours S.r.l. avrà il diritto di ritenere nullo l'ordinativo trasmesso dal Cliente senza nessuna obbligazione di sorta. 2. PREZZI 2.1 I prezzi si intendono IVA esclusa. 2.2 I prezzi dell'ultimo listino in vigore annullano i precedenti ed eventuali prezzi o condizioni speciali di vendita. 2.3 I prezzi e condizioni possono variare anche senza preavviso. In ogni caso valgono le quotazioni in vigore al momento della spedizione. 3. ORDINI E TERMINI DI CONSEGNA 3.1 Tutti gli ordini dovranno pervenire solo in forma scritta (fax, e-mail, posta, ecc.) e si intendono assunti salvo approvazione della Pozzi Colours S.r.l.. 3.2 I tempi di consegna indicativi sono di 10 giorni lavorativi dall'approvazione dell'ordine; essi possono essere prorogati dalla Pozzi Colours S.r.l. qualora, per qualsiasi causa indipendente dalla propria volontà, sia stata impossibilitata a rispettare i propri impegni. 3.3 Salvo dolo o colpa grave, nessun risarcimento per danni potrà essere comunque richiesto a causa di ritardi nelle consegne. Inoltre nessuna penale potrà essere attribuita alla Pozzi Colours S.r.l. per ritardo nelle consegne, dichiarando il Cliente che i tempi di consegna non sono un elemento essenziale per l'evasione dell'ordine. 4. PRODOTTI (di serie, a richiesta e al campione) 4.1 I prodotti sono rispondenti alle caratteristiche indicate nelle schede tecniche e dovranno essere impiegati come indicato nelle schede stesse. 4.2 Le informazioni riportate nelle schede tecniche sono il risultato di prove e controlli accurati di laboratorio, nonché di applicazioni pratiche. Quindi queste informazioni vengono comunicate e non possono impegnare la responsabilità della Pozzi Colours S.r.l. ne dare adito a contestazioni di qualsiasi genere in quanto il prodotto viene utilizzato al di fuori del proprio controllo. 4.3 I prodotti realizzati dal Cliente con i sistemi tintometrici risultano simili ma non perfettamente corrispondenti a quelli prodotti direttamente in fabbrica dalla Pozzi Colours S.r.l. Lievi differenze possono riguardare sia tono di colore che caratteristiche tecniche causate, oltre che da improvvise anomalie dovute al malfunzionamento della macchina dosatrice, anche da fattori ambientali e meccanici, da un errore nella selezione della ricetta del software gestionale o dall'utilizzo di convertitori e coloranti appartenenti a lotti di produzione diversi. 4.4 È fatto obbligo al Cliente di controllare il prodotto acquistato e/o colorato al tintometro provandolo su una piccola superficie ed, eventualmente, correggerlo prima di utilizzarlo e/o venderlo a terzi. 4.5 Si garantisce l'integrità del prodotto in latta per dodici mesi, se conservato in luogo fresco ed asciutto, a temperatura compresa tra +10 C e +30 C. 4.6 I Prodotti e/o le tinte al campione che riportano in listino la dicitura solo su richiesta, non vengono prodotti in serie ma solo su precisa richiesta del Cliente. Pertanto è previsto un quantitativo minimo d'ordine che, salvo diversa indicazione, sarà di n 1 pezzo nel formato più grande. In ogni caso il Cliente dovrà ordinarne un quantitativo sufficiente (poiché successive lavorazioni potrebbero subire variazioni di tono dovute alla diversità dei lotti di materie prime impiegate fino ad un valore max di E 1) e sarà tenuto, comunque, a ritirare la quantità reale della lavorazione oscillante del 10% circa, in eccesso o in difetto, rispetto ai quantitativi ordinati. Il Cliente è tenuto a ritirare tutto il lotto di produzione realizzato; in caso contrario, oltre al costo pattuito, verranno addebitati anche oneri e costi di smaltimento. Il prezzo di listino delle tinte al campione verrà stabilito dalla Pozzi Colours S.r.l. solo dopo aver visionato la tinta da riprodurre; verrà inoltre addebitato, una tantum, un contributo spese di colorazione per minimo 10,00. Per i prodotti che non riportano in listino indicazione di tinte al campione si valuterà l'eventuale possibilità di effettuare la colorazione; la maggiorazione minima prevista è di 50,00 ed il lotto minimo di produzione dovrà essere di almeno 500 litri. 4.7 Per ordini di quantitativi inferiori ai minimi indicati in listino, si valuterà l'eventuale possibilità di effettuare la produzione; la maggiorazione minima prevista è di 15,00. 4.8 La prova colore è fornita a 10,00 per un formato di circa un chilogrammo. 5. IMBALLI E CONFEZIONI 5.1 Le confezioni sono indicate nel listino e gli ordini saranno arrotondati per eccesso nel rispetto del numero di pezzi indicati nelle stesse. 5.2 Unitamente ai prodotti si intendono ceduti a titolo definitivo anche i loro contenitori, imballi e confezioni, escluso le pedane a rendere, che qualora richieste, verranno addebitate al costo di 14,00 cadauna. Il ritiro e/o smaltimento dei contenitori vuoti o semivuoti, è in ogni sua fase a carico dell'utilizzatore del prodotto (D.P.R. 915/1082). 6. RESA E SPEDIZIONE - RECLAMI 6.1 La resa e spedizione dei Prodotti si intende effettuata C.P.T. (INCO-TERMS 2000) e cioè con trasporto pagato fino al luogo di destinazione indicato dal Cliente. Viene fissato, a carico del Cliente, un contributo spese di distribuzione (CO.SPE.Di) di 0,02 /kg per ogni spedizione. Per spedizioni di importo inferiore a 250,00 (IVA esclusa), evase solo ad insindacabile giudizio della Pozzi Colours S.r.l., verrà addebitato, oltre ai costi di trasporto, un fisso di 15,00 per ogni singola spedizione, quale contributo per recupero costi amministrativi e spese generali. 6.2 Il Cliente dovrà provvedere tempestivamente al ritiro della merce ed eventuali spese di giacenza (per esempio presso corriere) saranno a suo esclusivo carico. 6.3 I Prodotti, eventualmente, danneggiati durante il trasporto dovranno essere respinti all'istante al trasportatore (l'autista deve controfirmare per accettazione la relativa annotazione nel documento di trasporto) e notificati poi tempestivamente alla Pozzi Colours S.r.l. mediante lettera raccomandata A.R., sempre a pena di decadenza, entro sette giorni dalla data di ricevimento dei Prodotti; nel caso il Cliente ritenga, comunque, di accettarli, non potrà in seguito contestarli, richiederne la sostituzione o ulteriore sconto o abbuono. 6.4 Eventuali reclami relativi alla quantità o numero dei Prodotti, dovranno, a pena di decadenza, essere contestati immediatamente al trasportatore (l'autista deve controfirmare per accettazione la relativa annotazione nel documento di trasporto) e notificati poi tempestivamente alla Pozzi Colours S.r.l. mediante lettera raccomandata A.R., sempre a pena di decadenza, entro sette giorni dalla data di ricevimento dei Prodotti. 6.5 Eventuali reclami relativi a difetti non individuabili mediante un diligente controllo al momento del ricevimento dovranno essere notificati alla Pozzi Colours S.r.l. mediante lettera raccomandata A.R., a pena decadenza, entro sette giorni dalla data di rinvenimento del difetto e comunque non oltre dodici mesi dalla consegna. 6.6 È inteso che eventuali reclami o contestazioni non daranno diritto al Cliente di sospendere o comunque ritardare i pagamenti dei Prodotti oggetto di contestazione, né, tanto meno, di altre forniture. 7. RESI 7.1 Non si accettano restituzioni di merce se non autorizzati espressamente dalla Pozzi Colours S.r.l.; in nessun caso verrà accettata restituzione di Prodotti al campione o su richiesta. 8. PREZZI E PAGAMENTI 8.1 Salvo diversa pattuizione si applicherà il prezzo di Listino in vigore alla data di conclusione di qualsiasi accordo commerciale e il pagamento sarà esigibile, dal momento dell'emissione della fattura al Cliente, esclusivamente mediante assegno circolare. 8.2 Il pagamento dovrà essere effettuato nei termini e con le modalità indicate sulla fattura, senza abbuoni o sconti ulteriori. In caso di emissione di ri-ba o cambiali a firma diretta, l'iva SARÀ SEMPRE ADDEBITATA SULLA PRIMA SCADENZA. Le spese relative all'emissione ed all'incasso di ri-ba o cambiali sono a carico del Cliente e vengono addebitate in fattura. Le ri-ba o cambiali verranno domiciliate presso la Banca indicata dal Cliente, senza garanzia alcuna da parte della Pozzi Colours S.r.l.. Trascorsi i termini stabiliti per il pagamento, o sugli insoluti, al Cliente in mora verranno addebitate le eventuali spese bancarie sostenute maggiorate di 13,00 per rimborso spese amministrative; gli interessi commerciali pari alla media dei nostri tassi ufficiali di sconto maggiorati di cinque punti, calcolati per il periodo dell'insolvenza + giorni 30 (termine massimo di pagamento concesso). Trascorsi 30 giorni dal termine stabilito per il pagamento la pratica insoluta passerà all'ufficio legale e ciò comporterà automaticamente un ulteriore addebito di 100,00 oltre le spese legali. 8.3 Il mancato e/o ritardato pagamento di una sola fornitura da parte del Cliente autorizza la Pozzi Colours S.r.l. ad esigere immediatamente il pagamento di tutto l'importo delle forniture effettuate esclusivamente mediante assegno circolare, annullando ogni altra forma di pagamento diversa, anche se concessa per iscritto, compreso ri-ba già emesse, nonché cambiali o altri titoli eventualmente già accettati in pagamento e a sospendere ogni eventuale fornitura o contratto commerciale in corso. Il Cliente, da parte sua, non potrà opporre alcuna eccezione, anche in relazione alla mancanza di qualità o difetto di conformità dei Prodotti alla Pozzi Colours S.r.l. imputabile, se non dopo aver regolarmente onorato la propria situazione debitoria. 8.4 I pagamenti devono essere effettuati esclusivamente presso la sede della Pozzi Colours S.r.l.. alla Via Stazione, Zona ASI - frazione Piedimonte - 81037 Sessa Aurunca (CE) - Italia 9. GARANZIA 9.1 I prodotti della Pozzi Colours S.r.l. vengono scrupolosamente controllati e sono destinati alla vendita solo se riscontrati corrispondenti ai propri standards fatte salve le tolleranze d'uso. È in facoltà del Cliente, confermare la fornitura salvo preventiva approvazione del campione, nel qual caso la Pozzi Colours S.r.l. è disponibile a fornire garanzia scritta di rispondenza della merce inviata al campione approvato dal Cliente, secondo le norme d'uso. Per ovvie ragioni non possiamo assumere alcuna garanzia che vada oltre quella citata. 9.2 La Pozzi Colours S.r.l. si impegna a porre rimedio a qualsiasi vizio o difetto di conformità dei Prodotti ad essa imputabile, verificatasi entro dodici mesi dalla consegna dei Prodotti, purché lo stesso le sia stato notificato tempestivamente. 9.3 Salvo il caso di dolo o colpa grave, la Pozzi Colours S.r.l. sarà tenuta, in caso di vizi o difetto di conformità dei Prodotti, unicamente alla fornitura di Prodotti in sostituzione di quelli difettosi; i Prodotti sostituiti godranno delle medesime garanzie previste al punto precedente. È inteso che la suddetta garanzia (consistente nell'obbligo di sostituire i Prodotti) è assorbente e sostitutiva delle garanzie o responsabilità previste dalla legge, ed esclude ogni altra responsabilità della Pozzi Colours S.r.l. La Pozzi Colours S.r.l. in alternativa alla sostituzione potrà a sua scelta rimborsare il prezzo pagato per i prodotti non conformi. 9.4 Nessun Prodotto potrà essere sostituito al Cliente senza una preliminare autorizzazione scritta dalla Pozzi Colours S.r.l.. 9.5 La Pozzi Colours S.r.l. non garantisce la rispondenza dei Prodotti a particolari normative, specifiche o caratteristiche tecniche e la loro idoneità ad usi e/o utilizzazioni particolari. I dati e le informazioni riportate nelle schede tecniche della Pozzi Colours S.r.l. vanno riferite a condizioni ambientali normalizzate e non potendo tener conto delle condizioni specifiche di utilizzazione hanno un valore meramente indicativo. 9.6 La Pozzi Colours S.r.l. non sarà ritenuta responsabile per danni che il Cliente, o terzi aventi causa da quest'ultimo, vantino di aver subito dall'utilizzatore dei Prodotti qualora sia accertato che i danni non dipendano dalle caratteristiche intrinseche del prodotto ma dalla scelta di utilizzazione effettuata dal Cliente. 9.7 La Pozzi Colours S.r.l. è esonerata da ogni e qualsiasi responsabilità anche nell'ipotesi abbia fornito un'assistenza e/o consulenza tecnica. 10. RISOLUZIONE E SOSPENSIONE DELLE PRESTAZIONI 10.1 La Pozzi Colours S.r.l. potrà risolvere, con effetto immediato e in qualsiasi momento, ogni ordine o contratto commerciale senza necessità di comunicazione alcuna, nell'ipotesi in cui il Cliente non rispetti le presenti condizioni generali di vendita. 10.2 Salvo il diritto della Pozzi Colours S.r.l. ad ottenere il pagamento di quanto dovuto con gli interessi di mora e l'eventuale maggior danno, nell'ipotesi di ordinazioni a consegne ripartite, il mancato pagamento in tutto o in parte di una fattura dà diritto alla Pozzi Colours S.r.l.. a risolvere il contratto ai sensi dell'art. 1456 c.c., ovvero a sospendere le consegne fino all'avvenuto pagamento integrale di tutto l'importo delle forniture effettuate. 11. DIRITTO DI RISERVA DI PROPRIETÀ 11.1 Tutti i Prodotti consegnati dalla Pozzi Colours S.r.l. al Cliente sono venduti in patto di riservato dominio fino all'assolvimento degli obblighi di pagamento degli stessi (essendo gli stessi venduti salvo buon fine). La presente clausola significa che il trasferimento di proprietà dei Prodotti consegnati avviene soltanto dopo l'avvenuto integrale pagamento del prezzo. 11.2 Il diritto di riserva di proprietà permane ancora sino a quando i singoli crediti della Pozzi Colours S.r.l. vengano registrati in conto corrente e ne venga effettuato e riconosciuto il saldo. 11.3 Il Cliente è tenuto a collaborare con la Pozzi Colours S.r.l. sulle misure che questi intenda adottare per proteggere il suo diritto sui prodotti forniti. Se e quando terzi intendano stabilire o affermare un diritto sui Prodotti in questione, il Cliente dovrà comunicarlo tempestivamente alla Pozzi Colours S.r.l. pena il risarcimento dei danni che quest'ultimo, da detto inadempimento, avesse a subire dal medesimo o dalla clientela di quest'ultimo. 11.4 La Pozzi Colours S.r.l. è autorizzata, senza dilazione o recesso, ad esigere la restituzione dei Prodotti sottoposti a riservato dominio, qualora il Cliente sia in ritardo nell'adempimento dei suoi obblighi. Nel caso la Pozzi Colours S.r.l., a suo insindacabile giudizio, ritenga di accettare la restituzione di Prodotti integri e nelle proprie confezioni originali, addebiterà al Cliente per trasporto di preso e reso, mancato guadagno, un importo non inferiore al 30% del prezzo pagato dal Cliente, fatto salvo il diritto al maggior danno. 38
