23 6. INADEMPIEMNTO DELLE OBBLIGAZIONI 6.1. Inadempimento del Compratore Se il Compratore non paga il prezzo alla scadenza pattuita, il Venditore può concedere al Compratore un periodo aggiuntivo di.. giorni per il pagamento. GARANZIA PER VIZI 7.1 Eventuali reclami relativi all'imballaggio, alla quantità, al numero o alle caratteristiche esteriori dei Beni (vizi apparenti), dovranno essere notificati al Venditore con lettera raccomandata con ricevuta di ritorno, entro 7 giorni dalla data di ricevimento dei Beni. Eventuali reclami relativi a difetti non individuabili mediante un diligente controllo al momento della ricezione (vizi occulti) dovranno essere notificati al Venditore mediante lettera raccomandata RR, a pena di decadenza, entro 7 giorni dalla data della scoperta del difetto e comunque non oltre 6 mesi dalla consegna (termine di conservazione dei lotti). In difetto di tali notifiche i diritti del Compratore si intenderanno rinunciati Il Venditore si impegna a porre rimedio a qualsiasi vizio, mancanza di qualità o difetto di conformità dei Beni a lui imputabile, verificatosi entro sei mesi dalla consegna dei Beni, purché lo stesso gli si stato notificato tempestivamente in conformità all'art Il Venditore potrà scegliere se consegnare le quantità di Beni mancanti, sostituire i Beni risultati difettosi o ridurre proporzionalmente il Prezzo Il Venditore non è responsabile per ogni difetto derivante da un uso o da una conservazione non corretta dei Beni. 8. TRASFERIMENTO DELLA PROPRIETA 8.1 Il Venditore consegnerà al Compratore i Beni liberi da ogni diritto o rivendicazione di terzi. 8.2 E' convenuto che i Beni consegnati restano di proprietà del Venditore fino a quando non sia pervenuto a quest'ultimo il completo pagamento. 6. NON-PERFORMANCE OF OBLIGATION 6.1. Non-performance of the Buyer If the Buyer fails to pay the price at the agreed time, the Seller shall fix to the Buyer an additional period of time of. days for performance of payment. WARRANTY FOR DEFECTS 7.1 Any complaints relating to packing, quantity, number or exterior features of the Goods (apparent defects), must be notified to the Seller, by registered letter with return receipt, within 7 days from receipt of the Goods. Any complaints relating to defects which cannot be discovered on the basis of a careful inspection upon receipt (hidden defects) shall be notified to the Seller, by registered letter with return receipt, within 7 days from discovery of the defects and in any case not later than 6 months from delivery (term of conservation of the lot); failing such notifications the Purchaser's right to claim the above defects will be forfeited The Seller undertakes to remedy any defects, lack of quality or nonconformity of the Goods for which he is liable, occurring within six months from delivery of the Goods, provided such defects have been timely notified in accordance with art The Seller will have the choice between deliver any missing quantity of Good or replace the Goods which have shown to be defective or reduce proportionally the price of the Good The Seller is not responsible for any defects arising by a non proper use or conservation of the Goods. 8. TRANSFER OF PROPERTY 8.1 The Seller must deliver to the Buyer the Goods free from any right or claim of a third person. 8.2 It is agreed that, the Goods delivered remain the Seller's property until complete payment is received by the Seller.

24 9. FORZA MAGGIORE CAUSE DI INADEMPIMENTO 9.1 Ciascuna parte potrà sospendere l'esecuzione dei suoi obblighi contrattuali per causa di Forza Maggiore. In questo Contratto, per causa di Forza Maggiore si intendono atti di nemici pubblici, guerre, embarghi, insurrezioni, rivolte, rivoluzioni, epidemie, terremoti, tempeste, alluvioni, atti governativi, sentenze di tribunali o ogni altra causa fuori del controllo delle Parti di questo Contratto. 9.2 Qualora la sospensione del Contratto dovuta alla causa di forza maggiore si protragga per oltre sei settimana, ciascuna parte avrà il diritto di risolvere il Contratto mediante un preavviso scritto di 10 alla controparte. 10. EFFETTI DELLA NULLITA O INEFFICACIA DI DISPOSIZIONI 10.1 Se alcuna disposizione del contratto è dichiarata da un tribunale o da altra competente autorità, nulla o inefficace, in tutto o in parte, il presente contratto continuerà ad essere valido per le sue restanti disposizioni e per la restante parte della disposizione nulla, a meno che si possa concludere secondo le circostanze che, in assenza della disposizione dichiarata nulla o invalida, le Parti non avrebbero concluso il presente contratto. 11. COMUNICAZIONI 11.1 Ogni comunicazione ai sensi del presente contratto dovrà essere fatta per iscritto (incluse le ) e potrà essere notificata o inviata all indirizzo dell altra parte, in una maniera che assicuri la prova della ricezione Ai fini dell art. 11.1, i dettagli della comunicazione sono i seguenti: Venditore: Indirizzo:.. Il presente contratto di vendita è disciplinato dalla Convenzione delle Nazioni Unite sulla vendita internazionale di merci (Vienna 1980) e, per le questioni non coperte da tale convenzione, dalla legge italiana Per qualsiasi controversia derivante dal presente contratto o collegata allo stesso, compresa la sua conclusione, interpretazione, esecuzione, violazione, cessazione o annullamento sarà definita secondo le regole della Camera Arbitrale di Pescara da uno o più arbitri nominati secondo le suddette regole. FORCE MAJEURE EXCUSE FOR NON-PERFORMANCE 9.1 The Parties Either party shall have the right to suspend performance of his contractual obligations by reason of Force Majeure. In this Contract, a Force Majeure event shall be understood to mean acts of public enemies, wars, blockades, insurrections, riots, revolution, epidemics, earthquakes, storms, floods, governmental acts, court decree, or any other such cause beyond the control of the Parties to this Contract. 9.2 Should the suspension due to force majeure last more than six weeks, either party shall have the right to terminate the Contract by a 10 days' written notice to the counterpart. 10. EFFECT OF INVALID OR UNENFORCEABLE PROVISIONS If any provision of this contract is held by any court or other competent authority to be invalid or unenforceable in whole or in part, this contract shall continue to be valid as to its other provisions and the remainder of the affected provision, unless it can be concluded from the circumstances that, in the absence of the provision found to be null and void, the Parties would not have concluded this contract. 11. NOTICES 11.1 Any notice under this contract shall be in writing (which may include e- mail) and may be served by leaving it or sending it to the address of the other party, in a manner that ensures receipt of the notice can be proved For the purposes of Article 11.1, notification details are the following: Seller: Address:.. APPLICABLE LAW - JURISDICTION 12.1 This contract of sales is governed by the United Nations Convention on the International Sales of Goods and, with respect to questions not covered by such Convention by the laws of Italy Any dispute, controversy or claim arising out of or relating to this contract, including its conclusion, interpretation, performance, breach, termination or invalidity, shall be finally settled under the Rules of Arbitration Chamber of Pescara by one or more arbitrators appointed in accordance with the said Rules. 31 DISTRIBUTION AGREEMENT between, incorporated and registered in Italy with company number... whose registered office is at... (the 'Supplier') and... incorporated and registered in... with company number... whose registered office is at... (the 'Distributor'). BACKGROUND: The Supplier wishes to appoint the Distributor as non-exclusive distributor for the promotion and sale of the Goods within the Territory (as defined below), and the Distributor wishes to promote and sell the Goods within the Territory on the terms of this agreement. AGREED TERMS:- 1. Definitions 1.1 The definitions in this clause apply in this agreement and the Background. Business Day a day (other than a Saturday, Sunday or public holiday in Italy) when banks in Rome are open for business. Commencement Date.... Minimum Quantity the quantities of the Goods specified in [Schedule 3] for each Year, or such other quantities as may be agreed in writing between the parties in relation to each Year. Appointment of Distributor 2.1 The Supplier appoints the Distributor as its non-exclusive distributor to promote, market, distribute and sell the Goods in the Territory on the terms of this agreement. 2.2 The Distributor hereby accepts such non-exclusive appointment and agrees to use its best efforts to develop and promote the sale of the Goods in the Territory, in accordance with the terms and conditions of this agreement. 2.3 For greater certainty, the Distributor acknowledges that the Supplier reserves the right to market and sell the Goods within the Territory directly or through one or more other distributors. 2.4 The Distributor shall not: represent itself as an agent of the Supplier for any purpose; or pledge the Supplier's credit; or give any condition or warranty on the Supplier's behalf; or make any representation on the Supplier's behalf; or commit the Supplier to any contracts. 2.5 The Distributor shall not without the Supplier's prior written consent make any promises or guarantees about the Goods beyond those contained in the promotional material supplied by the Supplier.

32 Distributor's undertakings 3.1 The Distributor undertakes and agrees with the Supplier that at all times during the Term it will: use all reasonable endeavours to promote the distribution and sale of the Goods in the Territory; employ a sufficient number of suitably qualified personnel to ensure the proper fulfilment of the Distributor's obligations under this agreement; not to resell the Goods at a price exceeding the maximum resale price from time to time specified by the Supplier in writing; submit written reports at regular intervals to the Supplier, showing details of sales, service stock, outstanding customer orders and orders placed by the Distributor with the Supplier that are still outstanding, and any other information relating to the performance of its obligations under this agreement that the Supplier may reasonably require from time to time; keep all stocks of the Goods which it holds in conditions appropriate for their storage, and provide appropriate security for the Goods, all at its own cost; 4. Supply of Goods 4.1 No later than 31 March and 30 September in each Year, the Distributor shall notify the Supplier in writing of its forecast of the quantities of each type of Good that it expects to buy from the Supplier for delivery during the ensuing 6 month period beginning on the first day of the month following the latest date for issue of that forecast. 4.2 The Supplier undertakes to use all reasonable endeavours to meet all orders for the Goods forwarded to it by the Distributor in accordance with the Supplier's terms of delivery to the extent the orders do not exceed the forecast for each type of Good given under [clause 4.1]. The Distributor shall buy the Goods for its own account for resale under this agreement. 4.3 In each Year the Distributor shall place orders with the Supplier for the Minimum Quantity for that Year as set out in [Schedule 3]. 5. Supplier's undertakings 5.1 The Supplier undertakes to: provide any information and support that may reasonably be requested by the Distributor to enable it to discharge its duties under this agreement properly and efficiently. 6. Prices and payment 6.1 The prices to be paid by the Distributor to the Supplier for the Goods are to be the Supplier's list prices as notified to the Distributor by the Supplier from time to time. The prices applicable as at the commencement date are set out in [Schedule 4]. 6.2 The Supplier shall give the Distributor 20 business days notice of any rises in the prices for the Goods. 6.3 Any and all expenses, costs and charges incurred by the Distributor in the performance of its obligations under this agreement shall be paid by the Distributor, unless the Supplier has expressly agreed in advance in writing to pay such expenses, costs and charges. 6.4 Payment will be made, unless otherwise agreed, by means of an irrevocable letter of credit confirmed by a leading Italian bank at least thirty days before the agreed term of delivery and cashable against shipping documents. 7. Advertising and promotion 7.1 The Distributor shall: be responsible for advertising and promoting the Goods in the Territory; display advertising materials and other signs provided by the Supplier; observe all directions and instructions given to it by the Supplier for promotion and advertisement of the Goods. 7.2 The Supplier shall provide the Distributor with information on the advertising and promotion carried out by the Supplier. The Supplier shall supply any available promotional and advertising material that the Distributor reasonably requests. 7.3 The Supplier shall, where the parties agree, participate with the Distributor in fairs and exhibitions in the Territory. 8. Documents 8.1. The Supplier shall make available to the Distributor any necessary import licences or permits necessary for the entry of the Goods into the Country of the Distributor, or their delivery to the Distributor.

33 9. Duration and termination 10.1 This agreement begins on the Commencement Date and, subject to [clause 11] shall continue for an initial term of 2 Years and indefinitely after that until terminated by either party giving at least 3 months' prior written notice to expire on or after the expiry date of the initial term Without affecting any other rights that it may be entitled to, either party may give notice in writing to the other terminating this agreement immediately if: the other party fails to pay any amount due under this agreement on the due date for payment and remains in default not less than 20 business days after being notified in writing to make such payment; or the other party commits a material breach of any material term of this agreement (other than failure to pay any amounts due under this agreement) and (if such breach is remediable) fails to remedy that breach within a period of 10 business days of being notified in writing to do so The Supplier may give notice in writing to the Distributor terminating this agreement immediately if the Distributor fails to purchase the Minimum Quantity for that Year. 11. Force majeure 11.1 The Parties Either party shall have the right to suspend performance of his contractual obligations by reason of Force Majeure. No partnership or agency 13.1 Except as expressly provided, nothing in this agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, constitute either party the agent of the other, nor authorise a party to make or enter into any commitments for or on behalf of the other party. 14. Governing law and jurisdiction 14.1 This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with Italian law Any dispute, controversy or claim arising out of or relating to this contract, including its conclusion, interpretation, performance, breach, termination or invalidity, shall be finally settled under the Rules of Arbitration Chamber of Pescara by one or more arbitrators appointed in accordance with the said Rules. The place of Arbitration shall be Pescara (Italy). This agreement has been entered into on the date stated at the beginning of it.
