17 CONDIZIONI GENERALI PREMESSA. Le disposizioni contenute nelle presenti condizioni generali (di seguito le condizioni ) si applicheranno a tutti gli Ordini d'acquisto relativi ai Prodotti venduti dal Venditore, ove non espressamente derogate negli Ordini stessi..2 Le condizioni speciali, contenute eventualmente in ogni Conferma d Ordine emessa dal Venditore, e le presenti condizioni generali rappresentano l intero contenuto del Contratto concluso tra le parti..3 Gli Ordini, se regolarmente ricevuti e confermati dal Venditore, sono irrevocabili e, quindi, non annullabili..4 L invalidità di una singola clausola delle presenti condizioni non invaliderà per ciò stesso né il Contratto né gli Ordini..5 Ogni eventuale variazione, modificazione od integrazione delle presenti condizioni dovrà essere concordata di comune accordo dalle Parti per iscritto. 2 CARATTERISTICHE DEI PRODOTTI 2. Eventuali informazioni o dati sulle caratteristiche e/o specifiche tecniche dei Prodotti contenute in dépliants, listini prezzi, cataloghi o documenti similari saranno vincolanti solo nella misura in cui tali dati siano stati espressamente richiamati dal Contratto. 2.2 Il Venditore si riserva il diritto in qualsiasi momento di eliminare i Prodotti presentati in dépliants, listini prezzi, cataloghi o documenti similari. 2.3 Il Venditore si riserva di apportare ai Prodotti modifiche che, senza alterare le caratteristiche essenziali dei Prodotti, dovessero risultare necessarie o opportune. 3 TERMINI DI CONSEGNA 3. Il termine di consegna di 20 giorni lavorativi è indicativo e non dovrà essere considerato come termine essenziale del Contratto. 3.2 Eventuali ritardi dovuti a cause di forza maggiore o ad atti od omissioni del Compratore (ad es. mancata comunicazione di indicazioni necessarie per la fornitura dei Prodotti) non si considerano imputabili al Venditore. 4 RESA E SPEDIZIONE RECLAMI 4. Le merci viaggiano a rischio e pericolo del Compratore. 4.2 La resa s'intende franco destino per Ordini di valore superiore a E 600, mentre per spedizioni da Ordini inferiori a E 600 un diritto fisso di E 50 è dovuto al Venditore, quale costo di gestione, anche nel caso di trasporto a cura del Compratore. In ogni modo, quali che siano i termini di resa pattuiti dalle parti, i rischi passano al Compratore al più tardi con la consegna al primo vettore e il Venditore pertanto declina ogni responsabilità per perdita o danni della merce dal momento della consegna al primo vettore. 4.3 Reclami per eventuali ammanchi ed avarie devono essere rivolti direttamente al vettore. 4.4 Eventuali reclami relativi allo stato d'imballo, quantità, numero o caratteristiche esteriori dei Prodotti dovranno essere denunciati al Venditore per iscritto mediante lettera raccomandata RR, a pena di decadenza entro 2 giorni dalla data di consegna dei Prodotti. In ogni caso, eventuali reclami relativi a vizi, difetti e non conformità dovranno essere denunciati al Venditore mediante lettera raccomandata RR, entro un termine ragionevole e comunque non oltre 2 mesi dalla consegna. 4.5 Un valido reclamo scritto dovrà riportare il numero e la data del documento di trasporto e l'indicazione dettagliata dei vizi, difetti o non conformità rilevati. Va da sé che qualora non fossero rispettati i termini e le condizioni di cui alla calusola 4.4, il reclamo non potrà essere accettato. 4.6 I resi si accettano esclusivamente solo dietro autorizzazione del Venditore per iscritto. 4.7 Il reso dei Prodotti dovrà essere effettuato unicamente tramite spedizioniere selezionato dal Venditore ed autorizzato al ritiro da quest'ultimo. I costi del trasporto sono a carico del Compratore. 4.8 I Prodotti devono essere resi negli imballi originali e il controllo è affidato al reparto resi clienti del Venditore. 4.9 Se, a seguito di detti controlli, il vizio, difetto o non conformità del Prodotto reclamato non sia imputabile al Venditore, il Reclamante ha 30 giorni per ritirare il Prodotto, trascorsi i quali, il suddetto Prodotto verrà distrutto. 5 PREZZI 5. Salvo patto contrario, i prezzi sono per Prodotti imballati, in relazione al mezzo di trasporto pattuito, essendo inteso che qualsiasi altra spesa o onere sarà a carico del Compratore. 5.2 Il costo dell'imballaggio è compreso nel prezzo, per eventuali imballaggi speciali si potrà provvedere solamente su espressa richiesta del Compratore e a sue spese. 5.3 Il Listino prezzi pubblicato annualmente sostituisce e annulla qualsiasi listino precedente. I prezzi indicati si riferiscono sempre al singolo prodotto. La fornitura avviene sempre ai prezzi indicati nel Listino ed alle condizioni commerciali in vigore alla data della Conferma d'ordine. 5.4 Non si accettano per alcun motivo riduzioni o sconti non preventivamente concordati sul valore della fattura. 6 CONDIZIONI DI PAGAMENTO 6. Ove le parti non abbiano specificato le condizioni di pagamento, il pagamento dovrà essere effettuato come indicato al successivo art Ove le parti abbiano pattuito il pagamento posticipato, secondo le condizioni commerciali in essere. 6.3 Ove le parti abbiano pattuito il pagamento anticipato senza ulteriori indicazioni, si presume che il pagamento anticipato si riferisca all'intero prezzo. Salvo diverso accordo, il pagamento anticipato dovrà essere accreditato sul conto del Venditore almeno 30 giorni prima della data di consegna convenuta. 6.4 Ove le parti abbiano pattuito il pagamento mediante credito documentario, il Compratore dovrà, salvo diverso accordo, curare che un credito documentario irrevocabile venga notificato al Venditore almeno 30 giorni prima della data di consegna convenuta. Salvo diverso accordo, il credito documentario dovrà essere confermato da una banca italiana gradita al Venditore ed essere pagabile a vista. 6.5 Ove le parti abbiano convenuto il pagamento contro documenti, il pagamento avverrà, salvo diverso accordo, Documenti Contro Pagamento. 6.6 Salvo diverso accordo, eventuali spese o commissioni bancarie dovute in relazione al pagamento saranno a carico del Compratore. 6.7 In caso di ritardo di pagamento rispetto alla data pattuita, il Compratore sarà tenunto a corrispondere al Venditore un interesse di mora determinato in misura pari al saggio d'interesse previsto al D.lgs. 9 ottobre 2002, n. 23, Attuazione della direttiva 2000/35/ CE relativa alla lotta contro i ritardi di pagamento nelle transazioni commerciali e successivi aggiornamenti, più cinque punti percentuali, a partire dal momento in cui il pagamento sarebbe dovuto avvenire. 7 GARANZIA PER VIZI 7. Il Venditore garantisce la conformità dei Prodotti forniti a quanto previsto nel Contratto. Lo stesso si impegna a porre rimedio ai vizi, difetti, non conformità dei Prodotti a lui imputabili, purchè gli stessi gli siano stati tempestivamente denunciati in conformità alla clausola 4.4. Il Venditore potrà scegliere alternativamente se riparare o sostituire i Prodotti risultati difettosi. I Prodotti sostituiti o riparati in garanzia saranno soggetti alla medesima garanzia per un periodo di ulteriori 2 mesi a partire dalla data della riparazione o sostituzione. In caso di riscontro di difetto di produzione, la sostituzione e la riparazione è a titolo gratuito, fatti salvi i costi di trasporto a carico del Compratore.

18 CONDITIONS OF SALE FOR REITAILERS 7.2 Il Venditore non garantisce la rispondenza dei Prodotti a particolari specifiche o caratteristiche tecniche o la loro idoneità ad usi particolari se non nella misura in cui tali caratteristiche siano state espressamente convenute nel Contratto o in documenti richiamati a tal fine dal Contratto stesso. 7.3 Salvo il caso di dolo o colpa grave, il Venditore sarà tenuto, in caso di vizi, difetti e non conformità dei Prodotti, unicamente alla riparazione degli stessi o alla fornitura di Prodotti in sostituzione di quelli difettosi. È inteso che la suddetta garanzia (consistente nell obbligo di riparare o sostituire i Prodotti) è assorbente e sostitutiva delle garanzie o responsabilità previste per legge, ed esclude ogni altra responsabilità del Venditore comunque originata dai Prodotti forniti. 7.4 Decorsa la durata della garanzia, nessuna pretesa potrà essere fatta valere nei confronti del Venditore. 8 RISERVA DI PROPRIETÀ È convenuto che i Prodotti consegnati restano di proprietà del Venditore fino a quando non sia pervenuto a quest ultimo il completo pagamento. 9 ASSICURAZIONE I Prodotti vengono coperti da polizza assicurativa soltanto dietro richiesta scritta e a spese del Compratore. 0 MARCHI Il Compratore che proceda alla rivendita è tenuto a rispettare la presentazione originale e l imballo dei Prodotti del Venditore, senza possibilità di sopprimere e/o alterare i marchi di fabbrica od ogni altro eventuale segno apposto sui Prodotti da parte del Venditore. ESONERI. Il Venditore si riserva di sospendere l esecuzione dei suoi obblighi contrattuali quando tale esecuzione sia resa impossibile o comunque eccessivamente onerosa a causa o a seguito di un evento indipendente dalla sua volontà..2 Il Venditore si riserva altresì la facoltà di rifiutare di adempiere alla propria obbligazione o di sospenderla a seguito di mutamento delle condizioni patrimoniali del Compratore. 2 LEGGE APPLICABILE Per quanto qui non espressamente pattuito, il Contratto è disciplinato dalla Convenzione di Vienna sulla vendita internazionale di beni mobili del 980 e, per le materie non disciplinate da tale convenzione, dalla legge italiana. 3 FORO COMPETENTE Per qualsiasi controversia derivante o comunque collegata al Contratto cui si applicano le presenti condizioni sarà esclusivamente competente il Foro di Milano. Tuttavia, il Venditore avrà facoltà di agire presso il Foro del Compratore. INTRODUCTION The provisions contained in these general terms (hereafter the terms ) shall be applied to all Purchase Orders relating to Products sold by the Seller, unless expressly waived within the Orders themselves and they are fully and tacitly accepted by the customer when sending the order.. The special terms, agreed in each Order Confirmation issued by the Seller, and these general terms represent the entire contents of the Contract entered into between the parties..2 The Orders, if duly received and confirmed by the Seller, are irrevocable and cannot, therefore, be cancelled..3 The invalidity of a single clause within these terms shall not invalidate either the Contract or the Orders..4 Any variation, amendment or addition to these terms must be agreed by mutual consent between the Parties in writing. 2 PRODUCT CHARACTERISTICS 2. Any information or data on the characteristics and/or technical specifications of the Products contained in leaflets, price lists, catalogues or similar documents shall be binding only to the extent that that data was expressly referred to within the Contract. 2.2 The Seller reserves the right at any time to remove and/or to alter the Products from the collection shown in leaflets, price lists, catalogues or similar documents or to make price alterations to the same. 3 DELIVERY PERIOD 3. The delivery period of 20 working days is approximate and must not be regarded as definitive under the Contract and therefore may not in any way affect the validity of the order. 3.2 Any delays due to cases of force majeure or to acts or omissions of the Buyer (for example, failing to provide the necessary information for the supply of the Products) shall not be considered as attributable to the Seller. 4 RETURNS AND SHIPPING COMPLAINTS 4. Goods are transported always at the Buyer s risk. 4.2 Returns shall be deemed as postage-paid for Orders over e 600, while for shipments for Orders under e 600 a fixed fee is due to the Seller, for handling charges, also in the case of transportation arranged by the Buyer. In any case, whatever the terms for returns agreed between the parties, the risks pass to the Buyer at the latest with the delivery to the initial carrier and the Seller therefore disclaims any liability for loss or damage of the goods from the moment they are delivered to the initial carrier. 4.3 Complaints for any shortfalls and damages must be addressed directly to the carrier. 4.4 Any complaints relating to the state of the packaging, quantity, number or exterior characteristics of the Products must be made to the Seller in writing by recorded delivery letter or certified mail (PEC), upon penalty of forfeiture, within 5 days from the delivery date of the Products. In any case, any complaints relating to defects, imperfections and non-compliance must be made to the Seller by way of recorded delivery letter or certified mail (PEC), within a reasonable timescale and in any case no more than 2 months from delivery. 4.5 A valid written complaint must contain the number and date of the transportation document and a detailed description of the defects, imperfections or non-compliance. Where the terms and conditions contained in clause 4.4 are not complied with, the complaint cannot be accepted. 4.6 Returns are accepted only following authorisation by the Seller in writing. Returns not authorised in advance shall not be accepted. 4.7 The return of Products must be conducted only by shippers selected by the Seller and authorised to collect by the latter. Transportation costs shall always be borne by the Buyer.

19 4.8 Products must be returned in their original packaging and shall be checked by the Seller s customer returns department. 4.9 If, following these checks, the defect, imperfection or noncompliance of the returned Product is found to be not attributable to the Seller, the Complainant has 30 days to collect the Product, following which the afore-mentioned Product will be destroyed. 5 PRICES 5. Unless otherwise agree, the prices are for Products packaged in relation to the agreed means of transport; it being understood that any other cost or expense shall be borne by the Buyer. 5.2 Packaging costs are included in the price; any special packaging requirements shall be met only at the express request of the Buyer and at its expense. 5.3 All goods are transported at the Customer s risk even if postagepaid and therefore Oluce disclaims any liability for any losses or breakages that occur after delivery of the goods to the carrier. 5.4 The price list published annually replaces and cancels out any previous list. The prices indicated always refer to the individual product. The supply always occurs at the prices identified in the List and under the commercial terms in place at the date of the Order Confirmation. 5.5 No reductions or discounts are accepted for any reason unless agreed in advance on the invoice value. 5.6 The terms of sale and payment are compulsorily those identified in the order confirmation. 6 PAYMENT TERMS 6. The payment terms are those identified in the order confirmation and on the invoice. 6.2 Where the parties have agreed advance payment without further indications, it is presumed that the advance payment refers to the whole price. Unless otherwise agreed, the advance payment must be credited to the Seller s account before the agreed delivery date Where the parties have agreed payment against documents, the payment shall be made, unless otherwise agreed, as Documents Against Payment. 6.4 Any bank charges or fees owed in relation to the payment shall be borne by the Buyer. 6.5 In the event of a payment delay with regard to the agreed date, the Buyer shall be obliged to pay to the Seller default interest determined at a rate equal to the interest rate set out under Italian Legislative Decree dated 9 October 2002, No. 23, Implementation of Directive 2000/35/EC relating to the fight against late payments in commercial transactions and subsequent updates, plus five percentage points, commencing from the time the payment should have been made. 6.6 In the case of total and/or partial missing payment within the terms identified on the invoice, the outstanding orders and any deliveries shall be halted until full payment is received. 7 WARRANTY FOR DEFECTS 7. The Seller guarantees the compliance of the Products provided in accordance with the Contract. The same undertakes to remedy defects, imperfections or non-compliance of the Products attributable to it, so long as the same have been promptly reported in compliance with clause 4.4. The Seller may choose alternatively to repair or replace the defective Products. Products under warranty that are replaced or repaired shall be subject to the same warranty for a further 2 month period commencing from the date of repair or replacement. Where there are defects in production, the replacement or repair shall be free of charge, notwithstanding the transportation costs being at the Buyer s expense. 7.2 The Seller does not guarantee the compliance of the Products with particular specifications or technical characteristics or their suitability for particular uses other than where such characteristics have been expressly agreed under the Contract or in documents referred to for that purpose under the Contract itself. 7.3 Except in the case of wilful misconduct or gross negligence, the Seller shall be obliged, in the case of defects, imperfections and non-compliance of the Products, only to repair the same or to provide Products to replace those that are defective. It is understood that the above-mentioned warranty (consisting of the obligation to repair or replace the Products) is all-encompassing and replaces the warranties or liabilities set out by law, and excludes any other liability of the Seller originating from the supplied Products. 7.4 Once the warranty has expired, no claim may be made against the Seller. 8 RETENTION OF OWNERSHIP It is agreed that the delivered Products remain under the ownership of the Seller until the latter has received full payment for the same. 9 INSURANCE The products are covered by an insurance policy only following written request and at the expense of the Buyer. 0 TRADEMARKS Should the Buyer decide to sell on the Products, it is obliged to respect the original presentation and packaging of the Products of the Seller, without removing and/or altering the trademarks or any other sign affixed to the Products by the Seller. WAIVERS. The Seller reserves the right to suspend the execution of its contractual obligations where that execution is made impossible or excessively burdensome due to or following an event beyond its control..2 The Seller also reserves the right to refuse to fulfil its obligation or to suspend such following changes to the financial situation of the Buyer. 2 APPLICABLE LAW For anything that is not expressly provided for herein, the Contract is governed by the 980 Vienna Convention on the International Sale of Goods and, for matters not regulated by that convention, by Italian law. 3 COURT WITH JURISDICTION For any dispute deriving from or in any way linked to the Contract to which these terms apply, the Court of Milan shall have exclusive jurisdiction. However, the Seller shall have the right to bring legal action in the Court of the Buyer.
