4 StripLed CONTROLLO QUALITÀ Verificate al 100% in linea di produzione, le Strip Led vengono sottoposte a un severo controllo statistico che prevede: una verifica da parte del produttore prima della spedizione e un controllo (meccanico, elettrico e ottico) con AQL 0,01 secondo ISO standard, alla ricezione in Necto Group. TRACCIABILITÀ Grazie all etichettatura e alla relativa registrazione di tutte le nostre Strip Led, garantiamo la tracciabilità di ciascun lotto di produzione e di stock. Questo ci permette di risalire, anche a distanza di tempo, al particolare BIN fornito. ENERGY-STAR Tutte le Strip Led sono conformi alle specifiche Energy Star per quanto concerne le tolleranze sulla temperatura colore e la resa cromatica, oppure sono in 3 STEP (SM). RESA CROMATICA Offriamo esclusivamente Strip Led CRI 80 perché vogliamo assicurare un altissima resa cromatica e garantire una deviazione del colore minima. Per questa ragione, le nostre Strip Led sono disponibili anche nella versione CRI>90 e CRI>95. CERTIICAZIONE A ulteriore garanzia della loro qualità, le nostre Strip Led rispondono ai requisiti richiesti dalla certificazione ETL, che garantisce la conformità agli standard: UL, CSA, ANSI, ASTM e NPA. SELEZIONE CROMATICA Nelle etichette delle nostre strip è indicato l esatto BIN color, secondo la normativa ANSI C CLASSE ENERGETICA Su tutte le nostre Strip Led è indicata la corretta etichettatura della classe energetica. IMBALLO Tutte le nostre strip sono in confezione antistatica riapribile. QUALITY CONTROL 100% verified in production line, statistic control before the shipment, incoming control by Nectogroup (mechanical, optic and electric) with AQL 0,01 according to ISO standard. TRACEABILITY On our label we print the production lot as well as the exact micro BIN of strip. So that we can trace, if necessary, the right CCT and BIN in any moment. ENERGY-STAR All our Led Strips are compliant to Energy Star regulations concerning to CCT tolerances and CRI. They could also be 3 STEP (SM). RA (CRI) We offer only CRI 80 Strip Led because we want to assure the right color rendering and guarantee a very narrow deviation. Also for this reason most of our Led Strips are available also with CRI>90 and CRI>95. APPROVALS As an extra guarantee of quality, our Led Strip are ETL certified, which assure the compliance to the UL, CSA, ANSI, ASTM e NPA standards. COLOR SELECTION On our label is indicated the exact BIN color, following ANSI C standard. ENERGY CLASS On our led strips is indicated the right Energy Class label (ErP). 81 Precauzioni di montaggio della strip LED: 1. Assicurarsi che la superficie alla quale viene incollata la strip LED sia liscia e pulita. Sporco, olio, grassi ecc. influenzano l adesività del nastro biadesivo, con il rischio di possibili distacchi nel tempo. 2. Dopo aver posizionato la strip LED, premere sulla stessa con adeguata forza per permettere un buon incollaggio sulla superficie. Non usare martelli o altri utensili per premere sulla strip in quanto questa potrebbe sicuramente danneggiarsi. 3. Non piegare la strip a 90 o con un angolo secco di piegatura in quanto potrebbero danneggiarsi le saldature o le pista di trasmissione elettrica. Il raggio minimo di curvatura della strip deve essere, per evitare danni alle piste o ai componenti saldati, di 60 mm. 4. Non tirare il cavo di collegamento dopo il montaggio della strip LED per non rovinare o provocare il distacco delle piste di collegamento della strip LED. 5. Per avere le migliori prestazioni collegare ogni strip LED di lunghezza 5 metri al proprio alimentatore o controllore. Se si alimentano più strip LED in serie si possono avere delle diminuzioni di efficienza luminosa dovute alla caduta di tensione generata dalla resistenza elettrica delle piste che scorrono nel circuito della strip LED. 6. Elettricità statica (ESD) può danneggiare la giunzione dei LED presenti nella strip LED. Si consiglia l uso di strumenti idonei atti ad evitare la trasmissione di elettricità statica nella strip (guanti elettrostatici o polsini elettrostatici). E inoltre raccomandato di prendere le necessarie precauzioni per evitare fenomeni dovuti a elettricità statica dove vengono installate le strip LED. 7. La strip genera molto calore. Evitare di farla funzionare in aria libera e prevedere idoneo sistema di raffreddamento. La temperatura superficiale del circuito stampato non dovrebbe superare, per garantire la durata del LED, i C massimo (temperatura misurata nel punto di saldatura del LED SMD al circuito stampato. in questo caso, tenendo conto della resistenza termica fra supporto e giunzione non si dovrebbero superare gli 85 C nella giunzione). 8. Devono essere evitate fonti di calore in prossimità della strip LED o che la stessa venga interessata da fonti di calore che potrebbe innalzare la temperatura di funzionamento. Operare secondo le specifiche espresse nel foglio tecnico del prodotto. 9. Evitare la tensione inversa che può distruggere la giunzione, Prestare molta attenzione al collegamento per non invertire la connessione positiva con la negativa. 10. Usare alimentatori di qualità, onde evitare possibili sovratensioni (surge) che potrebbero bruciare il LED. Cautions: 1. Per evitare questo genere di problemi, maneggiare le strip LED con le attrezzature idonee a limitare l elettricità statica, quali i guanti o i polsini antistatici. E inoltre raccomandato di prendere le necessarie precauzioni per evitare fenomeni di elettricità statica dove vengono installate le strip LED. Per evitare fenomeni dovuti a trasmissione di elettricità, si prescrive di utilizzare un saldatore in bassa tensione 24V con isolamento dalla rete 230Vac oppure un saldatore a gas. Si raccomanda di prevedere adeguato sistema di raffreddamento della strip LED mediante dissipazione termica. 5 Devono essere evitate fonti di calore in prossimità della strip LED e inoltre le strip LED devono operare secondo le prescrizioni espresse nel foglio tecnico. 6 La tensione inversa è molto pericolosa per i diodi LED. Assicurarsi di non superare la tensione massima reverse quando le strip sono collegate a sistemi a matrice. ASSEMBLY PRECAUTIONS. 1 Do not pull on connecting cable after LED strip installation so as not to damage or cause separation of LED strip tracks. 2 or best performance, each LED strip 5 meters of length must be powered singularly. If multiple LED strips are powered, you might experience a reduction in luminous efficiency due to voltage drops generated along the strip. 3 ESD or static electricity can damage the LED diodes present on the LED strip. To avoid this type of problems, handle the LRD strip with tools designed to limit static electricity, such as anti-static gloves or wrist straps. Additionally, it is recommended to use adequate precautions to avoid static electricity where LED strips are installed. To avoid electric power transmission, it is recommended to utilize a low voltage soldering iron (24V with electrical grid insulation 230Vac) or a gas solder. In tal caso, il contratto si intenderà perfezionato con l'invio, dal Cliente a Necto Group S.r.L., di conferma scritta delle condizioni modificate. Le richieste di annullamento degli ordini e/o di risoluzione del contratto, dovranno essere inoltrate in forma scritta a Necto Group. Le medesime si intenderanno rigettate ove non espressamente accolte in forma scritta da Necto Group entro 5 giorni dal loro ricevimento, con salvezza di quanto previsto al paragrafo 10 (resi) delle presenti condizioni generali. L importo minimo di fornitura mensile accettato è di 250,00 (Euro duecentocinquanta). 2. Preventivi. I preventivi predisposti da Necto Group saranno efficaci per un periodo di giorni 30 (trenta) di calendario dal loro invio al Cliente, salvo diversa indicazione espressa nell'offerta. Decorso detto periodo senza che Necto Group abbia in forma scritta concesso una proroga, il preventivo si deve intendere revocato e/o comunque privo di ogni effetto. Tutte le condizioni indicate nel preventivo sono vincolanti per il compratore (quantità, prezzi, sconti, consegna, legame valutario, modalità di pagamento, dettagli tecnici) e si intendono accettate senza riserve per effetto dell'invio dell'ordine in forma scritta da parte del Cliente, ai sensi del paragrafo 1 delle presenti condizioni generali. 3. Luogo di stipulazione del contratto e del suo adempimento. Ai fini della determinazione del luogo di stipulazione del contratto, il domicilio di Necto Group si intende stabilito presso la sede legale di quest'ultima, in Padova, via Canada, 8. Agli effetti di cui all'art (Luogo dell'adempimento) e 1510 (Luogo della consegna) c.c., l'obbligazione di consegna dei prodotti oggetto di vendita da parte di Necto Group dovrà essere adempiuta presso il domicilio di quest'ultima. Analogamente, i pagamenti dovranno essere eseguiti presso il domicilio di Necto Group, salva diversa indicazione, in forma scritta, anche in sede di preventivo, da parte di Necto Group. II. Esecuzione del contratto. 4. Consegna. Le date di consegna dei prodotti al Cliente sono da intendere riferite alla data nella quale la merce pervenga presso il domicilio di Necto Group e sia di conseguenza messa nella disponibilità del Cliente per il ritiro. Le richieste di differimento delle date di ritiro della merce devono essere inoltrate in forma scritta a Necto Group con almeno 10 giorni di anticipo sulla data di consegna indicata in preventivo o nell'ordine. Le medesime si intenderanno comunque rigettate ove non espressamente accolte win forma scritta da Necto Group entro 3 giorni dal loro ricevimento. I termini indicati da Necto Group hanno solo carattere indicativo e in nessun caso potranno essere qualificati come essenziali. In caso di ritardo nella consegna dei prodotti presso il domicilio di Necto Group causato da caso fortuito, forza maggiore o altri eventi non imputabili a dolo/colpa grave di Necto Group, il Cliente non potrà pretendere alcun risarcimento del danno né chiedere la risoluzione del contratto o una riduzione di prezzo. 5. Trasporto. Le merci sono vendute franco nostra sede, con salvezza di accordi diversi espressamente convenuti per iscritto, in base ai quali Necto Group si assume l obbligazione di provvedere al trasporto e alla consegna della merce. Ai sensi dell'art. 1510, comma 2, c.c., se, su accordo delle Parti, la merce venduta deve essere trasportata da un luogo ad un altro, Necto Group S.r.L. si libera in ogni caso dall'obbligo della consegna rimettendo la merce al vettore o allo spedizioniere indicato dal Cliente. Le spese del trasporto sono a carico del Cliente. In mancanza di precise istruzioni in merito da parte del Cliente, su incarico e delega del quale il trasporto deve in ogni caso intendersi eseguito, con sopportazione delle relative spese, Necto Group S.r.L. effettuerà le spedizioni con il mezzo ritenuto più idoneo. 6. Pagamento. Il pagamento dovrà essere effettuato dal Cliente nei termini convenuti nel contratto. Si precisa che il Cliente dovrà provvedere al pagamento nei termini pattuiti, anche nei casi di ritardo nella consegna della merce per causa non imputabile a Necto Group ovvero nei casi di avarie o perdite parziali o totali verificatesi durante il trasporto della merce ai sensi del paragrafo 5. Analogamente, il Cliente deve ritenersi tenuto al pagamento nei termini stabiliti anche nel caso in cui le merci, messe a disposizione dell acquirente presso, non vengano dal Cliente stesso ritirate, salvo in ogni caso il risarcimento del danno secondo quanto previsto al paragrafo 4, comma 3. In caso di mancato o ritardo di pagamento, Necto Group potrà avvalersi inoltre della facoltà di sospendere o annullare l evasione di eventuali ordini in corso, secondo le previsioni e nei limiti di cui agli articoli 1460 e 1461 c.c. Nel caso in cui siano convenuti pagamenti rateali, Necto Group S.r.L. si riserva, ai sensi dell'art c.c. (decadenza dal termine) di pretendere, anche in via giudiziale, il pagamento dell'intero corrispettivo dovuto per l'ipotesi di insolvenza sopravvenuta o qualora il cliente abbia diminuito le proprie garanzie o non abbia prestato le garanzie promesse, senza necessità di preventiva comunicazione e/o messa in mora. In ogni caso di inadempimento o di ritardato adempimento, sarà inoltre applicata al Cliente salvi gli interessi di mora, la rifusione delle spese legali e il risarcimento del maggior danno una penale, ex art c.c., pari a 1/20 del valore della fornitura in ragione di settimana di ritardo nell'adempimento, cumulativamente alla penale per mancato ritiro prevista al precedente 4.. Clausola risolutiva espressa. 7. Clausola risolutiva espressa. Ai sensi dell'art c.c., Necto Group si riserva di risolvere il contratto, nelle forme di cui all'art. 1456, comma 2, c.c., nell'ipotesi di mancato pagamento del prezzo da parte del Cliente secondo le modalità convenute. IV. Garanzia. 8. Garanzia. Necto Group, ai sensi dell'art c.c., garantisce che i prodotti venduti sono immuni da vizi che li rendono inidonei all'uso cui sono destinati o ne diminuiscono in modo apprezzabile il valore. Necto Group S.r.L. non garantisce il buon funzionamento del prodotto venduto, ai sensi dell'art c.c. 9. Reclami e/o contestazioni decadenza dalla garanzia. Eventuali reclami riguardanti quantità, specie o tipo della merce fornita dovranno essere inoltrati, a pena di decadenza, in forma scritta al domicilio di Necto Group entro 8 giorni dalla data di consegna della merce al compratore. I reclami sulla qualità della merce fornita dovranno essere inoltrati a, in forma scritta, a pena di decadenza, entro 8 giorni dalla scoperta. La denuncia di vizi/difetti della merce venduta deve essere inoltrata al domicilio di Necto Group in forma scritta, a pena di decadenza, entro 8 giorni dalla scoperta, ex art c.c. Pena la perdita di qualsivoglia garanzia, il "Cliente dovrà in ogni caso astenersi da interventi e/o riparazioni e/o manomissioni dei prodotti rispetto ai quali denunci vizi e/o difformità e/o mancanza di qualità e/o contesti la corrispondenza al tipo o alla specie prevista. Non verranno presi in considerazione reclami riguardanti merce in qualunque modo riparata e/o manomessa e/o alterata. A pena di irricevibilità e/o decadenza la denuncia dovrà indicare il codice di tracciabilità e/o gli estremi della/e bolla/e di consegna. Si precisa che nessun reclamo riguardante la qualità della merce potrà essere fatto valere, neppure in via d eccezione, se la merce alla quale il reclamo si riferisce non è stata integralmente pagata. Eventuali reclami o contestazioni riguardanti una singola consegna di merce non esonerano l acquirente dall obbligo di ritirare la restante quantità di merce entro i limiti dell ordinazione o dell impegno. Il Cliente si impegna, prima di mettere il prodotto in opera o comunque prima di utilizzarlo nei propri processi produttivi, anche assemblandolo con altre componenti, ad assicurarsi che il medesimo sia conforme all uso previsto, procedendo, se necessario, alle opportune prove preliminari, sempre che le medesime non abbiano l'effetto di alterare e/o comunque modificare il prodotto oggetto di compravendita. Necto Group, di conseguenza, non risponde dei pregiudizi derivati dalla mancata verifica del prodotto anteriormente alla sua messa in opera, quando si tratti di vizi, difetti e/o difformità riconoscibili usando l'ordinaria diligenza, anche per il tramite degli anzidetti test preliminari e/o verifiche. 10. Prescrizione. I prodotti venduti da, ai sensi degli artt e 1497 c.c., e salve le decadenze ivi stabilite e di cui al precedente paragrafo 10, sono garantiti per un anno dalla data di consegna al Cliente, secondo quanto previsto ai paragrafi 4 e 5 delle presenti condizioni generali di contratto. E' espressamente escluso il risarcimento, da parte di Necto Group, di danni, diretti o indiretti, derivati da vizi e/o difformità e/o mancanza di qualità dei prodotti venduti. E', altresì, escluso il rimborso, da parte di Necto Group dei costi, di qualunque specie, sostenuti dal Cliente per qualunque ragione, quali, a titolo esemplificativo e non esaustivo, i costi sostenuti per assistenza post vendita, per sostituzione dei componenti; i costi dal Cliente sostenuti presso i propri; i costi per azioni di recall ; i costi sostenuti per selezioni di materiali o per sostituzione o per rimpiazzi di interi lotti. Resta salva la facoltà di Necto Group di autorizzare in forma scritta le attività di cui al precedente capoverso, concordando di volta in volta e per iscritto con il Cliente la ripartizione dei relativi oneri. V. Resi. 11. Resi. Eventuali resi di merce da parte del Cliente dovranno, in ogni caso, essere preventivamente autorizzati in forma scritta da Necto Group. I prodotti resi dovranno essere spediti, a spese del Cliente il quale dovrà indicare, nei documenti fiscali e di trasporto, il riferimento di autorizzazione. I resi saranno accettati solo se completi di confezione originale, con idoneo imballo esterno e integri. Qualora il reso non sia stato causato da fatto imputabile a Necto Group, al momento del riaccredito del prezzo Necto Group si riserva il diritto di trattenere il 10% del valore imponibile fatturato del reso a titolo di rimborso delle spese amministrative. VI. Riserva della proprietà. 12. Riserva della proprietà. Necto Group, ai sensi dell'art c.c., conserva la proprietà dei beni venduti fino al pagamento effettivo della totalità del prezzo. Necto Group avrà pertanto titolo per rivendicare la merce in caso di mancato pagamento, da parte del Cliente, anche solo di una rata. Ai sensi dell'art c.c., tuttavia, il compratore assume i rischi connessi alla perdita e/o al danneggiamento dei prodotti al momento della consegna. 13. Modifiche ai dati riportati in catalogo. Necto Group si riserva di apportare tutte le modifiche migliorative del prodotto e del progetto che si riterranno necessarie. Al compratore è vietato utilizzare qualsiasi marchio e logo che appartiene a Necto Group senza espressa autorizzazione preliminare conferita per iscritto. Il Compratore è, in ogni caso, tenuto a rispettare le regole relative all uso dei marchi e logo. 16. Riproduzione catalogo. E' vietata la riproduzione totale o parziale dei cataloghi senza la preventiva autorizzazione scritta di Necto Group. V. oro competente. 17. Competenza giurisdizionale. Per tutte le controversie che dovessero insorgere tra Necto Group e i propri clienti sarà competente in via esclusiva il foro di Padova - Italia (Autorità Giudiziaria di Padova - Italia). IX. Modifica alle condizioni generali. 18. Modifica delle condizioni generali di vendita. 103 sales conditions NECTO GROUP S.r.L., Italian company with head office in Padova Z.I., via Canada, 8, telefax ( Necto Group ), sales electronic and electromechanical components, it being expressly pointed out that in no case Necto Group shall be considered as the producer of the electronic and electromechanical components sold. Any and all the contractual relations with Necto Group shall be governed by the following conditions whose purpose, pursuant to article 1341 of the Italian Civil Code, is to equally regulate any and all the contracts with Necto Group. These general conditions shall be considered as entered into force, singularly and as a whole, when the Client subscribes for acceptance these general conditions or whenever the Client places an order, of which these general conditions are an integral and essential part. In no event shall any general conditions of any nature inserted and/or specified in the Client s forms and/or in other documents sent to Necto Group by the Client, and/or of which Necto Group Srl was made aware in any manner whatsoever, apply to this agreement and/or to any other supply of products by Necto Group. The Client, as a consequence thereof, accepts Necto Group general conditions, included those provided by article 1341, II comma of the Italian Civil Code, and expressly waives to any of his conditions of purchase, singularly and as a whole. Any further change and/or amendment related to specific aspects of this general conditions shall be binding and valid only if accepted in writing by Necto Group. I. Agreement. 1. Orders. All and any order of the Client shall be in writing, submitted by fax or , at Necto Group office in Padova, via Canada, 8 (fax ). The Contract shall be considered as entered into force in the moment in which the order, duly filled in each part, is received by Necto Group. It is expressly agreed that Necto Group, at its own discretion, could refuse the order by giving notice of the refusal to the Client within 5 (five) days as of the receipt of the relevant order. The order confirmation sent by Necto Group will in no case postpone the moment of conclusion of the contract, which is expressly fixed in the moment in which the Client sends the order to Necto Group by writing. As a consequence thereof, after the receipt of the order, Necto Group shall be free to perform the contract without any further communication and/or confirmation, being the contract effective in the moment in which the Client places the order, as provided by the previous paragraph. Necto Group shall inform the Client in writing of any modification. In this case, the contract shall enter into force only upon transmission of written acceptance of the said modification by the Client. Any order cancellation and/or contract termination notice shall be transmitted in writing to Necto Group and shall be considered as refused, unless expressly authorized in writing by Necto Group within 5 days as of its receipt, except what is provided by paragraph 10 (returned goods) of these general conditions. The minimum accepted value of each order is 250,00 (Euro two hundred and fifty). 2. Offers. Offers shall be effective for a period of 30 (thirty ) calendar days as of their receipt by the Client, unless otherwise provided. After expiration of the said term without prorogation by Necto Group, the offer shall be deemed as revoked and, in any case, no effective. Any and all the terms and conditions of the offer shall be binding for the Client (such as, without limiting the generality of the foregoing, quantity, prices, discounts, exchange rate, terms of payment, technical specifications and details) and shall be considered accepted without reservation upon transmission of the order, according to paragraph 1 of these general conditions. 3. Place of execution of the contract. In order to determine the place of execution of the contract, the head office of Necto Group is in Padova, via Canada, 8. To all intent and purposes of art (Place of conclusion of the contract) and 1510 (place of delivery) of the Italian Civil Code, the place of delivery of the products shall in any case be at Necto Group premises in Padova, via Canada, 8, unless otherwise specified in writing by Necto Group. II. execution of the contract. 4. Delivery. The terms of delivery of the products shall refer to the date in which the products are in Necto Group premises in Padova, via Canada, 8, at the Client s disposal. In case of unascertained products, the goods shall be considered ascertained in the moment in which they are at disposal of Necto Group, by delivery at this latter s warehouse, and as a consequence thereof, at the Client s disposal, except for what is provided under the following paragraph 12 (retention of title). The Client, except for what is provided under the following paragraph 6 (shipment), shall collect the products in the moment in which they are at its disposal in Necto Group warehouse, according to the terms set forth in the offer or according to the instructions given by Necto Group at the moment of the delivery. If the Client delays the collection of the products, Necto Group, without prejudice of any other claim for damages, shall apply a penalty of Euro 100,00 (one hundred) for any week of delay, as a consideration for the use of Necto Group spaces. Any request concerning a postponement of the date of collection shall be transmitted in writing to Necto Group at least 10 (ten) days before the date of collection indicated in the offer and/or in the order and shall be considered as refused, unless expressly authorized in writing by Necto Group within 3 (three) days as of their receipt. The terms of delivery shall always be considered as roughly set forth and in no case shall they be deemed as of essence. In case of delay in the delivery of the Products caused by a fortuitous event, force majeure or other causes not depending on Necto Group s willful misconduct and/or gross negligence, the Client shall not be entitled to claim a compensation for damages, nor to ask for the termination of the agreement and/ or the reduction of the price. 5. Shipment. The products are sold Ex Works Necto Group head office, unless agreed in writing that Necto Group provides transportation and delivery of the products. Pursuant to article 1510, comma 2, of the Italian Civil Code, if the parties agree a place of delivery different from Necto Group s premises, Necto Group shall fulfill such obligation by putting the products at disposal of the haulier chosen by the Client. The Client shall bear all the shipment expenses. In the absence of precise instructions by the Client, Necto Group will carry out shipment at its own discretion, using the means considered most suitable, being it clear that in any case the shipment will be at the Client s risk and expenses. 6. Payment. The price of the Products shall be paid by the Client as per the terms and ways of payment specified in the offer. The Client shall pay according to the agreed terms even in case of late delivery, for whatever reason not depending on Necto Group, or in case of damage or loss occurred during the shipment of the products pursuant to paragraph 5. The Client shall pay even if the products are lately or not collected by the Client, without prejudice to the penalty due for late collection according to paragraph 5 above. Should the Client fail to timely pay the products, Necto Group shall be entitled to cancel or suspend the delivery of the products, also on the basis of other contractual relationship, pursuant and according to articles 1460 e 1461 of the Italian Civil Code. Pursuant to art of the Italian Civil Code, in case of payment by installments, Necto Group expressly reserves the right to claim the full payment of the outstanding credit whenever the Client fails to timely pay or reduces its guarantees or does not provide the guarantees agreed. Pursuant to article 1382 of the Italian Civil Code, in any case of non-fulfillment or delay, Necto Group shall be entitled to a penalty in the amount of 1/20 of the value of the supply for any week of delay, without prejudice to Necto Group s right to claim default interest, legal fees and any other claim for further damages.. Termination clause. 7. Termination clause. Pursuant to article 1456 of the Italian Civil Code, should the Client fail to pay the products according to the terms agreed, Necto Group will be entitled to forthwith terminate the contract. IV. Warranty. 8. Warranty. Pursuant to art of the Italian Civil Code, Necto Group guarantees that the Products will be free from vices and defects, Necto Group guarantees the correct functioning of the products sold under the terms provided by art of the Italian Civil Code. 9. Claims/complaints loss of warranty. Subject to the loss of warranty, the Client shall notify to Necto Group any vices and/or defects of the product regarding quantity, kind and type within and not later than 8 (eight) days as of the date of the actual delivery. Any complaint regarding the quality of the products shall be notified to Necto Group in writing within and not later than 8 (eight) days as of the date of the relevant discovery. The Client shall notify in writing, at the head office of Necto Group, any vices and/or defects found within and not later than 8 (eight) days as of the date of the relevant discovery, pursuant to article 1495 of the Italian Civil Code. Subject to the loss of warranty, the Client shall in any case refrain from any repair, alteration and/or modification of the products. Necto Group shall no consider claims regarding modified and/or altered products. Subject to refusal and/or loss of warranty, the complaint shall indicate the traceability code and/or all the details of the delivery note. In no event shall any vices and/or defects of the Products give the Client the right to suspend the relevant payments. Any claim and/or complaint regarding a lot of product does not exempt the Client from the obligation to collect the other products within the terms and conditions outlined in the order. The Client expressly undertakes to verify the conformity of the Product, carrying out any preliminary test that should be required, before the product being implemented or used in the Client s manufacturing process, even assembled with other components, unless the above said tests alter and/or modify the product. As a consequence thereof, Necto Group shall in no case be liable for any damage suffered by the Client for vices/defects/lack of conformity that could have been discovered through the above mentioned tests. 10. Loss of warranty period. Without prejudice to the provisions set forth in articles 1495 and 1497 of the Italian Civil Code, Necto Group guarantees that the products will be free from vices and defects in materials and workmanship for a period of 12 (twelve) months as of the date of the relevant delivery, according to paragraphs 4 and 5 above. Necto Group shall in no case be liable for any damage, direct or indirect, and it is expressly excluded any compensation for vices/defects/lack of conformity of the products. It is also expressly excluded any refund of the costs for whatever reason sustained by the Client, such as, without limiting the generality of the foregoing costs sustained for after-sale service, replacement of components, clients assistance, costs for recall actions, materials selection, replacement of entire batches, without prejudice for Necto Group to authorize in writing one or more of the previous activities, agreeing from time to time the cost allocation. V. Returns 11. Returns. Any return of products shall be previously authorized in writing by Necto Group. The products shall be returned to Necto Group at the Client s expenses; the delivery note and packaging shall indicate all the details of Necto Group s authorization. The returned goods shall be accepted only if returned in their original packaging, suitably wrapped and in perfect condition. If the return has not been caused by Necto Group, the refund will be deducted of the 10% of the amount invoiced as consideration for the administrative costs. VI. Retention of title. 12. Retention of title. Pursuant to article of the Italian Civil Code, Necto Group shall be the sole owner of the products until the date of their full payment. Should the Client fail to pay at least one installment, Necto Group shall be entitled to reclaim the product. Pursuant to article 1523 of the Italian Code, the Client shall bear all the risks related to the loss and/or damage of the products since the moment of their delivery. 13. Amendments to the data in the catalogue. Necto Group expressly reserves the right to make all and any amendments deemed necessary for the purpose of improving the products and the project. Rights of intellectual property 15. Trademarks and logos. The Client shall refrain from using any trademark or logo belonging to Necto Group, unless previously expressly authorized in writing by this latter. In any case, the Client expressly undertakes to respect any laws and/ or rules related to the use of trademarks and logos. 16. Reproduction of the catalogue. Any reproduction, total or partial, of the catalogue is strictly forbidden, unless expressly authorized in writing by Necto Group. V. EXCLUSIVE COURT 17. Jurisdiction. All disputes arising out of or relating to the Agreement and/or to the supply of Products shall be exclusively submitted to and settled by the Court of Padova, Italy. IX. Amendment to general conditions. 18. Amendment of the general conditions of sale. Necto Group s general conditions of sale are subject to vary and be amended.
