Standard package: Contract for cord blood stem cell storage. 1) Premessa fondamentale. Lo scopo di questo documento è spiegare termini, condizioni, limiti, rischi e costi di trattamento, analisi e conservazione delle cellule staminali ottenute dal cordone ombelicale (di seguito: Campione) raccolte al momento della nascita di un Bambino/a, in qualità di donatore (di seguito Donatore) su richiesta dei sottoscritti Genitori o esercenti la potestà genitoriale (di seguito: Guardiani), intendendosi per Genitori/Guardiani coloro che hanno il diritto di disporre del sangue cordonale del Donatore secondo la normativa vigente e di esercitare i diritti sul campione conservato fino al raggiungimento della maggiore età da parte del Donatore. Il presente Contratto deve essere necessariamente firmato almeno dalla Madre del Donatore, essendo necessario il suo consenso per alcune attività previste dal contratto. Inoltre, questo documento costituisce un contratto vincolante tra: A) Biovault Technical Ltd., Istituto dei Tessuti con sede in Plymouth, 24 Brest Road, Derriford, PL6 5XP, Regno Unito, titolare della licenza dell HTA (Human Tissue Authority) n. 11063; B) SmartBank S.r.l. (di seguito: SB), con sede in Via Vittorio Locchi, 9 00197 Roma; C) i sottoscritti Genitori/Guardiani. Si precisa che SB è una società di c.d. procurement ai sensi della legge inglese, cioè una società che si occupa degli aspetti informativi, commerciali e logistici della raccolta del sangue del cordone ombelicale, affinché questo possa essere adeguatamente ricevuto, processato e conservato da una Banca di Tessuti titolare di apposita licenza dell HTA (Autorità per i Tessuti Umani) secondo le Procedure Operative Standard approvate. SB si occupa della integrale gestione del rapporto contrattuale, ivi inclusa la certificazione della crioconservazione, anche in nome e per conto di Biovault Technical ltd., nell ambito di un sistema di qualità ISO 9001. Con la firma di questo contratto, redatto in due originali, uno dei quali conservato dai Genitori/Guardiani ed uno conservato presso SB, i sottoscritti Genitori/Guardiani concordano di trattare e conservare il Campione presso la Banca di Tessuti (di seguito, anche: Laboratorio) e dichiarano di accettare quanto segue. I Genitori/Guardiani prendono atto del fatto che il trapianto di cellule staminali derivate da cordone ombelicale è una tecnica relativamente 1) Introduction. The purpose of this document is to explain the terms, conditions, limits, risks and costs of processing, testing and storing stem cells obtained from the umbilical cord (hereinafter: Sample) collected when a child, as the donor (hereinafter: Donor), is born upon request of his/her undersigned parents or those possessing parental authority (hereinafter: Parents/Guardians), meaning by Parent/Guardians those who have the right to dispose of the Donor s cord blood according to the relative laws and regulations in force and to exercise their rights on the sample stored until the Donor comes of age. This contract must be signed by at least by the mother of the Donor, since her consent is necessary for some activities specified in the contract. This document also constitutes a binding contract between: A) Biovault Technical Ltd., Tissue Bank based in Plymouth, 24 Brest Road, Derriford, PL6 5XP, United Kingdom, holder of HTA (Human Tissue Authority) licence n. 11063; B) (hereinafter: SB), based in Via Vittorio Locchi 9 00197 Roma C) the undersigned Parents/Guardians. SB is a procurement company according British law, that is a company providing information on cord blood collection, including commercial and logistic aspects, so that it can be suitably received, treated and stored in a tissue bank holding a specific HTA (Human Tissue Authority) licence according to approved Standard Operating Procedures. SB deals with the entire management of the contract, including certification of cryogenic storage, in the name of and on behalf of Biovault Technical Ltd., under the terms of ISO 9001 standards. With the signature of this contract, consisting of two originals of which one is kept by the Parents/Guardians and the other by SB, the undersigned Parents/Guardians agree to process and store the Sample with the tissue bank (hereinafter: Laboratory) and declare they accept the following. The Parents/Guardians are aware that the transplant of stem 1

I Genitori/Guardiani riconoscono espressamente che SB e il Laboratorio non forniscono alcuna garanzia sull idoneità del Campione per futuri trattamenti di malattie e la cura con successo di malattie mediante l utilizzo del Campione. 2) Oggetto del contratto Il contratto ha per oggetto il trattamento e la crioconservazione delle cellule staminali del sangue del cordone ombelicale con finalità di conservazione privata, per i primi 25 anni più 5 anni in omaggio a decorrere dalla data d inizio della Crioconservazione indicata sul Certificato, di cui all art. 8; la conservazione ha luogo presso il Laboratorio Biovault Technical Ltd. che si trova a Plymouth, 24 Brest Road, Derriford, PL6 5XP, Regno Unito. Il Laboratorio si obbliga a garantire adeguati standard di conservazione ed il rispetto di tutte le disposizioni scientifiche, di qualità, di sicurezza o di altro tipo impartite dalle Autorità di Vigilanza. Il Campione crioconservato potrà essere rilasciato esclusivamente ad una struttura sanitaria dotata di licenza nell U.E. o ad un Centro Trapianti certificato, ovunque nel mondo. La premessa è parte sostanziale del Contratto che diviene efficace con la firma da parte dei Genitori/Guardiani, i quali tratterranno una copia per sé, inviando l altra a SB. SB e Biovault Technical Ltd. non forniscono consigli medici e non svolgono servizi medici e attività diverse da quelle previste nel presente contratto. I Genitori/Guardiani sono invitati a consultare professionisti di loro fiducia allo scopo di valutare l utilità e l opportunità di quanto oggetto del presente contratto. Al termine della durata contrattuale di 25 anni più 5 in omaggio, se il Donatore non manifesta per iscritto la sua volontà di estendere il periodo di conservazione, il Campione sarà distrutto o donato ad una banca pubblica di tessuti, in conformità con le regolamentazioni della Human Tissue Authority del Regno Unito. cells from the umbilical cord is a relatively new technique that can be beneficial for the Donor or for other possible beneficiaries (where permitted by the law). The Parents/Guardians specifically acknowledge that SB and the Laboratory do not provide any guarantee with regards to the suitability of the Sample for future treatment of diseases and successful cures for diseases with the Sample. 2) Purpose of contract The purpose of the contract is the private treatment and cryogenic storage of umbilical cord stem cells for the first 25 years plus 5 years free from the date on which storage began as indicated on the certificate, as per art. 8 below; the BioVault Technical Ltd. Laboratory, based in Plymouth, 24 Brest Road, Derriford, PL6 5XP, United Kingdom, shall be responsible for the storage. The Laboratory undertakes to guarantee suitable storage standards and to respect all the scientific, quality or security provisions or any other matters required by the regulatory authority. The Sample in cryogenic storage can only be issued to a health unit licensed in the EU or to a certified transplant centre anywhere in the world. The introduction is an essential part of the contract, which takes effect after SB receives a copy signed by the Parents/Guardians who shall retain a copy for themselves. SB and Biovault Technical Ltd. do not perform medical services, do not provide medical advice and do not carry out activities other than those specified in this contract. The Parents/Guardians are invited to consult with professionals chosen by them with the purpose of assessing the use and expediency of the purpose of this contract. At the end of the period of 25 years plus 5 years free, if the Donor does not express to SB in writing his will of extending the period of storage, the Sample will be destroyed or donated to a public tissue bank, according to the regulation of UK Human Tissue Authority. 3) Costo pacchetto STANDARD: fornitura SmartKit sangue cordonale + servizio di conservazione cellule staminali. Il costo dello SmartKit è di euro 250,00 IVA compresa e va corrisposto prima della sua ricezione. pagina Shop.Smartbank.it del sito di SB, compilando l apposito modulo d ordine del servizio, automaticamente recapitato all email indicata dai Genitori/Guardiani, riportante la forma di pagamento prescelta (Carta di credito, PayPal o Bonifico bancario). A pagamento avvenuto, i Genitori/Guardiani saranno contattati per la consegna dello SmartKit. Il costo del servizio di crioconservazione è di euro 2.050,00 IVA compresa (al lordo di eventuali sconti o promozioni) e viene corrisposto entro dieci giorni (10 giorni) dal ricevimento della comunicazione email (o telefonica) sul buon esito della conservazione. Il pagamento del costo del servizio si effettua alle coordinate bancarie indicate nel Modulo d ordine, oppure mediante il piano rateale prescelto (vedi Piani di rateizzazione ), previa accettazione da parte della società finanziaria di cui SB si avvale. Il prezzo include: assistenza informativa e logistica nella fase preliminare, costi di spedizione ordinaria a mezzo corriere espresso internazionale (usualmente DHL Express), trattamento del sangue e test di laboratorio finalizzati alla crioconservazione, test infettivologici sul sangue materno raccolto il giorno del parto, archiviazione dati, invio del Certificato di conservazione sull esito del campione raccolto, conservazione delle cellule staminali per i primi 25 anni più 5 anni in omaggio e garanzia di utilizzo del Campione a fini terapeutici in qualsiasi centro trapianti accreditato nel mondo (art. 10). Il prezzo viene integralmente fatturato da SB in regime di IVA italiana, essendo SB delegata da Biovault Technical Ltd. alla integrale gestione del rapporto con i Genitori/Guardiani. I Genitori/Guardiani che firmano il presente contratto sono responsabili in solido per il pagamento del prezzo, a prescindere da chi di loro sia intestatario della fattura. Il costo della spedizione del Campione è a carico di SB che, anche considerando la non operatività dei corrieri in alcuni giorni festivi infrasettimanali e nei weekend, e dei tempi limite di ritiro nei giorni prefestivi, si avvarrà, se opportuno e/o necessario, del servizio di un corriere alternativo. Nel caso, invece, in cui i Genitori/Guardiani richiedano un servizio straordinario al di fuori dei giorni in cui esso sia opportuno e/o necessario, SB fornirà ai Genitori/Guardiani il preventivo relativo al costo di spedizione: in caso di accettazione, tale costo sarà addebitato ai Genitori/Guardiani senza ulteriori oneri mentre le procedure di spedizione saranno direttamente gestite da SB. 4) Risoluzione, rimborso e importo dovuto. 4.1 Rimborso dello SmartKit: Nel caso in cui i Genitori/Guardiani intendano annullare l ordine dello the SB website on the Shop Smartbank.it page, filling in the order form, automatically sent to the e-mail address indicated by the Parents/ Guardians with the chosen form of payment (Credit card, PayPal or bank transfer). Once the payment has been made, the Parents/Guardians will be contacted for the delivery of the SmartKit. The cost of the cryogenic storage service is 2.050,00 euro VAT inclusive (before any discounts or promotions) and shall be paid within ten days (10 days) of the receipt of the e-mail (or telephone call) communicating the success of the storage. The payment of the cost of the service is made to the bank coordinates indicated in the order form, or by the chosen instalment plan (see Instalment Payment ), subject to the acceptance of the finance company used by SB. The price includes: information and logistic assistance in the preliminary stage, ordinary shipping costs by international express courier (usually DHL Express), processing of the blood and laboratory tests for cryogenic storage, laboratory tests on maternal blood, entering data, shipping of the Storage certificate, banking of the stem cells for the first 25 years plus 5 years free and guarantee of the suitability of the Sample s use for therapeutic purposes in any authorised transplant centre worldwide (art. 10). The price is entirely invoiced by SB with application of Italian VAT, since Biovault Technical Ltd. has delegated SB to manage the relationship with the Parents/Guardians. The Parents/Guardians who sign this contract are jointly liable for payment, irrespective of the parent/guardian to whom the invoice is made out. SB shall pay for the shipment of the Sample and, considering the fact that couriers do not operate on holidays and weekends as well as the time limits for picking-up, will make use, if appropriate and/or necessary, of the services of an alternative courier. In the event that Parents/Guardians would request a special service outside the days on which it is suitable and/or necessary, SB shall provide them with an estimate of the shipment costs; if accepted, this cost shall be charged to the Parents/Guardians without further expenses while SB shall directly manage the shipment procedures. 4) Termination, refund and amount due. 4.1 Refund of SmartKit: In the event that the Parents/Guardians intend to cancel the 3

SmartKit e il relativo servizio, devono inviare a SB, entro e non oltre 10 (dieci) giorni dalla ricezione dello stesso, richiesta scritta di annullamento a mezzo lettera raccomandata inviata presso la sede legale di SB o a mezzo email all indirizzo amministrazione@smartbank.it. Entro dieci giorni dal ricevimento della richiesta di annullamento SB provvede al rimborso del costo dello SmartKit, esclusivamente a mezzo bonifico bancario sul conto corrente indicato dai Genitori/Guardiani, previa restituzione del kit integro a proprie spese. Nel caso in cui si sia verificata l impossibilità alla raccolta e alla conservazione del campione (parto prematuro, urgenze ostetriche ed i casi previsti all art. 4.2) ed i Genitori/Guardiani abbiano pagato il costo del Ticket per l Autorizzazione all esportazione del sangue cordonale all Ospedale/Clinica e il ticket non sia rimborsato dalla struttura sanitaria, SB rimborserà il costo dello SmartKit, a fronte dell esibizione della ricevuta del pagamento del ticket e della restituzione del kit se integro. 4.2 Il costo del servizio non è dovuto a SB nei seguenti casi: a. Nel caso in cui non procedano per qualsiasi ragione alla raccolta del sangue e/o spedizione del Campione o non pervenga per tempo l Autorizzazione all esportazione. b. Nel caso in cui non sia possibile trattare o conservare il Campione per qualsiasi ragione (volume di sangue insufficiente, infezione in corso, ecc.). c. Nel caso in cui, dalle analisi materne richieste ai sensi della normativa vigente in Italia (Epatite B, anticorpi Epatite C e HIV 1e2) e dell Authority inglese e Dir. comunitarie (Epatite B, anticorpi Epatite C, HIV 1e2, Sifilide, HTLV 1e2 effettuate dal laboratorio sul sangue materno raccolto il giorno del parto) risulti che la mamma abbia una infezione contratta da virus. d. Nel caso descritto nel successivo art. 8. 4.3 Diritto di recesso da parte dei Genitori/Guardiani e importo dovuto. Nel caso in cui il Campione risulti insufficiente, alla luce degli attuali standard scientifici, in termini di quantità, <350.000 cellule CD34+, e/o in termini di qualità, <60% di cellule metabolicamente attive o per la combinazione di detti parametri, i Genitori/Guardiani hanno il diritto di recedere dal Contratto di conservazione entro trenta (30) giorni dal ricevimento dell apposita Informativa scientifica e della Disposizione del campione di sangue cordonale inviata da SB unitamente al Certificato di conservazione, secondo le modalità ivi indicate. order of the SmartKit and the relative service, they must send to SB, within ten (10) days of the receipt of the same, a written request for cancellation by registered letter sent to SB s registered office or by e-mail to amministrazione@smartbank.it. If, for any case, the collection and storage of sample is impossible (premature delivery, obstetric emergencies and cases envisaged under Art. 4.2) and the Parents/Guardians have paid the cost of the export licence to the Hospital/Clinic, and the cost is not refunded by the health facility, SB shall refund the cost of the SmartKit after proof of payment for the export licence and of the return of the kit if intact. 4.2 The cost of the service does not have to be paid to SB: a. In the event the cord blood Sample cannot be collected and/or sent for any reason or the export licence does not arrive in time. b. In the event it proves impossible to process or store the Sample for any reason (insufficient amount of blood, ongoing infection, etc.). c. In the event that the pre-natal analyses requested by Italian law (Hepatitis B, Hepatitis C antibodies and HIV 1and2) and by the HTA Authority with the European Directive (Hepatitis B, Hepatitis C antibodies and HIV 1and2, Siphilis, HTLV 1and2 collected on the due date) demonstrate that the mother has a viral infection. d. In the case described in art. 8 herein. 4.3 Parents/Guardians Right of Withdrawal and amount due. In the event that the Sample is insufficient, according to current scientific standards, in terms of quantity, <350.000 CD34+ cells, and/or quality, <60% of metabolically active cells or because of a combination of said parameters, the Parents/Guardians have the right to withdraw from the storage contract within thirty (30) days from the receipt of the Scientific information and of the Disposal of the sample posted by SB with the cryogenic storage Certificate, according to the formalities indicated herein. 4

Nel caso in cui i Genitori/Guardiani si avvalgano di questo diritto, sono tenuti al pagamento di euro 550,00 IVA compresa a parziale copertura delle spese di processamento e crioconservazione. Should the Parents/Guardians exercise this right, they will have to pay euro 550.00 VAT inclusive, as partial coverage of the processing and cryogenic storage expenses. 4.4 Risoluzione unilaterale da parte di SB SB si riserva il diritto di non conservare il Campione che risulti non idoneo al processo di crioconservazione, quale, a titolo esemplificativo, volume insufficiente (inferiore a 35 ml), scarsa vitalità metabolica, esistenza di agenti contaminanti non trattabili. In tali casi, SB informa i Genitori/Guardiani dell impossibilità di procedere alla conservazione del Campione, inviando anche relativa comunicazione scritta della/e cause, entro trenta giorni dalla data del parto. SB, inoltre, ha il diritto di risolvere il presente contratto e, eventualmente di provvedere alla distruzione del Campione, nel caso in cui il pagamento per qualsiasi ragione non sia andato buon fine (es. assegno bancario respinto) o sia incompleto, fermo restando il diritto di agire in giudizio per il recupero del credito. 4.4 Unilateral Termination by SB SB reserves the right not to accept a Sample unsuitable for cryogenic storage because of, for example, insufficient volume (less than 35 ml), low metabolic vitality or non-treatable contaminating agents. In these cases, SB shall inform the Parents/Guardians of the impossibility of storing the Sample, also sending written notice of the cause(s) no later than thirty days after childbirth. SB, moreover, has the right to terminate this contract, and if necessary to destroy the Sample, in the event that the payment has not been successful (e.g. bank cheque rejected), or is incomplete, without prejudice to the right to take legal steps to recover the debt. 5) Esami ematici e autorizzazione all esportazione È assolutamente indispensabile, ai fini dell esecuzione del presente contratto, che nei 30 (trenta) giorni precedenti la data presunta del parto (salvo in ogni caso quanto stabilito dalla normativa italiana in tema di esportazione di sangue cordonale) siano eseguiti sul siero della madre i seguenti test infettivologici: Epatite B, anticorpi Epatite C, anticorpi HIV 1e2. Inoltre, la mamma, il giorno del parto, deve far raccogliere un campione del suo sangue nella provetta presente nello SmartKit, da spedire assieme al campione cordonale, al fine di far eseguire al laboratorio tutti i 5 test infettivologici richiesti obbligatoriamente dalle Direttive europee e dall HTA: Epatite B, anticorpi Epatite C (anti HCV), anticorpi HIV 1e2, Sifilide, e HTLV 1E2. Nel caso in cui il giorno del parto il personale sanitario non raccogliesse il sangue materno, la mamma s impegna ad eseguire, a sue spese, presso un laboratorio accreditato SSN, tutte le suddette 5 analisi, tassativamente entro e non oltre il 7 (settimo) giorno successivo al parto, e ad inviare i referti a SmartBank per email all indirizzo analisidelsangue@smartbank.it o per fax al n. 06/6227.6620. E, pertanto, esclusivo onere dei Genitori/Guardiani provvedere all invio del campione ematico materno assieme al campione cordonale o ad inviare i referti delle 5 analisi suddette, senza ulteriori avvisi o comunicazioni da parte di SB, la quale declina ogni responsabilità nel caso di impossibilità di utilizzarlo per la mancanza di questi referti. 5) Blood Tests and Export Licence To execute this contract it is essential that, during the 30 (thirty) days before the expected date of childbirth (subject in any event to that established by Italian law in terms of cord blood exports) the following tests be performed on the mother s serum: Hepatitis B, Hepatitis C antibodies, HIV 1and2. More over, on the due date, a sample of the mother s blood must be collected in the tube provided with the SmartKit and shipped with the cord blood, to be tested for Hepatitis B, Hepatitis C antibodies HIV 1and2, Siphilis, HTLV 1and2 as required by the European Directive and by HTA. If, in the due date, the mother s blood would not be collected, the mother agrees to perform, at her own expenses, the above mentioned tests compulsorily within 7 days after birth, in a NHS accredited laboratory; the results must be sent to SmartBank to analisidelsangue@smartbank.it or to fax no. 06/6227.6620 It is understood that the Parents/Guardians have sole responsibility for the shipping of the maternal blood with the cord blood sample or for sending the results, without SB having to send further communications or notices. SB thus disclaims all liability in the event it cannot be used because of the absence of these results. 5

6) Prelievo cordonale SB non si occupa del prelievo del sangue cordonale che deve essere effettuato unicamente mediante lo SmartKit di raccolta fornito da SB. E compito dei Genitori/Guardiani concordare con l apposito personale sanitario la raccolta del Campione secondo quanto previsto dalle Istruzioni per il prelievo di sangue cordonale presenti nel kit. Conseguentemente, i Genitori/Guardiani devono assicurarsi che le persone incaricate della raccolta del Campione abbiano preso visione delle suddette Istruzioni per il prelievo di sangue cordonale, che abbiano chiara detta procedura e siano regolarmente abilitate all esercizio delle professioni sanitarie (ginecologi e ostetrici iscritti nei relativi albi professionali). SB non è responsabile di procedure o consigli medici impartiti ai Genitori/Guardiani da parte del personale sanitario da essi scelto. I Genitori/Guardiani prendono atto del fatto che durante una gravidanza e un parto possono intervenire complicazioni o circostanze imprevedibili che possono pregiudicare la raccolta del Campione. In considerazione di ciò, le Parti concordano che la salvaguardia della vita e della salute della madre e del nascituro hanno ogni priorità e che, pertanto, la raccolta del Campione potrebbe essere pregiudicata allo scopo di consentire il rispetto di dette priorità. In tal caso i Genitori/Guardiani hanno il diritto di annullare il presente contratto alle condizioni previste all art. 4.2, dandone tempestiva comunicazione a SB. 7) Trasporto Raccolto il Campione, è cura e responsabilità dei Genitori/Guardiani assicurarsi che lo SmartKit contenga il Campione del proprio Donatore e che la sacca contenente il Campione sia etichettata correttamente come indicato nelle Istruzioni d imballaggio e spedizione del Campione presenti nel kit. In caso di parto gemellare o plurigemellare, ciascun Campione deve essere correttamente etichettato. I Genitori/Guardiani avranno cura di mantenere il Campione secondo le suddette Istruzioni d imballaggio e di contattare prontamente SB affinché possa tempestivamente organizzare il ritiro e la spedizione del Campione al Laboratorio. Nel remoto caso di impossibilità a contattare SB, i Genitori/Guardiani dovranno chiamare direttamente il Corriere indicato da SB nelle Istruzioni succitate ed organizzare il ritiro del Campione. La spedizione, per incarico e nell interesse dei Genitori/Guardiani, è affidata da SB a società di spedizioni certificate che operano nel rispetto della vigente normativa relativa al trasporto dei campioni biologici e con la massima diligenza. The Parents/Guardians are aware that complications or circumstances beyond their control can occur during pregnancy or childbirth that could jeopardize the collection of the Sample. As a result, the Parties agree that the life and health of the mother and Donor have the utmost priority, and therefore the collection of the Sample could be jeopardized because of said priority. In this event the Parents/Guardians have the right to cancel this contract under the conditions specified in art. 4.2 above, giving prompt notice of this to SB. 7) Transport Once the Sample has been collected, the Parents/Guardians are responsible for ensuring that the SmartKit contains their Donor s Sample and that the bag containing the cord blood Sample is correctly labelled as indicated in the packing and shipping instructions delivered as part of the kit. In the case of twins or multiple births, each Sample has to be correctly labelled. The Parents/Guardians shall be responsible for treating the Sample according to the aforesaid packing instructions and for contacting SB that will promptly arrange for the collection and shipping of the Sample to the Laboratory. In the remote case of inability to contact SB, Parents/Guardians must directly call the Courier indicated by SB in the instructions above and arrange collection of the Sample. SB shall entrust the shipment, on behalf and in the interests of the Parents/Guardians, to a certified shipper respecting biological sample transport regulations and operating with the maximum diligence. SB shall ensure that the Sample arrives in a suitable condition in the Laboratory within the timeframe 6

Ciò nonostante, SB, pur prestando ai Genitori/Guardiani la propria esperienza ed assistenza nel ritiro e nella spedizione del Campione, non è responsabile nell ipotesi in cui il Campione venga danneggiato, smarrito o consegnato in ritardo dal corriere, che è l unico responsabile del trasporto. In tali circostanze, ove la conseguenza sia l impossibilità a trattare il sangue cordonale o a conservare il campione, i Genitori/Guardiani hanno diritto al Rimborso ai sensi dell art. 4.2 del presente contratto. 8) Trattamento, conservazione e certificazione del campione Con il presente accordo i Genitori/Guardiani prestano espressamente il proprio consenso affinché il Laboratorio designato da SB - Biovault Technical Ltd. - esegua sul sangue cordonale tutti i test appropriati e necessari ai fini della miglior conservazione del Campione e del rispetto delle normative vigenti. Pertanto, appena consegnato al Laboratorio, il Campione viene analizzato innanzitutto mediante valutazione del volume di sangue raccolto. Qualora il volume iniziale totale del sangue risulti inferiore a 35 ml, il Campione non potrà essere trattato/processato e viene, quindi, eliminato. Sarà cura di SB darne comunicazione ai Genitori/Guardiani con relativa comunicazione scritta della/e cause, entro trenta giorni dalla data del parto, come già riportato all art. 4.4 Risoluzione unilaterale da parte di SB. In camera bianca BL3, grado A, il Laboratorio provvede ad isolare le cellule staminali dagli altri elementi del sangue cordonale verificandone la rispondenza agli standard di quantità e qualità. Il Campione viene conservato in apposita sacca, dotata di due aliquote comunicanti e suddivisibili all occorrenza, per permettere un utilizzo sia totale che parziale del Campione. A fronte dell avvenuta crioconservazione del Campione, SB certifica l esito della conservazione mediante l invio, in originale, del relativo Certificato di conservazione riportante i risultati dell analisi, in termini di quantità (cellule mononucleate e cellule ematopoietiche CD34+) e qualità (grado di vitalità cellulare) delle cellule staminali, ivi compresi volume di sangue raccolto, data d inizio della crioconservazione, riferimenti del Laboratorio. Il Certificato di conservazione sarà inviato ad avvenuto pagamento del servizio all indirizzo indicato dai Genitori/Guardiani, entro trenta (30) giorni dalla data del parto, a mezzo posta e previo avviso mediante email, se segnalata. In caso di comprovata necessità o per disposizione delle Autorità di Vigilanza, al fine di salvaguardare le migliori condizioni di conservazione, SB è espressamente autorizzata a trasferire il Campione in un altro laboratorio o in un altra struttura idonea, informando prontamente i Genitori/Guardiani tramite raccomandata A/R. specified in international standards. Nonetheless, SB, albeit offering the Parents/Guardians its experience and assistance for collecting and shipping the Sample, cannot be held responsible for its damage, loss or delay in delivery by the courier, which has sole liability for transport. In these cases, where it is impossible to process the cord blood or preserve the Sample, the Parents/Guardians are entitled to a refund in accordance with art. 4.2 herein. 8) Processing, Storage and Certification of the Sample With this agreement the Parents/Guardians expressly give their consent for the Laboratory designated by SB - Biovault Technical Ltd. - to carry out all the appropriate tests on the cord blood necessary for the best preservation of the Sample and the respect of the relative laws and regulations. Therefore, as soon as it is delivered to the Laboratory, the Sample will be tested by assessing the volume of blood collected. Should the total initial volume of blood be less than 35 ml, the Sample will not be able to be treated/processed and shall therefore be eliminated. SB shall be responsible for communicating the aforesaid result to the Parents/Guardians who have the right to be refunded for the amount paid, as described in art. 4.4 Unilateral Termination by SB. In a BL3, grade A cleanroom, the Laboratory isolates the stem cells from the other elements of the cord blood, checking that they meet quality and quality standards. The Sample is stored in a special bag divided into two communicating and separate parts so that either all or part of the Sample can be used. Once the Sample has been placed in storage, SB shall certify it by forwarding, in original, the Storage Certificate with the results of the tests, in terms of quantity (mononuclear cells and CD34+ haemopoietic cells) and quality (degree of cellular vitality) of stem cells, including amount of blood collected, date of cryogenic storage, Laboratory details. After payment for the service has been settled the aforesaid storage certificate shall be sent to the address indicated by the Parents/Guardians, no later than thirty (30) days after the date of childbirth, by post and with e-mail notice, if provided by post with a notice by email. To ensure the best storage conditions, in the event of attested need or by order of the regulatory authority, SB is expressly authorized to transfer the Sample to another laboratory or to another suitable unit, promptly informing the 7

In nessun caso il Campione dovrà essere suddiviso tra più laboratori, ritenendosi essenziale la conservazione centralizzata, né potrà essere destinato, in tutto o in parte, ai fini di ricerca scientifica. 9) Poteri sul Campione ed utilizzo a fini terapeutici Il Campione sarà legalmente posseduto dai Genitori/Guardiani e rimarrà sotto il loro esclusivo controllo. I Genitori/Guardiani si obbligano, pertanto, a comunicare per iscritto o via Email a SB ogni eventuale modifica del loro indirizzo e/o recapiti, in modo da rendersi sempre reperibili. Essi potranno prendere ogni decisione inerente il Campione (impiego, trasferimento, distruzione del campione) con il solo limite del rispetto della normativa vigente, delle disposizioni delle Autorità di Vigilanza, delle GMP (Good Manufacture Practice) e di ogni ragionevole norma di prudenza. Tali diritti si trasferiranno automaticamente al Donatore, dal cui cordone ombelicale il Campione è stato estratto, nel momento in cui compie la maggiore età, secondo la legge di sua nazionalità. I Genitori/Guardiani si obbligano, quindi, ad informare prontamente il Donatore in merito a diritti e poteri sul Campione che verranno dallo stesso acquisiti con il raggiungimento della maggiore età, ivi compreso il diritto di rinnovare il contratto alla sua naturale scadenza (venticinque anni più cinque anni in omaggio). SB è espressamente esonerata da ogni responsabilità per il caso di inadempimento dei Genitori/Guardiani a quanto sopra. Per tutta la durata contrattuale, i Genitori/Guardiani o il Donatore, dal compimento del 18 anno, hanno facoltà di richiedere l utilizzo del Campione a fini terapeutici, in qualsiasi centro trapianti accreditato del mondo. La richiesta di utilizzo del Campione deve essere inoltrata, da parte degli aventi diritto, presso la sede legale di SB a mezzo lettera raccomandata o a mezzo e-mail all indirizzo: info@smartbank.it. A seguito della ricezione della richiesta di utilizzo, SB invierà al/ai richiedente/i e al medico che effettuerà il trapianto l apposita modulistica/documentazione, in duplice lingua, da compilare e rinviare a SB per email a info@smartbank.it oppure a mezzo fax al n.06/62276628. In fase di uscita del Campione, SB effettuerà il test di compatibilità HLA e quelli necessari o richiesti dai protocolli del Paese di destinazione. Le spese di spedizione del campione presso il Centro Trapianti prescelto dai genitori saranno preventivate per ogni caso specifico. Parents/Guardians by means of registered letter with acknowledgement of receipt. Under no circumstances the Sample could be divided up among several laboratories, since centralized storage is considered essential, nor can it be used, wholly or in part, for scientific research. 9) Rights on Sample and Therapeutic Use The Sample shall be legally owned by the Parents/Guardians and shall remain under their exclusive control. The Parents/Guardians therefore undertake to inform SB, in writing or by e-mail, of any change in their address and/or contact details so they can always be contactable. They shall be able to take any decision involving the Sample (use, public donation, destruction) with the sole limit of observance of the relative laws and regulations, the provisions of the regulatory authority, of GMP (Good Manufacture Practice) and of every reasonable prudent practice. These rights shall be automatically transferred to the Donor from whose umbilical cord the Sample has been extracted, at the time he/she comes of age, in accordance with the laws of his/her citizenship. The Parents/Guardians therefore undertake to inform promptly the Donor of his/her rights with regards to the Sample that he/she will acquire when he/she comes of age, including the right to renew the contract upon its natural expiration date (twentyfive years plus five years free). SB is expressly exonerated from every responsibility for the failure of the Parents/Guardians to observe the provisions given above. For the entire duration of the contract, the Parents/Guardians, or the Donor after he/she has reached 18 years of age, have the right to request the use of the Sample for therapeutic purposes, in any accreditated Transplant Centre in the world. The request to use the Sample must be forwarded, by those so entitled, to SB s registered office by registered letter or by e-mail to: info@smartbank.it. Following the request for use, SB shall send to the applicant (s) and to the doctor who will perform the transplant the appropriate forms/documents, in two languages, to be filled in and sent back to SB by e-mail to info@smartbank.it or by fax to n.06/62276628. When the Sample is removed, SB will perform the HLA compatibility test and those tests necessary or requested by the protocols of the country of destination. The shipping of the Sample to the chosen Transplant Centre by Parents/Guardians will be quoted for any specific case. 8

SB assisterà i Genitori/Guardiani nell ottenimento dell autorizzazione all importazione in Italia di cellule staminali cordonali destinate al trapianto, rilasciata su richiesta dal Ministero della Salute Ufficio VIII - Direzione Generale della Prevenzione e della Comunicazione Direz. Gen. Prevenzione Sanitaria - in Roma, in conformità a quanto previsto dalla legge n.219/2005. Almeno tre mesi prima della naturale scadenza del presente accordo, di cui all art. 2, SB invierà una comunicazione al Donatore maggiorenne o al legale rappresentante per informarlo del contratto in scadenza, nonché della possibilità di un eventuale rinnovo secondo termini e condizioni che saranno illustrate da SB. Qualora il presente contratto non venisse rinnovato alla sua naturale scadenza, il Campione verrà trattenuto a disposizione del Donatore per un periodo di novanta giorni oltre la scadenza. Durante tale periodo il Donatore potrà prendere ogni decisione inerente il Campione (proseguimento della conservazione, distruzione del campione) comunicandola tempestivamente e per iscritto a SB. Ove ciò non avvenga il Campione sarà donato se possibile o altrimenti distrutto senza necessità di ottenere ulteriori consensi, restando esclusa ogni possibilità che il Campione sia conferito, in tutto o in parte, per finalità di ricerca scientifica. During this period the Donor can take a decision with regards to the Sample (continue storage, public donation, destruction) informing SB promptly in writing. Should this not occur, the Sample shall be donated, if possible, to a public donation bank or otherwise destroyed without the need to obtain further consent, and excluding the possibility of offering the Sample, wholly or in part, for the purpose of scientific research. 10) Garanzie SB garantisce che lo SmartKit fornito corrisponda ai requisiti di legge e di qualità tale da permettere un efficace raccolta e trasporto del Campione, se utilizzato conformemente al protocollo di raccolta e alle istruzioni fornite. SB garantisce che il trasporto del campione venga effettuato nel rispetto della normativa relativa alla spedizione di campioni biologici e degli standard internazionali. SB garantisce che il Campione venga analizzato, trattato e conservato nel Laboratorio prescelto da SB nel pieno rispetto delle disposizioni scientifiche di qualità, di sicurezza, secondo le Procedure Operative Standard approvate, delle GMP e delle disposizioni impartite dalle Autorità di vigilanza. SB garantisce che il Campione sia mantenuto crioconservato per tutta la durata del presente contratto (venticinque anni più cinque in omaggio) e pronto all utilizzo in qualsiasi struttura sanitaria dotata di licenza nell U.E. o in un Centro Trapianti certificato, ovunque nel mondo, pur non essendo SB responsabile per il successo del trattamento/cura. SB e il Laboratorio s impegnano in solido a rispettare le clausole del presente contratto e, in caso di comprovata necessità, si riservano il diritto di trasferire il Campione presso altro laboratorio dotato di 10) Warranties SB guarantees that the SmartKit provided corresponds to legal requisites and is of satisfactory quality for the purpose of collecting and transporting the Sample, insofar as it is used in accordance with the collection protocol and instructions provided. SB guarantees that the transport of the Sample shall be carried out respecting the regulations governing the shipping of biological samples and of international standards. SB guarantees that the Sample will be tested, treated and stored in the laboratory SB has chosen in full respect of the scientific provisions for quality and safety, in accordance with the approved Standard Operating Procedures, the GMP and the provisions of the regulatory authority. SB guarantees that the Sample will be cryogenically stored for the entire duration of this contract (twenty-five years plus five years free), ready to be used in any authorized health unit in the E.U. or in a certified transplant centre anywhere in the world, even though SB shall not be held responsible for the success of the treatment/ processing. SB and the Laboratory jointly and severally undertake to respect the clauses of this contract and, in the event of attested need, 9

Il Laboratorio, in caso di perdita o danneggiamento del Campione tale da renderlo inutilizzabile, si impegna a rimborsare ai Genitori/Guardiani a titolo di risarcimento dei danni subiti, una somma pari al costo di un Campione compatibile di una banca pubblica fino ad un massimo di 20.000,00 euro. Tale responsabilità sorgerà solo nel caso in cui il campione divenuto inutilizzabile dovesse essere richiesto dal cliente per specifiche procedure terapeutiche. 11) Limitazione di responsabilità I Genitori/Guardiani riconoscono che SB non è responsabile nel caso in cui, per circostanze impreviste/imprevedibili, non sia possibile la raccolta del Campione o la quantità di sangue raccolto risulti insufficiente. I Genitori/Guardiani riconoscono ed accettano espressamente che SB non sarà responsabile nei loro confronti né inadempiente a questo Contratto, a causa di ritardi o errori nell esecuzione del Contratto, ove tale ritardo o errore sia dovuto ad azioni o omissioni dei Genitori/Guardiani o a qualsiasi causa ulteriore, non ragionevolmente controllabile. SB risponde nei confronti dei Genitori/Guardiani e risarcirà gli stessi di eventuali perdite o danni dovuti esclusivamente a sua colpa o negligenza, oppure a colpa o negligenza dei propri dipendenti, collaboratori, fornitori, che potevano essere ragionevolmente previsti alla data del presente Contratto. In ogni caso, il danno risarcibile da SB è espressamente limitato all importo totale pagato in virtù di questo contratto. Le attività svolte nella Banca di Tessuti sono adeguatamente assicurate e la sua responsabilità per danni, alla luce del presente contratto nei confronti dei Genitori/Guardiani e/o SB, è limitata all importo totale pagato in virtù del contratto stesso. I Genitori/Guardiani, riconoscendo che SB non può essere considerata responsabile nel caso di smarrimento o danneggiamento del Campione durante il trasporto, accettano che nel suddetto caso l unico risarcimento possibile si quantifichi nel costo del servizio pagato. Fermo quanto stabilito nei commi precedenti, con la sottoscrizione del presente contratto i Genitori/Guardiani rinunciano espressamente sin da ora a qualsiasi azione di risarcimento nell eventualità in cui il Campione venga irrimediabilmente danneggiato e/o distrutto e/o deteriorato e/o comunque reso inutilizzabile durante il trasporto. Tale rinuncia deve intendersi efficace tanto nei confronti di SB quanto nei confronti del soggetto reserve the right to transfer the Sample to another laboratory with equivalent quality certificates and standards. The Laboratory, in case of loss or damage of the Sample, undertake to refund the Parents/Guardians by way of damages, a sum equal to the cost of a Sample of a compatible public bank up to a maximum of 20,000,00 euro. This liability will only crystallise in the event that the sample were required for therapeutic procedure for the client. 11) Limited Responsibilities The Parents/Guardians acknowledge that SB shall not be held responsible in the event that, due to factors or circumstances beyond its control, it proves impossible to collect the Sample or the quantity of blood collected is insufficient. The Parents/Guardians expressly acknowledge and accept that SB shall not be held responsible for any failure with regards to this contract caused by delays or errors in its execution, where such delays or errors are due to actions or omissions of the Parents/ Guardians or to any other cause beyond reasonable control. SB shall be liable to the Parents/Guardians for reimbursing any losses or damages due exclusively to its fault or negligence, or to the fault or negligence of its employees, collaborators or suppliers that could be reasonably foreseen at the date of this contract. In any event, the damages payable by SB are expressly limited to the total amount pertaining to this contract. The Tissue Bank s activities are adequately insured and its liability for damages under this contract to the Parents/ Guardians and/or SB shall be limited to the total amount that it has received pertaining to this contract. The Parents/Guardians, acknowledging that SB cannot be considered responsible for the loss or damage of the Sample during transport, accept that in this case the only possible reimbursement would be the cost of the service paid. Without prejudice to that expressly stated in the previous articles, in undersigning the present contract the Parents/Guardians clearly renounce henceforth any reimbursement action in the event the Sample is irreparably damaged and/or destroyed and/or deteriorated and/or anyway rendered unusable during transport. This renouncement is understood as effective both towards SB and towards any agent to whom SB entrusts the transport, except in the case of intent or gross negligence. The Parents/Guardians acknowledge that SB and the Laboratory do not provide any guarantee with regards to 10

I Genitori/Guardiani riconoscono che SB ed il Laboratorio non forniscono alcuna garanzia circa l idoneità del Campione per futuri trattamenti e/o la cura con successo di malattie. 12) Trattamento dati In virtù di questo accordo, i Genitori/Guardiani autorizzano SB, secondo quanto segue, a trattare tutti i dati in questione. In caso di emergenza medica SB avrà il potere di fornire detti dati per iscritto a dottori o entità mediche. In altri casi, SB non mostrerà né fornirà ad alcuno tali dati senza previa specifica autorizzazione scritta. SB porrà in essere ogni ragionevole misura per mantenere riservate le informazioni concernenti i Genitori/Guardiani ed il Donatore. Tutti i campioni che dovranno essere analizzati saranno contrassegnati da un numero di riferimento esclusivo e da un codice a barre. Le informazioni personali verranno conservate su un database sicuro e/o sulla relativa copia di riserva (back up). Nei limiti dell'autorizzazione generale del Garante italiano della Privacy n. 2/2004 al trattamento dei dati idonei a rivelare lo stato di salute e la vita sessuale, resta ferma, infine, la possibilità di diffondere dati anonimi anche aggregati e di includerli, in particolare, nelle pubblicazioni a contenuto scientifico o finalizzate all'educazione, alla prevenzione o all'informazione di carattere sanitario. 13) Legge applicabile e foro competente Il presente Contratto è disciplinato dalle vigenti leggi italiane. Per qualsiasi controversia che dovesse sorgere in relazione alla validità, interpretazione e/o applicazione del presente contratto, sarà competente in via esclusiva il foro di Roma. 14) Informativa e consenso per il trattamento di dati sensibili Le Parti prendono atto della seguente Informativa: Gentile Signore/a, desideriamo informarla che il D.lgs. n. 196 del 30 giugno 2003 ( Codice in materia di protezione dei dati personali ) e successive integrazioni e modificazioni, prevede la tutela delle persone e di altri soggetti rispetto al trattamento dei dati personali. Secondo la normativa indicata, tale trattamento sarà improntato ai principi di correttezza, liceità e trasparenza e di tutela della Sua riservatezza e dei Suoi diritti. Ai sensi dell'articolo 13 del D.lgs. n. 196/2003, pertanto, Le forniamo le seguenti informazioni: I dati da Lei forniti, compresi quelli sensibili suoi e del nascituro, the suitability of the Sample for future treatment and/or successful cures for diseases. 12) Data Treatment Under this agreement, the Parents/Guardians authorize SB, in accordance with the following, to handle all the data in question. In the event of a medical emergency, SB shall have the right to provide said data in writing to doctors or medical bodies. In other cases, SB shall neither show nor provide any such data without previous specific authorization in writing. SB shall take every reasonable measure to maintain the confidential nature of the information pertaining to the Parents/Guardians and to the Donor. All samples to be tested shall be marked with an exclusive reference number and a bar code. Personal information shall be kept on a secure database and/or on a backup copy. Within the limits of the general authorization of the italian Guarantor of Privacy n. 2/2004 for handling data liable to reveal state of health and sexual habits, the possibility of divulging anonymous data, also aggregated, and of including such data, in particular, in scientific or educational publications or publications aimed at health prevention and information remains unaltered. 13) Applicable Law and Jurisdiction This contract is governed by Italian law. The italian Court of Rome shall have exclusive jurisdiction for any dispute that should arise in relation to the legitimacy, interpretation and/or application of this contract. 14) Information and Consent for Handling Sensitive Data Parties take note of the following information: Dear Sir/Madam, Legislative Decree 196 of 30 June 2003 ( referring to personal data protection ) and subsequent integrations and amendments, specifies the protection for the handling of personal data. In accordance with the regulations indicated, this data processing shall be based on the principles of correctness, lawfulness and transparency and of the protection of your privacy and your rights.
