Eni cede il 12,5% delle azioni Saipem al Fondo Strategico Italiano, si impegna a supportare il rafforzamento patrimoniale e l indipendenza finanziaria di Saipem e concorda il rimborso dei finanziamenti intercompany San Donato Milanese (MI), 27 ottobre 2015 - Eni S.p.A. ( Eni ) ha sottoscritto oggi, 27 ottobre 2015, un contratto di compravendita (il Contratto di Compravendita ) in base al quale si è impegnata a cedere a Fondo Strategico Italiano S.p.A. ( FSI ) una partecipazione nel capitale di Saipem S.p.A. ( Saipem o la Società ) composta da n. 55.176.364 azioni ordinarie, pari a circa il 12,5% più una azione del capitale della Società (la Quota Partecipativa Ceduta ). Contestualmente, Eni e FSI hanno sottoscritto un patto parasociale (il Patto Parasociale ) che entrerà in vigore alla data di effettivo trasferimento della Quota Partecipativa Ceduta e che è volto a disciplinare i reciproci rapporti delle parti quali azionisti di Saipem (complessivamente, l Operazione ). Eni inoltre, preso atto della proposta di aumento di capitale in opzione deliberata in data odierna dal Consiglio di Amministrazione di Saipem (l Aumento di Capitale ) e confermando pieno supporto al piano industriale della Società, ha assunto nei confronti di Saipem un impegno irrevocabile alla sottoscrizione pro-quota delle azioni di nuova emissione, come meglio precisato di seguito. Infine Eni, preso atto dell interesse e della volontà di Saipem di conseguire una propria indipendenza finanziaria, ha sottoscritto oggi con Saipem un accordo volto a disciplinare, tra l altro, il rimborso integrale del debito del Gruppo Saipem nei confronti del Gruppo Eni ( Accordo Ricognitivo ). L Amministratore delegato di Eni, Claudio Descalzi, ha commentato: L operazione annunciata oggi rappresenta una tappa fondamentale nell implementazione della strategia di trasformazione di Eni. Ci permette di focalizzarci maggiormente sulle attività core e di aumentare la nostra flessibilità finanziaria. Le risorse finanziarie addizionali di cui Eni potrà disporre saranno destinate allo sviluppo delle ingenti riserve di olio e gas che abbiamo scoperto negli ultimi anni e rafforzeranno la nostra struttura patrimoniale in linea con i nostri obiettivi. Crediamo nelle potenzialità di Saipem e questa operazione rappresenta un passo importante per la società, ponendola nelle migliori condizioni per poter perseguire il suo piano strategico di rilancio.
Finalità dell Operazione L Operazione, in linea con quanto comunicato lo scorso 31 luglio 2014, consente ad Eni di conseguire i seguenti importanti obiettivi: 1) focalizzarsi maggiormente sul core business upstream, rendendo disponibili ulteriori fonti finanziarie da reinvestire nello sviluppo delle ingenti risorse minerarie recentemente scoperte; 2) rafforzare la propria struttura patrimoniale; 3) accompagnare Saipem, nel suo processo di rafforzamento patrimoniale e di conseguimento dell indipendenza finanziaria. Per effetto della perdita del controllo esclusivo esercitato su Saipem, la partecipazione residua detenuta da Eni nella Società sarà deconsolidata a partire dalla data di efficacia della vendita della Quota Partecipativa Ceduta e rilevata in bilancio con il metodo dell Equity. Subordinatamente all esecuzione del Contratto di Compravendita ( closing ), Eni stima di incassare complessivamente circa 6,5 miliardi di euro derivanti dal rimborso integrale dei crediti netti vantati verso il Gruppo Saipem (stimati in circa Euro 6,1 miliardi) 1 e dalla cessione della Quota Partecipativa Ceduta (stimati in circa Euro 0,4 miliardi) 2. Considerato l esborso ipotizzato per la sottoscrizione di quota parte dell Aumento di Capitale, si stima che l incasso netto per Eni sarà di circa 5,4 miliardi di euro 2, mentre la riduzione dell indebitamento finanziario netto sarà pari a circa 5,1 miliardi. Compravendita della Partecipazione Il Contratto di Compravendita prevede il pagamento da parte di FSI di un prezzo per ciascuna azione di Saipem pari alla media aritmetica dei prezzi ufficiali delle azioni ordinarie Saipem registrati in prossimità della data di sottoscrizione degli accordi. Tale prezzo, il cui valore definitivo sarà oggetto di un successivo comunicato al mercato, non potrà comunque eccedere i valori massimi e minimi pari rispettivamente a Euro 8,8300 per azione ( prezzo massimo ) e a Euro 7,4000 per azione ( prezzo minimo ). Il closing dell Operazione avverrà immediatamente prima dell avvio dell offerta in opzione dell Aumento di Capitale di Saipem, subordinatamente all avveramento, entro il 30 aprile 2016, di alcune condizioni sospensive, tra le quali si menzionano (i) l ottenimento di un provvedimento motivato da parte di CONSOB, ai sensi dell art. 106, comma 6, del D.Lgs. n. 58/1998 (il TUF ), per effetto del quale risulti esteso all Operazione l ambito di applicazione dell esenzione dall obbligo di promuovere un offerta pubblica di acquisto totalitaria per operazioni infragruppo, (ii) il completamento, con esito positivo, della procedura antitrust rilevante in relazione all operazione, (iii) il mantenimento di un rating di Saipem da parte di Standard & Poor s e Moody s al di sopra di determinati livelli, (iv) la sottoscrizione di underwriting agreement per l aumento di capitale di Saipem, (v) la sottoscrizione da parte di Saipem dei contratti di rifinanziamento del proprio debito residuo, nonché (vi) il mancato verificarsi di un evento negativo rilevante, che include eventi o circostanze tali da determinare mutamenti negativi significativi della situazione finanziaria e patrimoniale di Saipem o del suo gruppo nel suo complesso o comunque da incidere 1 Valori di riferimento al 30 settembre 2015 2 Basato su valori provvisori del prezzo ufficiale delle azioni
negativamente sul valore delle azioni o sul buon esito dell operazione nel suo complesso. Sono altresì previste, come condizioni al closing, le dimissioni di un consigliere di amministrazione di designazione Eni e la cooptazione di un consigliere di designazione FSI. FSI ed Eni esprimono piena fiducia ai vertici di Saipem (Presidente e AD). Il contratto di compravendita, infine, sarà risolto nei casi di mancato regolamento dell Aumento di Capitale di Saipem entro il 31 maggio 2016 e di mancato rimborso integrale del debito per cassa del Gruppo Saipem nei confronti del Gruppo Eni entro il termine ultimo del 30 giugno 2016. Patto Parasociale Il Patto Parasociale, cui risulterà apportato un numero paritetico di azioni ordinarie Saipem da parte di Eni e FSI, (fino a un massimo) del 12,5% del capitale ordinario più un azione per ciascuna società (pertanto fino a un ammontare complessivo di poco superiore al 25% del capitale sociale di Saipem), entrerà in vigore alla data di esecuzione del Contratto di Compravendita, per un periodo di tre anni, con rinnovo automatico alla scadenza per un ulteriore periodo di tre anni, salvo disdetta. Il Patto Parasociale, i cui elementi essenziali saranno oggetto di divulgazione nei termini di cui all art. 122 del TUF, prevede tra l altro: (a) per il futuro rinnovo degli organi, la presentazione da parte di Eni e FSI di un unica lista per la nomina del consiglio di amministrazione (in cui il Presidente e l AD saranno indicati congiuntamente dalle parti) e del collegio sindacale di Saipem e il relativo impegno di voto; (b) reciproci impegni di stand-still e impegni di lock-up su tutte le azioni apportate al Patto Parasociale e talune ulteriori limitazioni con riferimento al trasferimento di azioni non apportate al Patto Parasociale; (c) obblighi di preventiva consultazione e, per quanto consentito dalla legge, impegni di voto (anche relativamente alle azioni Saipem non apportate al Patto Parasociale) in relazione a tutte le delibere di competenza dell Assemblea di Saipem e a talune delibere di competenza del Consiglio di Saipem convenzionalmente ritenute rilevanti. Quanto all attuale composizione degli organi sociali, FSI ha tra l altro preso atto e confermato Paolo Andrea Pio Colombo quale Presidente e Stefano Cao quale Amministratore Delegato di Saipem. Impegno alla sottoscrizione dell Aumento di Capitale di Saipem Eni, preso atto dell aumento di capitale in opzione deliberato in data odierna dal Consiglio di Amministrazione di Saipem (l Aumento di Capitale ), ha assunto nei confronti di Saipem un impegno irrevocabile alla sottoscrizione pro-quota delle azioni di nuova emissione in misura corrispondente alla partecipazione e ai correlati diritti di opzione. É peraltro previsto che l impegno di Eni perda efficacia in caso di: (i) mancata sottoscrizione, entro l avvio dell offerta delle azioni Saipem di nuova emissione, della documentazione contrattuale con le banche finanziatrici per il rifinanziamento del debito per cassa del Gruppo Saipem verso il Gruppo Eni; e (ii) venir meno a qualunque titolo degli impegni di garanzia assunti dal consorzio di garanzia nell ambito dell Aumento di Capitale.
Contestualmente, FSI ha assunto nei confronti di Saipem, subordinatamente all effettivo trasferimento della Quota Partecipativa Ceduta, analogo impegno a sottoscrivere azioni Saipem di nuova emissione in misura corrispondente alla stessa Quota Partecipativa Ceduta e ai correlati diritti di opzione. Operazione tra parti correlate Eni e FSI sono società soggette al comune controllo indiretto da parte del Ministero dell Economia e delle Finanze. L Operazione costituisce, pertanto, un operazione di Eni con una sua parte correlata ritenuta di maggiore rilevanza per i fini di cui al Regolamento Consob n. 17721/2010 e s.m.i. ( Regolamento Parti Correlate ) e della procedura in materia di operazioni con parti correlate adottata da Eni ( Procedura Parti Correlate ). La cessione della Partecipazione a FSI costituisce, altresì, un operazione di cessione significativa ai sensi dell art. 71 del Regolamento Consob n. 11791/1999 ( Regolamento Emittenti ). L Operazione è stata approvata dal Consiglio di Amministrazione di Eni previo coinvolgimento del Comitato Controllo e Rischi, che, avvalendosi di un esperto indipendente, ha rilasciato il proprio preventivo e motivato parere favorevole e unanime sull interesse della società al compimento dell Operazione, nonché sulla convenienza e sulla correttezza sostanziale delle relative condizioni. Nei termini di legge e di regolamento, in linea con la propria normativa interna, Eni pubblicherà pertanto la documentazione informativa prevista dall art. 5, comma 1 del Regolamento Parti Correlate e dal richiamato art. 71 del Regolamento Emittenti. Si segnala altresì che Eni e Saipem sono a loro volta parti correlate in virtù del controllo esercitato da Eni sulla Società. Eni sells 12.5% stake in Saipem to Fondo Strategico Italiano, undertakes to support Saipem capital increase and financial independence of Saipem, and agrees repayment of inter-company loans San Donato Milanese (Milan), 27 October 2015 - Earlier today, 27 October 2015, Eni S.p.A. ( Eni ) executed a sale and purchase agreement (the Sale and Purchase Agreement ), pursuant to which it will sell a stake in Saipem S.p.A. ( Saipem or the Company ) consisting of n. 55,176,364 ordinary shares, representing approximately 12.5% plus one share of the Company share capital (the Transferred Stake ) to Fondo Strategico Italiano S.p.A. ( FSI ). At the same time, Eni and FSI have entered into a shareholders agreement (the Shareholders Agreement ) which will take effect on the date of transfer of the Transferred Stake and will define the term of engagement governing the relations between parties as shareholders of Saipem (the transaction considered as a whole, the Transaction ). Furthermore, following a review of the proposed increase in share capital, Eni received approval of the capital increase by the Board of Directors of Saipem (the Capital Increase ), reaffirmed its full support to the Company business plan and committed to subscribing pro-rata to the new share issue, as described hereinafter. Finally, earlier today, Eni acknowledged the interest and intention of Saipem to achieve financial independence and entered into an agreement with Saipem aimed at stipulating, among other things, the full repayment of the debt of Saipem Group s vis-à-vis the Eni Group (the Acknowledgment Agreement ). Eni s CEO, Claudio Descalzi, said: The transaction announced today marks a significant step in Eni s transformation strategy. It enables us to focus on our core activities and to enhance our financial flexibility. The additional financial resources will be used to develop the very significant oil and gas reserves we have discovered over the past few years and to strengthen our balance sheet in line with our targets. By subscribing in full to the rights issue, we also reaffirm our belief in Saipem s strategy potential; this transaction represents a significant step for the company that will provide it with the optimum conditions to successfully execute its new strategic plan.
Purposes of the Transaction Consistently with what had been announced on July 31, 2014, the Transaction will allow Eni to achieve the following important targets: 1) more focus on its upstream core business, by making available of additional financial sources to be reinvested in the development of the considerable mineral resources recently discovered; 2) strengthening of its capital structure; 3) support to Saipem in its process of capital strengthening and achievement of financial independence. Following the loss of exclusive control over Saipem, the remaining stake held by Eni in the Company will be deconsolidated from the date on which the sale of the Transferred Stake will be executed and will be registered in Eni s financial statements according to the equity method. Subject to the performance of the Sale and Purchase Agreement ( closing ), Eni expects to collect approximately Euro 6.5 billion in total, such amount resulting from the full repayment of net credits vis-à-vis the Saipem Group (estimated to account for approximately Euro 6.1 billion) 3 and from the sale of the Transferred Stake (estimated to account for approximately Euro 0.4 billion) 4. Considering the assumed disbursement for the subscription pro-rata of the Capital Increase, it is estimated that the net proceeds for Eni will be approximately Euro 5.4 billion, while the reduction of net debt will be approximately Euro 5.1 billion 2. Sale of the Stake Pursuant to the Sale and Purchase Agreement FSI will pay a price per Saipem share equal to the arithmetic average of official prices of Saipem ordinary shares recorded in proximity of the execution date of the relevant agreements. This price, whose final amount will be disclosed to the market, will not, in any case, exceed the maximum and minimum values respectively equal to Euro 8.8300 per share ( maximum price ) and to Euro 7.4000 per share ( minimum price ). The closing of the Transactions will take place immediately before the commencement of the rights offering within the Capital Increase, subject to the occurrence, by 30 April 2016, of certain conditions precedent, including inter alia: (i) an opinion by CONSOB, under article 106, paragraph 6, of the Legislative Decree no. 58/1998 (the Consolidated Financial Act ), as a result of which the scope of the exemption from the obligation to carry out a tender offer, related to inter-company transactions, will be considered applicable to the Transaction, (ii) the positive outcome of the relevant antitrust proceedings in connection with the Transaction, (iii) the maintenance above certain levels of the rating issued by Standard & Poor s and Moody s in favour of Saipem, (iv) the subscription of underwriting agreements in respect of the Capital Increase of Saipem, (v) the execution by Saipem of the agreements to refinance its outstanding debt, and (vi) the nonoccurrence of a significant adverse event, including events or circumstances such as to provoke significant adverse changes in the financial and asset situation of Saipem or its group as a whole or, otherwise, to adversely affect the value of the shares or the good outcome of the transaction as 3 Reference values as at September 30, 2015. 4 Based on provisional values of the official price of the shares.
a whole. There are also provided, as conditions precedent to the closing, the resignation of a director designated by Eni and the co-optation of a director designated by FSI. FSI and Eni express full confidence in the top management of Saipem (President and CEO). Lastly, the Sale and Purchase Agreement will be terminated in the event that the Capital Increase is not settled by 31 May 2016 and if the outstanding debt of Saipem Group to the Eni Group is not repaid in full by 30 June 2016. Shareholders Agreement Each of Eni and FSI will contribute to the Shareholders Agreement, for its entire duration, an equal number of Saipem shares, which will not exceed 12.5% plus one share of the Company s ordinary share capital (therefore up to a total amount slightly above 25% of Saipem ordinary share capital). The Shareholders Agreement will enter into force on the closing date of the Sale and Purchase Agreement, for a period of three years, with automatic renewal for a further period of three years, unless terminated by notice. The Shareholders Agreement, the key elements of which will be disclosed under the terms of Article 122 of Consolidated Financial Act, provides, inter alia: (a) for the future renewal of corporate bodies, the submission by Eni and FSI of a single list for the appointment of the board of directors (where the President and the CEO will be designated jointly by the parties) and the panel of statutory auditors of Saipem and the relevant vote commitments; (b) mutual commitments to standstill and lock-up commitment on all the shares contributed to the Shareholders Agreement, and certain other restriction regarding the transfer of shares not contributed to the Shareholders Agreement; (c) obligations to engage in consultation before exercising voting rights and, to the extent permitted by law, voting commitments (also regarding Saipem shares not contributed to the Shareholders Agreement) in relation to all resolutions submitted to the shareholders meetings of Saipem and certain resolutions of Saipem s Board of Directors that are conventionally considered relevant. In respect of the current composition of the Board of Directors, FSI has acknowledged and confirmed Paolo Andrea Pio Colombo as Chairman and Stefano Cao as Chief Executive Officer of Saipem. Commitment to subscribe the Capital Increase of Saipem Eni, acknowledging the capital increase resolved today by the Board of Directors of Saipem (the Capital Increase ), has committed itself towards Saipem to pro-rata subscription of the newly issued shares, to an extent corresponding to the shareholding and the connected option rights. Moreover, it is established that the commitment of Eni shall cease to have effect in the event of: (i) failure to sign, by the commencement of the offering of Saipem newly issued shares, the contractual documentation with the lending banks to refinance in cash Saipem Group s debt towards Eni Group; and (ii) failure, for any reason, to keep the guarantee commitments taken by the guarantee syndicate in connection with the Capital Increase.
At the same time, FSI has taken the same commitment towards Saipem, subject to the transfer of the Transferred Stake, to subscribe Saipem newly issued shares, to an extent corresponding to the Transferred Stake and option rights connected thereto. Related parties transaction Eni and FSI are companies subject to the common indirect control of the Ministry of Economy and Finance. Therefore the Transaction is a transaction between Eni and one of its related parties, deemed more relevant for the purpose of the Consob Regulation n. 17721/2010, as amended ( Related Parties Regulation ) and of the related parties procedure adopted by Eni ( Related Parties Procedure ). The transfer of the Transferred Stake to FSI also represents a significant transfer transaction within the meaning of Article 71 of the Consob Regulation n. 11791/1999 ( Issuers Regulation ). The Transaction has been approved by the Board of Directors of Eni, with prior involvement of the Control and Risk Committee, which, availing itself of the support of an independent expert, has issued its precautionary and motivated, positive and unanimous opinion regarding the company's interest in carrying out the Transaction and the terms and conditions of the Transaction are advantageous and substantially fair. Under the terms of the law and of the regulations, in accordance with its internal rules, Eni will therefore publish the information documentation under Article 5, paragraph 1 of the Related Parties Regulation and above-mentioned Article 71 of the Issuers Regulation. It is further noted that Eni and Saipem are, again, Related Parties due to control exercised by Eni over the Company. Notwithstanding the above, particularly with regard to the Acknowledgment Agreement, Eni has availed itself of the exclusion set by Article 14, paragraph 2 of the Related Parties Procedure and by Article 9, lett. (h), of the Related Parties Procedure, concerning transactions with subsidiary companies.
