7 La funzione permette un accesso rapido ed immediato ai programmi di lavoro pre-memorizzati. Grazie alla funzione non sarà più necessario ricordare i diversi cicli di lavoro da associare alle pietanze: l utilizzatore potrà registrare il nome di ogni prodotto associandolo all esatto tipo di trattamento, lavorando così in modo più veloce e sicuro. Thanks to the function it s not necessary to remember the different working cycles and the corresponding food: the user will record the name of each product and associate it to the specific kind of treatment, working quicker and safer. Oltre alla selezione manuale dei cicli di lavoro, il controllore elettronico consente all utente di personalizzare in modo unico e nei minimi particolari ogni sua lavorazione: è possibile la definizione della temperatura di fine trattamento per i cicli con sonda al cuore (creando ad esempio cicli personalizzati per sushi e pesce crudo), ma addirittura la regolazione della temperatura di lavoro all interno della camera di refrigerazione ed il volume della ventilazione. Ogni tipo di cibo, anche il più delicato, con potrà essere trattato con il ciclo di lavoro più adatto, rispettando le sue caratteristiche e le sue specificità. La facilità e la rapidità d uso del controllore è supportata dalla funzione FAVOURITES, che permette un accesso diretto agli ultimi cicli di lavoro eseguiti L utente potrà ridurre considerevolmente i tempi di lavoro e quindi i consumi elettrici grazie all importante funzione di pre-raffreddamento della camera di refrigerazione. Un ciclo personalizzato permetterà di raffreddare preventivamente la camera in modo da creare le condizioni ottimali per un abbattimento o una surgelazione rapida ed efficace. A customized cycle manages the pre-cooling of the chamber so as to create the best conditions for a quick and efficient blast chilling or freezing. The controller allows the setting of time and temperature cooling, choosing the cooling modes fast and super fast. 68 CONDIZIONI GENERALI DI VENDITA 1. Proposta irrevocabile. Forma accettazione Il proponente si obbliga a mantenere ferma la proposta (commissione d ordine) per il termine di novanta giorni dal ricevimento della stessa da parte della A.T.O. S.r.l La revoca della proposta contrattuale effettuata durante il suddetto periodo di tempo è senza effetto, secondo quanto disposto dall art c.c Il proponente richiede espressamente all A.T.O. S.r.l., che accetta, che la prestazione oggetto della proposta sia eseguita senza una preventiva risposta da parte dell A.T.O. S.r.l Il contratto si considera concluso nella sede della A.T.O. S.r.l. e nel tempo in cui sarà stata data esecuzione al contratto, secondo quanto previsto dall art c.c. 2. Sconti. Dilazioni di pagamento Gli sconti eventualmente concessi dall agente della A.T.O. S.r.l. non sono vincolanti per l A.T.O. S.r.l Analogamente, eventuali facilitazioni di pagamento (es. dilazioni di pagamento ) concesse dall agente non sono vincolanti per la A.T.O. S.r.l. 3. Modifiche alla macchina Il proponente si impegna a consentire alla A.T.O. S.r.l. di apportare alla macchina, durante il periodo di costruzione, le modifiche costruttive e le varianti necessarie per le seguenti ragioni: - migliorare la funzionalità e l efficienza dell impianto; - garantire la sicurezza dell impianto; - migliorare l economicità dell impianto; - adeguare l impianto alle norme di provvedimenti nazionali, regionali, comunitari e/o internazionali In tali casi, il proponente si impegna a corrispondere alla A.T.O. S.r.l. la variazione del prezzo concordato nel limite del 10%, salvo il diritto di recesso della A.T.O. S.r.l Il proponente si impegna a consentire alla A.T.O. S.r.l. di realizzare sull impianto, successivamente alla consegna dello stesso, modifiche imposte da provvedimenti dell autorità nazionale o comunitaria o comunque le modifiche e/o le varianti necessarie per garantire la sicurezza del prodotto secondo la normativa nazionale, regionale o comunitaria e secondo quanto richiesto dalle mutate esigenze tecniche di sicurezza del settore In tal caso, il proponente si impegna a corrispondere alla A.T.O. S.r.l. le spese sostenute dalla A.T.O. S.r.l. per realizzare le suddette modifiche. 4. Riserva di proprietà Qualora le parti abbiano pattuito la clausola di riserva di proprietà del bene a favore della A.T.O. S.r.l. saranno vincolanti le pattuizioni indicate nei punti che seguono L acquirente acquisterà la proprietà della merce col pagamento dell ultima rata di prezzo, ma assumerà i rischi fin dal momento della consegna; le parti convengono che l espressione prezzo comprende anche le spese che secondo le presenti condizioni generali di contratto sono poste a carico dell acquirente Il mancato pagamento di una sola rata, o di più rate, alla scadenza prevista, che superi l ottava parte del prezzo (determinata secondo quanto indicato in precedenza) dà luogo alla risoluzione del contratto ai sensi e per gli effetti dell art c.c. La predetta risoluzione del contratto si verifica, secondo quanto disposto dall art c.c., quando la A.T.O. S.r.l. comunica all acquirente l intenzione di valersi di tale clausola risolutiva espressa. Tale comunicazione sarà efficace, ai fini della suddetta risoluzione, anche se effettuata via fax In caso di risoluzione del contratto per inadempimento dell acquirente (quando la A.T.O. S.r.l. abbia dichiarato all acquirente di valersi della suindicata clausola risolutiva espressa), le rate eventualmente corrisposte dall acquirente stesso, secondo quanto disposto dall art. 1526, II comma c.c., restano acquisite al venditore a titolo di indennità In ogni caso di risoluzione del contratto, l acquirente deve mettere a disposizione dell A.T.O. S.r.l. la merce di proprietà di quest ultima, con ogni spesa relativa (smontaggio, carico, trasporto e scarico) a carico dello stesso acquirente L acquirente, qualora richiesto dalla A.T.O. S.r.l., si impegna a presentarsi avanti il notaio per l autenticazione delle sottoscrizioni apposte al suddetto contratto, per le finalità di cui all art. 1524, I comma c.c. Le spese relative sono a carico dell acquirente L acquirente, qualora richiesto dalla A.T.O. S.r.l., si impegna, a proprie spese, a realizzare quanto richiesto dalla legge n e dal regolamento emanato con D.M Qualora la A.T.O. S.r.l. intendesse godere dei benefici della legge n e del regolamento emanato con D.M , le spese relative, anche se anticipate dalla A.T.O. S.r.l., saranno sempre a carico dell acquirente. 5. Caparra confirmatoria Qualora sia convenuto che, al momento della conclusione del contratto, l acquirente consegni alla A.T.O. S.r.l. una somma di denaro quale anticipo sul prezzo convenuto, tale somma avrà valore ed efficacia di caparra confirmatoria, secondo quanto disposto dall art c.c In caso di inadempimento dell acquirente, la A.T.O. S.r.l., qualora intenda recedere dal contratto, potrà ritenere la somma versata a titolo di caparra confirmatoria, salvo il risarcimento del danno ulteriore. 6. Tempo di pagamento del prezzo L acquirente è tenuto a pagare il prezzo convenuto al momento della comunicazione da parte della A.T.O. S.r.l. che il materiale ordinato è stato realizzato, salvo diverso accordo A tal fine, la comunicazione relativa potrà essere effettuata con ogni mezzo idoneo allo scopo Il prezzo convenuto potrà subire variazioni in aumento in caso di variazioni del costo dei materiali e della mano d opera. In tal caso, l acquirente non potrà rifiutarsi di eseguire il pagamento contestando la suddetta variazione del prezzo In caso di ritardato pagamento del prezzo nel termine convenuto, maturano a favore della A.T.O. S.r.l. gli interessi convenzionali al tasso massimo consentito dal decreto del ministero del tesoro in vigore, ai fini dell applicazione della legge sull usura, per il presente tipo di operazione Gli interessi decorrono dal giorno in cui doveva essere effettuato il pagamento sino al pagamento effettivo. Ai fini suddetti, per scadenza del termine convenuto s intende il raggiungimento delle ore 24 del giorno di scadenza Le parti convengono che non viene stabilito alcun termine di tolleranza. L eventuale silenzio tenuto dalla A.T.O. S.r.l. successivamente alla scadenza dei termini di pagamento, anche se protratto per alcune settimane, non potrà in alcun modo essere considerato dilazione di pagamento o tolleranza di pagamento ritardato. In tale caso, infatti, gli interessi convenzionalmente stabiliti matureranno dal giorno successivo alla scadenza. 7. Luogo di pagamento del prezzo L obbligazione di corrispondere il prezzo pattuito deve essere adempiuta presso la sede della A.T.O. S.r.l. o secondo le modalità da quest ultima indicate all atto della stipulazione del presente contratto. 8. Pagamento rateale. Interessi convenzionali Qualora le parti abbiano convenuto il pagamento rateale del prezzo convenuto, l acquirente dovrà rilasciare alla A.T.O. S.r.l. pagherò cambiari il cui importo dovrà coprire: a) prezzo convenuto (comprensivo di IVA); b) spese di imballaggio della merce; c) spese di bollatura per l emissione delle cambiali; d) interessi convenzionali, come in appresso indicati; e) spese bancarie previste per lo sconto delle suddette cambiali Qualora le parti abbiano convenuto il pagamento rateale del prezzo convenuto, l acquirente è tenuto a corrispondere alla A.T.O. S.r.l. gli interessi convenzionalmente determinati al tasso massimo consentito dal decreto del ministero del tesoro in vigore, ai fini dell applicazione della legge sull usura, per il presente tipo di operazione. 9. Commissione d ordine con clausola senza interessi Qualora le parti abbiano convenuto il pagamento della merce acquistata con la clausola senza interessi, anche nel caso in cui questa non sia stata indicata espressamente nella commissione d ordine, e l acquirente non abbia pagato il prezzo alla scadenza convenuta, lo stesso acquirente sarà tenuto a corrispondere alla A.T.O. S.r.l., oltre al prezzo convenuto, anche la somma corrispondente allo sconto valuta eventualmente concesso e gli interessi convenzionalmente determinati al tasso massimo consentito dal vigente decreto del ministero del tesoro ai fini dell applicazione della legge sull usura, per il presente tipo di operazione, decorrenti dalla data di emissione della fattura. 10. Termine di consegna La merce è consegnata nel termine pattuito e comunque soltanto dopo l effettivo versamento dell anticipo di pagamento del prezzo eventualmente concordato o al momento del pagamento dell intero prezzo pattuito o al rilascio degli effetti cambiari. Se i termini di consegna della merce ordinata sono pattuiti a giorni, essi s intendono come lavorativi Le parti concordano che il termine di consegna non è essenziale e che la stessa potrà subire ritardi Eventuali ritardi nella consegna della merce saranno tollerati dall acquirente e, in ogni caso, non saranno considerati motivo di risoluzione del contratto L adempimento dell obbligazione di consegna si intende eseguita con la messa a disposizione della macchina nella sede della A.T.O. S.r.l Ai sensi dell art. 1510, II comma c.c., se la merce deve essere trasportata da un luogo all altro, la A.T.O. S.r.l. si libera dell obbligo di consegna rimettendo la merce al vettore o allo spedizioniere Nel caso in cui le parti, successivamente alla conclusione del contratto, concordino delle variazioni relative alle caratteristiche tecniche e/o funzionali dell impianto acquistato, le norme relative al termine di consegna dovrà tenere conto della stipula di tale accordo. 11. Spese di carico della merce, di trasporto, di montaggio. Assicurazione merce Le spese di carico della merce per eseguire il trasporto della stessa sono a carico dell acquirente Qualora al carico della merce partecipino anche dipendenti o comunque personale incaricato dalla A.T.O. S.r.l., il costo relativo sarà addebitato all acquirente Le spese di trasporto sono a carico dell acquirente Qualora l acquirente richieda espressamente all A.T.O. S.r.l. la scelta di un vettore per il trasporto della merce, e quest ultima ritenga di accettare il predetto incarico, l A.T.O. S.r.l., previa corresponsione delle somme necessarie da parte dell acquirente e l anticipo del compenso per l attività svolta, provvederà a scegliere il vettore dalla stessa ritenuto più idoneo L acquirente esonera espressamente l A.T.O S.r.l. da qualsiasi eventuale responsabilità inerente la scelta del vettore Qualora l acquirente richieda espressamente per iscritto alla A.T.O. S.r.l. che la merce acquistata, che deve essere trasportata in una piazza diversa da quella in cui si trova la sede di quest ultima, sia assicurata, la A.T.O. S.r.l., qualora intenda accettare l incarico, provvederà a stipulare il relativo contratto di assicurazione a nome dell acquirente, il quale dovrà anticipare alla A.T.O. S.r.l. la somma necessaria per il pagamento del primo premio assicurativo Le spese di montaggio della merce sono a carico dell acquirente. Le spese di montaggio comprendono: - spese di viaggio, vitto e alloggio per ogni singolo montatore; - spese per le prestazioni di ogni singolo montatore; - spese di manovalanza di aiuto al montatore; - spese di scarico dei materiali; - spese di predisposizione del locale Qualora le parti abbiano convenuto che le spese di montaggio siano incluse nel prezzo di vendita, sono comunque a carico dell acquirente le spese relative: - all avviamento, alle istruzioni per l uso della macchina, alla prova anche se sostenute successivamente alla consegna della macchina stessa; - allo scarico dei materiali; - alle tubazioni esterne alla macchina; - all acqua; - all energia elettrica fino all impianto e all allacciamento dal quadro elettrico ai vari posti di utilizzo; - spese di predisposizione del locale; - a ritardi nel montaggio non imputabile all A.T.O. S.r.l., comprese quelle inerenti alla trasferta del montatore. 12. Deposito della cosa venduta Se l acquirente non si presenta per ricevere la merce acquistata nel termine pattuito, la A.T.O. S.r.l., previa intimazione a ricevere la merce inviata anche via fax dalla A.T.O. S.r.l., può depositarla per conto e a spese dell acquirente medesimo, o in un locale di pubblico deposito, o presso terzi, scelti ad insindacabile giudizio dell acquirente, o presso il magazzino della A.T.O. S.r.l Se l acquirente non adempie l obbligazione di pagare il prezzo convenuto, la A.T.O. S.r.l., previa intimazione a ricevere la merce inviata anche via fax dalla A.T.O. S.r.l., ai sensi dell art c.c. può vendere la merce acquistata per conto e a spese dell acquirente. 13. Clausola penale Se l acquirente non adempie all obbligazione di pagare il prezzo, sarà tenuto a versare, ai sensi dell art c.c., la somma di.., a titolo di penale, salvo il risarcimento del danno ulteriore. 14. Garanzia di buon funzionamento La A.T.O. S.r.l. garantisce all originario acquirente e non anche ad eventuali successivi acquirenti, il buon funzionamento della merce oggetto della presente vendita per un periodo di mesi dodici dalla data di conclusione del contratto di compravendita La garanzia consiste nella sostituzione gratuita di pezzi della macchina difettosi, con esclusione della mano d opera. In ogni caso la macchina non verrà sostituita. La sostituzione di pezzi durante il periodo di garanzia non prolunga la stessa Il compratore non ha diritto ad alcun indennizzo per eventuali danni derivanti dal fermo della macchina L acquirente decade dalla garanzia se: - non osserva le condizioni di pagamento; - i guasti sono causati da imperizia, uso anormale, sovraccarico, cattiva manutenzione, manomissione o modifiche al macchinario, irregolarità o deficienze di fornitura di energia elettrica; - i guasti dipendono da caso fortuito o forza maggiore; - non denunzia per iscritto alla A.T.O. S.r.l. i difetti di funzionamento entro giorni otto dalla scoperta, sotto pena di decadenza; - se la denuncia non contiene la descrizione dettagliata del lamentato difetto di funzionamento nonché delle possibili cause dello stesso Sono esclusi dalla garanzia il normale logorio e deperimento della macchina L A.T.O S.r.l. non assume alcuna responsabilità relativamente alle qualità del prodotto ottenuto con la macchina in quanto dipendente da molteplici fattori quali l abilità tecnica dell operatore, qualità degli ingredienti, dosaggio ecc Qualora la denunzia sarà ritenuta efficace, la A.T.O. S.r.l. provvederà alla sostituzione dei pezzi dell impianto che risulteranno avariati o difettosi, purché si tratti di un cattivo funzionamento attribuibile ad un difetto di fabbricazione Qualora la denunzia non sarà ritenuta efficace, la A.T.O. S.r.l. si riserva di ritenere operante la suddetta garanzia comunicando tale intenzione, a pena di inefficacia, per iscritto (anche via fax) o telefonicamente, nel termine di giorni cinque dalla denunzia L esistenza di un difetto di fabbricazione, ai fini dell operatività della suddetta garanzia, è lasciato alla esclusiva valutazione tecnica della A.T.O. S.r.l., la quale, al riguardo, potrà avvalersi di personale dalla stessa dipendente o comunque di sua fiducia La garanzia di buon funzionamento non copre i difetti causati da negligenza d uso del prodotto da parte del compratore La suddetta garanzia di buon funzionamento (e pertanto le spese relative sono a carico del compratore) non comprendono: - gli interventi di pulizia dell impianto; - gli interventi effettuati per riparare l impianto quando gli stessi potevano essere eseguiti dal compratore sulla base delle istruzioni di uso; - gli interventi di manutenzione resi necessari dall uso cui l impianto è destinato; - gli interventi sull impianto effettuati per eliminare danni provocati dal circuito elettrico o comunque da cause attinenti all attività professionale, commerciale e industriale svolta dal compratore; - interventi effettuati per riparare difetti di funzionamento causati da cattiva manutenzione dell impianto effettuata dal compratore o da terzi incaricati dallo stesso, oppure a causa di manutenzione non eseguita secondo quanto prescritto dalla A.T.O. S.r.l.; - interventi effettuati per eliminare difetti di funzionamento causati da manomissioni del bene, effettuati dal compratore o da terzi; - interventi necessari al fine di riparare i difetti di funzionamento causati dal danneggiamento dell impianto dovuto al trasporto del bene dalla sede della A.T.O. S.r.l. al luogo di consegna dello stesso La suddetta garanzia di buon funzionamento non copre il danno subito dal compratore a causa del fermo dell impianto. 15. Obbligo di verifica L acquirente immediatamente dopo la consegna e, successivamente, con cadenza periodica, si impegna a verificare, a proprie spese, lo stato e il funzionamento dell impianto e si impegna a comunicare immediatamente alla A.T.O. S.r.l. eventuali difetti dello stesso In caso di comunicazione, l acquirente si impegna a consentire alla A.T.O. S.r.l. di realizzare sulla macchina le modifiche e gli interventi necessari per eliminare il difetto L acquirente originario, in caso di cessione del macchinario, si impegna ad inserire la presente clausola nel contratto di vendita con il suo compratore In caso di inadempimento, l acquirente si impegna a manlevare la A.T.O. S.r.l. da eventuali danni arrecati a terzi causati da difetti del prodotto non tempestivamente comunicati. 16. Foro competente Per ogni controversia relativa alla validità, interpretazione, esecuzione, risoluzione ed efficacia derivante dal presente contratto, le parti stabiliscono in via esclusiva la competenza del Tribunale di Treviso con espressa esclusione dei fori generali ed alternativi previsti dagli artt. 18, 19 e 20 c.p.c. A.T.O. S.r.l. Il legale rappresentante L Acquirente Si approvano specificamente per iscritto ai sensi e per gli effetti dell art c.c., le seguenti clausole: 1. Proposta irrevocabile. Forma accettazione. 3. Modifiche alla macchina. 6. Tempo di pagamento del prezzo. 10. Termine di consegna. 11. Spese di carico della merce, di trasporto, di montaggio. Assicurazione merce. 14. 69 GENERAL SALES CONDITIONS 1. Irrevocable proposal. Acceptance form The purchaser will keep his purchase proposal valid for 90 days after receiving it from A.T.O. S.r.l The purchase proposal can not be cancelled during the above mentioned period, according to art of the Italian Civil Code The purchaser expressly requires to A.T.O. S.r.l., which agrees, that the service mentioned in the proposal object will be executed without prior response by A.T.O. S.r.l The purchase contract is settled at the A.T.O. S.r.l. offices and at the time of its execution, according to art of the Italian Civil Code. 2. Deductions. Payment respites The deductions eventually granted by any agent representing A.T.O. S.r.l. are not binding for A.T.O. S.r.l Eventual easy payment terms (e.g. payment respites ) granted by the agent are not binding for A.T.O. S.r.l. 3. Modifications to the machines The purchaser engages himself to allow A.T.O. S.r.l. to carry out any constructive modifications and variations during the construction phase, considered necessary for the following objectives: - to improve the appliance functionality and working order; - to grant the security of the machine; - to improve the energy-saving power of the appliance; - to conform the appliance to the national, regional, EEC and/or international guidelines In these cases, the purchaser engages himself to pay to A.T.O. S.r.l. the price variation agreed within the limit of 10%, except for the right of renouncement by A.T.O. S.r.l The purchaser engages himself to allow A.T.O. S.r.l. to carry out, after the appliance has been delivered, any modifications imposed by the national or EEC requirements on the appliance or any modifications and /or variations necessary to grant the security of the product according to the national, regional or EEC guidelines and following the new technical exigencies for security issued by the sector In this case the purchaser engages himself to pay to A.T.O. S.r.l. the expenses met by A.T.O. S.r.l. itself to carry out the above mentioned modifications. 4. Reservation of title If the parties agree the clause of reservation of title of the goods in favour of A.T.O. S.r.l., following agreements will be binding The purchaser will buy the property of the goods after payment of the last instalment, but will undertake the risks since the moment of shipment; the parties agree that the expression price includes also the expenses that according to the present general conditions are to be paid by the purchaser The non-payment of a single instalment, or of more instalments, within the expiry date, which exceeds the eighth part of the price (determined as from what indicated before) entitles to the rescission of the contract according to art of the Italian Civil Code. The foresaid rescission of the contract occurs, according to the dispositions of art of the Italian Civil Code, as soon as A.T.O. S.r.l. informs the purchaser of its intention to count on this expressed rescinding clause. This notification will be effective, to the purposes of the foresaid rescission, also if notified by telefax In case of rescission of the contract for default by the purchaser (when A.T.O. S.r.l. has declared to the purchaser to count on the foresaid expressed rescinding clause), the instalments eventually paid by the purchaser himself, according to the requirements of art. 1526, II sub-section of the Italian Civil Code, remain taken over by the seller by way of compensation In all cases of contract rescission, the purchaser shall make available to A.T.O. S.r.l. the goods owned by A.T.O. S.r.l. itself, and all relative expenses (disassembling, loading, transport and unloading) will be paid by the purchaser The purchaser, whether required by A.T.O. S.r.l., engages himself to present himself to the notary for the certification of the signatures of the foresaid contract, for the purposes according to art. 1524, I subsection of the Italian Civil Code. The relative expenses are to be paid by the purchaser The purchaser, whether required by A.T.O. S.r.l., engages himself, to his own expenses, to carry out what required by law no and from the requirements issued with Ministerial Decree of Whether A.T.O. S.r.l. wants to enjoy the benefits according to law no and the guidelines issued with Ministerial Decree dd , the expenses thereof, even if anticipated by A.T.O. S.r.l., will always be paid by the purchaser. 5. Deposit Whether it is agreed that at the moment of entering into the contract the purchaser gives to A.T.O. S.r.l. a sum of money as earnest money on the agreed price, this amount will have the value and effectiveness of deposit, according to the dispositions of art of the Italian Civil Code In case of default by the purchaser, A.T.O. S.r.l., whether it decides to rescind the contract, will be authorized to keep the amount paid by way of money in earnest, except for the compensation for a further damage. 6. Payment times The purchaser is obliged to pay the price agreed at the moment of notification by A.T.O. S.r.l. that the material ordered has been manufactured, except for different agreement To this purpose, the notification thereof will be done with all appropriate means The price agreed will be subject to variations in the sense of increases in case of variations of the raw material and labour costs. In this case the purchaser can not refuse to execute the payment claiming the foresaid price variation In case of overdue payment, the settled interest in favour of A.T.O. S.r.l. accrues at the top interest rate allowed by the decree of the Ministry of the Treasury in force, to the purposes of the application of the usury law, for the present kind of operation Interests accrue as from the day in which the payment should have been executed until the day in which the payment actually occurs. To the foresaid purposes, for agreed due date is meant the reaching of the 24 hours of the expiry date The parties agree that no tolerance terms are set. The eventual silence by A.T.O. S.r.l. following expiry of the payment terms, even if during some weeks, can not be anyhow considered a payment respite or tolerance of delayed payment. In this case, in fact, the interests conventionally agreed will accrue from the day after the expiry date. 7. Payment place The obligation to pay the price agreed must be executed at the main office of A.T.O. S.r.l. or otherwise according to the ways indicated by A.T.O. S.r.l. itself at the moment of stipulation of this contract. 8. Payment by instalments. Settled interests Whether the parties have agreed the payment by instalments of the agreed price, the purchaser is obliged to issue promissory notes to A.T.O. S.r.l., whose amount will have to cover: f) agreed price (VAT included); g) charges for goods packing; h) stamps charges for the issuing of bills; i) settled interests, as hereby indicated; j) bank charges provided for the discount of the foresaid bills Whether the parties have agreed the payment by instalments of the agreed price, the purchaser is obliged to pay to A.T.O. S.r.l. the interests conventionally settled at the top interest rate allowed by the Ministerial Decree issue by the Ministry of Treasure in force, to the purposes of the application of the usury law, for the present kind of operation. 9. Order commission with clause without interests Whether the parties have agreed the payment of the purchased goods with clause without interests, even in the case in which this is not expressly indicated in the order commission, and the purchaser has not executed the payment within the agreed due date, the purchaser will be obliged to pay to A.T.O. S.r.l., besides the agreed price, also the amount corresponding to the value discount eventually granted and to the interests conventionally settled to the top interest rate allowed from the decree in force by the Ministry of Treasure to the purposes of the application of the usury law, for the present kind of operation, running from date of invoice. 10. Delivery terms The goods are delivered within the agreed term and anyway after the actual transfer of the pre-payment of the price eventually agreed or at the moment of the full payment or at the issuing of bills of exchanges. If the delivery terms of the ordered goods are agreed at days, these are meant as working days The parties agree that the delivery term is not essential and that it can be subjected to delays Eventual delivery delays will be tolerated by the purchaser and, in all cases, they will not be considered as reason for the rescission of the contract The fulfilment of the delivery obligation is considered as executed as soon as the machine is available at the warehouse of A.T.O. S.r.l According to art. 1510, II sub-section of the Italian Civil Code, if the goods have to be carried from one place to another, A.T.O. S.r.l. sets itself free from the obligation to execute the shipment delivering the goods to the carrier or to the forwarding agent If the parties, after the stipulation of the contract, agree any modifications to the technical and/or functional features of the purchased appliance, the guidelines related to the delivery term will have to take this agreement in due consideration. 11. Charges for loading, transport, assembling. Insurance The expenses of loading in order to execute the shipment are to be paid by the purchaser Whether the loading of the goods is done also by personnel of A.T.O S.r.l. or anyway by personnel entrusted by A.T.O. S.r.l., the related costs will be paid by the purchaser The transport expenses are to be paid by the purchaser Whether the purchaser expressly lets to A.T.O. S.r.l. the choice of the forwarder for the transport of the goods, and the latter accepts this commitment, A.T.O. S.r.l., following to the payment of the necessary amounts by the purchaser and the pre-payment of the reward the for the activity carried out, it will take care to choose the carrier considered as the most appropriate The purchaser expressly relieves A.T.O. S.r.l. of any eventual responsibility related to the choice of the carrier Whether the purchaser expressly requires in written form to A.T.O. S.r.l. that the purchased goods, which must be transported to a delivery address different to its main offices, be insured, A.T.O. S.r.l., whether it means to accept the commitment, will take care to stipulate an insurance contract accordingly in the name of the purchaser, who will anticipate to A.T.O. S.r.l. the necessary amount for the payment of the insurance premium The charges of assembling of the goods are to be paid by the purchaser. The assembling charges include: - travel expenses, board and loading for each single assembler; - expenses for the work done by each single assembler; - expenses of unskilled workers as support to the assembler; - expenses for the unloading of material; - expenses for the arrangement of the premises Whether the parties have agreed that the assembling expenses are included in the price, the purchaser will have anyway to pay for the expenses related to: - the starting, the instructions of the machine, to the test carried out also following the consignment of the machine; - the unloading of the material; - the outer tubes; - the water; - the electric power to the plant and the connection to the electric board to the various places of use; - expenses of pre-arrangement of the premises; - the delays in the assembling not due to A.T.O. S.r.l., included the ones related to the assembler travelling. 12. Storage of the sold goods Whether the purchaser does not present himself to receive the goods purchased within the agreed term A.T.O. S.r.l., following to notification to receive the goods, sent also per fax by A.T.O. S.r.l., can lodge it on account and on charge of the purchaser himself, either in premises used as public depot, or at thirds, freely chosen by the purchaser, or at the warehouse of A.T.O. S.r.l Whether the purchaser does not fulfil the obligations to pay the agreed price, A.T.O. S.r.l., following to notification to receive the goods, sent also per fax by A.T.O. S.r.l., according to art of the Italian Civil Code can sell the purchased goods on account and on charge of the purchaser. 13. Penal clause Whether the purchaser does not fulfil the obligation to pay the price, he will be obliged to pay, according to art of the Italian Civil Code, the sum of., as penalty, except for the refund of the further damage. 14. Warranty of proper functioning A.T.O. S.r.l. warrants for the proper function of the appliance, object of this sale, for a period of twelve months starting from purchase date to the original purchaser. Successive purchasers are not warranted any rights. The warranty hereto provides for the replacement of faulty parts returned ex-factory, workmanship excluded. The replacement of the parts within the warranty period does not prolong the same warranty. The purchaser has no compensation rights for damages due to the misuse of the machine. The warranty is not applicable in the following cases: - if the purchaser does not comply with the terms of payment; - if damages are due to unskilled, unconventional use, overloading, poor care, tampering or modifications which were not authorized by the manufacturer, lack of or unstable power supply; - if damages are due to force majeure; - if the defects are not made known to A.T.O. S.r.l. in writing within eight days from their discovery, causing the loss of its effectiveness; - if the statement does not include the detailed description of the claimed defect as well as its possible causes; This warranty is not applicable to ordinary wear and tear of the machine. A.T.O. S.r.l. does not accept responsibility for the quality of the products obtained from the machine since the latter depends on different factors such as: the skillfulness and technique of the operator, quality and quantities of the ingredients or materials utilized. In the event that the statement is accepted, A.T.O. S.r.l. will replace those parts of the unit that are found damaged or faulty, on condition that the malfunction is due to production defects. In the event that the statement is not accepted, A.T.O. S.r.l. reserves the right to hold this warranty valid, thus making known this intention in writing (fax is admitted) or by phone, within five days from receipt of statement. For the benefit of the validity of the warranty hereto, the existence of a production defect shall be stated by A.T.O. S.r.l. through its personnel and technical staff. The warranty of proper function does not cover defects due to improper use of the product by the purchaser. The warranty hereto does not include (and therefore the corresponding expenses are paid by the purchaser): - cleaning actions; - work carried out to repair the unit when the unit could be repaired by the purchaser according to the instruction manual; - any ordinary maintenance work needed for the normal use of the unit; - any repair work carried out on the unit to remove damages due to power circuit failure or to causes related to the professional, commercial and industrial activity performed by the purchaser; - any action performed to repair functioning defects due to bad maintenance of the unit by the purchaser or third parties appointed by the purchaser or in the case that the maintenance was not performed according to the provisions given by A.T.O. S.r.l.; - any action performed to remove functioning defects due to abuses of the unit by the purchaser or third parties; - actions performed to repair damages to the unit due to transport of the appliance from the headquarters of A.T.O. S.r.l. to its destination. The warranty hereto does not cover damages incurred by the purchaser due to non-use of the unit. 15. Obligation of check of the goods The purchaser immediately after the delivery and with periodic frequency, engages himself to verify, at his own cost, the state and the functioning of the appliance and engages himself to inform immediately A.T.O. S.r.l. of its defects In case of communication, the purchaser engages himself to allow A.T.O. S.r.l. to carry out the modifications and the necessary interventions on the machine aimed at eliminating the defect The original purchaser, in case of conveyance of the machine, engages himself to add the present clause to the purchase contract with his buyer In case of default, the purchaser engages himself to relieve A.T.O. S.r.l. from eventual damages caused to thirds by defects of the products not timely communicated. 16. Competent court Both parties agree that the venue for all controversies related to the validity, interpretation, execution, rescission and effectiveness of this contract is the Court of Treviso, and with clear exclusion of the general and alternative courts foreseen in art. 18, 19 e 20 of the Italian Code of Civil Procedure.
