6 05: B9641 THE BUSINESS LAWYER 2002 VOL. 57 N 2 ARTICLES Constitutional Constraints on Punitive Damages and Other: Monetary Punishments The Supreme Courts recent opinion in Cooper Industries, Inc. v. Leatherman Tool Group, Inc., 532 U.S. 424 (2001), is a new milestone in the Court s identification of meaningful constitutional constraints on punitive damages awards. The Court held that a U.S. Circuit Court of Appeals must review an appeal of a punitive damages awardalleged to violate the due process clause's requirement of fair notice and its prohibition on grossly excessive punishments-under a de novo standard, not an abuse of discretion standard. Cooper Industries is important for three reasons. First, it sends a signal to lower courts that the Supreme Court meant what it said in BMW of North America v. Gore, 517 U.S. 559 (1996), which held that punitive damages that are "excessive" are unconstitutional. Second, it affords new insights into how a six-justice majority views the application of the Gore guidelines in determining "excessiveness." Third, the Courús reasoning in Cooper Industries and Gore as to due process requirements of fair notice and proportionality in punitive damages awards applies to all monetary punishments imposed under state or federal law because they too are subject to due process. George Gemon Freeman, Jr. Pág.587 Rethinking Securities Markets: The SEC Advisory Committee on Market Information and the Future of the National Market System Since 1975, when the statutory basis for the current securities market structure was enacted, the markets have undergone a transformation made possible through the advancement of new technology. In particular, although the New York Stock Exchange remains the dominant national securities exchange, the development and increasing prominence of electronic communications networks and the declining role of competitive security quotes raise questions as to the continuing appropriateness of the old framework for disserninating market information. This Article reviews the findings of the SEC Advisory Committee on Market Information, released September 2001, identifying the six principal conclusions. The author explains how the committee's findings indicate the need for a more comprehensive study of equity secunties market issues. Such a study should combine a detailed factual investigation of the present market system with an exploration of several key questions, including: how quote competition should be conducted; how securities trading should be routed and executed; and which market centers should compete. Joel Seligman.Pág.637 Ethical Screcning in Modern Financial Markets: The Conflicting Claims Under1y ng Socially Responsible Investment In this Article, the author documents how socially responsible investment (SRI), the practice of making investment decisions using both social and financial criteria, has grown from a fringe movement practiced by a relatively small number of isolated investors into a major investment phenomenon that has become part of the financial mainstream. The author also documents how the SRI community sought to encourage that growth by convincing investors that they can make a difference in the world without financia sacrifice by screcning their investments. That message, which is succinct1y stated in the often-repeated slogan "doing well by doing good," embodies the two principal claims commonly made by SRI's modern adherents. These claims are that managing money according to ethical criteria can be as profitable and prudent as investing strialy for financial gam, and that SRI can direaly change corporate behavior by drawing funds away from disapproved activities toward approved activities. This Article draws on modern. financial theory and recent empirical research in order to evaluate these claims. It shows that, as a matter of finance theory, although either of the principal claims made by SRI s proponents might be true, the two claims cannot simultaneously both be true because each claim implies the falsity of the other. The author also surveys recent empirical work in finance in order to assess the validity of each elaim. Based on this survey, the author concludes that screening is likely to entail no more than a minimal financial sacrifice for investors who do not substantially increase their costs by screening and do not narrow their universe of investments by so much as to substantially hamper diversification. On the other hand, the author concludes that there is little, if any, evidence that ethical screening has had a significant direct impact on targeted firms. Michael S. Knoll. Pág.637 Toward Facilitating Cross-Border Secured Financing and Securitization: An Analysis of the United Nations Convention on the Assignment of Reccivables in International Trade The United Nations Convention on the Assignment of Receivables in International Trade was recently adopted and is now open for signature. The Convention promulgates substantive and choice of law rules that will, if the Convention becomes effective in a sufficient number of countries, significantly improve the feasibility of cross-border transactions involving the assignment of receivables. The Convention will achieve this by reducing or eliminating obstacles to efficient commercial practices and by providing greater certainty on many issues. The authors explain the Conventions provisions and discuss relevant provisions of Revised U.C.C. Article 9 to facilitate comparison and to assist counsel in understanding how the Convention might affect transactions having a U.S. connection. Harry C. Sigman and Edwin E. Smith. Pág.727

7 The Effect of Corporate Acquisitions on the Target Companys License Rights Mergers and acquisitions are increasingly driven by the desire to obtain the target companys intellectual property rights-namely, patents, copyrights, and trademarks. Where, however, such rights are merely licensed to the target company, the acquirer must consider whether such rights will survive the transaction intact. The transferability of intellectual property license rights is not governed solely by general contract principles due to federal policies that support authors and inventors. This Article examines the specialized body of precedent dealing with the assignability of intellectual property license rights under a variety of acquisition structures, including asset sales, mergers, and stock purchases. Understanding the factors that have influenced courts in this area will assist practitioners in assessing the risk of whether the target companys license rights will be adversely affected by the consummation of the transaction. An investor conternplating the acquisition of a company or of assets located in France should understand the legal environment in which businesses in France operate. This Article provides an introduction to selected arcas of French law that are of particular relevance. More specifically, this Article: (i) examines the choices a buyer has in structuring an acquisition, (ii) analyzes the pre- and postacquisition authorizations and declarations that may be required, (iii) exposes the myriad of labor issues raised, direct1y and indirectly, by the acquisition, (iv) surrunarizes the manner in which industrial facilities are regulated under French environmental law, (v) addresses recent changes in French law regarding forcign corrupt practices and the implications of these changes for the American parent of a French subsidiary and (vi) describes the various forms of companies that exist under French law and their most pertinent features. Pág.767 MENDES HERSHMAN STUDENT WRITING CONTEST PRIZE ESSAY Employec Privacy and Internet Monitoring: Balancing Workers' Rights and Dignity with Legitimate Management Interests At the dawn of the Internet age, employers face serious risks from employec misuse of this new communication medium. To reduce these risks, employers are turning to new monitoring technology enabling them secredy to view, record, and report literally everything employees do on their computers. Employee advocates assert that such surreptitious monitoring may infringe on employee privacy and other protected workplace rights. This Artiele addresses whether and when employers should be required to notify employees of monitoring practices. It gives examples of monitoring technology, reviews the history and current state of employec privacy in America, detai1s relevant legislative efforts, discusses options suggested by leading thinkers, and recommends a balanced solution.
