1 PLEASE READ THIS MASTER SUBSCRIPTION AGREEMENT CAREFULLY BEFORE ACCEPTING. THE TERMS AND CONDITIONS OF THIS MASTER SUBSCRIPTION AGREEMENT, ANY ADDITIONAL TERMS AND ANY ORDER FORMS ENTERED INTO BY YOU AND SUGARCRM INC. ( SUGARCRM ) ARE COLLECTIVELY REFERRED TO AS THE AGREEMENT. UNLESS OTHERWISE DEFINED HEREIN, CAPITALIZED TERMS SHALL HAVE THE MEANINGS SET FORTH IN SECTION 12 BELOW. BY ACCEPTING, YOU ARE AGREEING ON BEHALF OF THE ENTITY ORDERING THE SUGARCRM PRODUCT ("COMPANY") THAT COMPANY WILL BE BOUND BY AND BECOME A PARTY TO THE AGREEMENT AND CERTIFYING THAT YOU HAVE THE AUTHORITY TO BIND COMPANY. IF COMPANY DOES NOT AGREE TO ALL OF THE TERMS OF THE AGREEMENT OR IF YOU DO NOT HAVE THE AUTHORITY TO BIND COMPANY TO THIS AGREEMENT, DO NOT SELECT THE "ACCEPT" BOX OR SIGN (EITHER MANUALLY OR ELECTRONICALLY) THE ORDER FORM ISSUED TO YOU BY SUGARCRM. UNLESS AND UNTIL COMPANY HAS AGREED TO BE BOUND BY ALL OF THE TERMS OF THE AGREEMENT, COMPANY HAS NOT BECOME A LICENSEE OF, AND IS NOT AUTHORIZED TO USE, THE SUGARCRM PRODUCT. THE "EFFECTIVE DATE" OF THIS AGREEMENT IS THE DAY THAT YOU CHECK THE "ACCEPT" BOX OR SIGN (EITHER MANUALLY OR ELECTRONICALLY) THE ORDER FORM ISSUED TO YOU BY SUGARCRM. SE LA SOCIETÀ NON CONCORDA CON TUTTE LE CLAUSOLE DEL CONTRATTO O SE LEI NON HA L'AUTORITÀ DI VINCOLARE LA SOCIETÀ CON QUESTO CONTRATTO, NON SELEZIONI LA CASELLA "ACCETTO" O NON FIRMI (DI SUO PUGNO O ELETTRONICAMENTE) IL MODULO D'ORDINE RILASCIATOLE DA SugarCRM. FINTANTO CHE LA SOCIETÀ NON CONCORDA DI ESSERE VINCOLATA DA TUTTE LE CONDIZIONI DEL CONTRATTO, ESSA NON DIVENTA UNA LICENZIATARIA E NON È AUTORIZZATA AD USARE IL PRODOTTO SugarCRM. Subscription. 1. Abbonamento Deployment Model. SugarCRM shall make the SugarCRM Product available to the Company pursuant to the terms of this Agreement and the relevant Order Form during the Subscription Term. The SugarCRM Product may either be: (a) installed by or for Company at Company s premises, or on a Companycontrolled server within a third party data center ( On-Site ), or (b) the online, Web-based platform and applications that are hosted by SugarCRM, or a third party hosting facility designated by SugarCRM and provided as a Service ( On-Demand ). The model of deployment selected by Company is as indicated on the Order Form. Company may elect to migrate from one deployment model to another at any time during the Subscription Term. Such migration may be subject to the applicable SugarCRM migration fees in effect at the time of the migration in addition to additional terms and conditions that apply to the new deployment model Use of the SugarCRM Product Uso del prodotto SugarCRM Modello di distribuzione. The parties acknowledge and agree that the terms and conditions contained in this Agreement and the terms of use applicable to the deployment method selected by Company, which are attached in Exhibit A, will govern Company s use of the SugarCRM Product for the Subscription Term, unless explicitly stated otherwise in a written agreement between the parties Condizioni d'uso. SugarCRM will exercise reasonable commercial efforts to notify Company of any such material modifications to the SugarCRM Product, provided however, that SugarCRM will not have any liability for failure to provide such notice Support. During the Subscription Term, and at no additional charge to the Company, SugarCRM will provide Company with the standard level of support indicated at the following URL, which corresponds to the SugarCRM Product purchased by Company: (the Support Services ); provided, however, that if Company purchases subscriptions through an Authorized Partner, then Company shall obtain Tier 1 support directly from the Authorized Partner and SugarCRM shall have no obligation to provide Tier 1 support to the Company unless otherwise agreed to in writing by the parties. SugarCRM reserves the right, from time to time, to make modifications to the Support Services or particular components of the Support Services and will use commercially reasonable efforts to notify Company of any material modifications by posting a notice of the modification on the URL noted above. Additional upgraded support services may be purchased by Company via submission of an Order Form. Company understands and agrees that SugarCRM may subcontract and/or assign the provision of its Support Services to a third party Componenti e caratteristiche del prodotto SugarCRM. SugarCRM non avrà alcun obbligo di fornire tale supporto di primo livello alla società, salvo indicazione contraria, concordata per iscritto dalle parti. SugarCRM si riserva il diritto di modificare saltuariamente i servizi di supporto o particolari componenti di tali servizi e si impegna a notificare, per quanto possibile e ragionevole, qualsiasi modifica reale alla società postando un avviso sull'url suindicato. Ulteriori servizi di supporto aggiornati sono a disposizione della società su invio di apposito modulo d'ordine. La società riconosce la potestà di SugarCRM di subappaltare e/o assegnare a terzi la fornitura dei servizi di supporto Company Responsibilities. Company shall: (a) be responsible for all Subscription Users compliance with the terms and conditions of this Agreement, (b) be solely responsible for the accuracy, integrity, and legality of Company Data and the means by which it acquires and uses such Company Data, (c) use the SugarCRM Product only in accordance with the applicable online user guide and applicable laws, rules, regulations (including, without limitation, export, data protection and privacy laws, rules and regulations) and any SugarCRM Product documentation, (d) use commercially reasonable efforts to prevent unauthorized access to or use of the SugarCRM Product, and (e) notify SugarCRM in writing immediately of (i) any unauthorized use of, or access to, the SugarCRM Product or any Subscription User account or password thereof or (ii) any notice or charge of noncompliance with any applicable law, rule or regulation asserted or filed against Company in connection with Company Data. For the avoidance of doubt, Subscription User accounts and passwords are specific to individual Subscription Users, and under no circumstances may Subscription User accounts or passwords be shared among or by different Subscription Users; provided, however, that the Company administrator(s) may reassign a Subscription User account during the Subscription Term, if a former Subscription User no longer requires a Subscription User account Responsabilità della società. A scanso di equivoci, gli account e le password degli utenti dell'abbonamento sono specifici del singolo utente e non possono essere condivisi in nessuna circostanza tra o con utenti diversi; fermo restando che gli amministratori degli account della società possono riassegnare un account di utente dell'abbonamento vigente, purché l'utente precedente non ne abbia più bisogno Restrictions. Company shall not, directly or indirectly: (a) sublicense, resell, rent, lease, distribute, market, commercialize or otherwise transfer rights or usage to the SugarCRM Product or 1.5. Limitazioni. 3 any modified version or derivative work of the SugarCRM Product created by or for Company, (b) provide the SugarCRM Product, or any modified version or derivative work of the SugarCRM Product created by or for Company, on a timesharing, service bureau or other similar basis, (c) remove or alter any copyright, trademark or proprietary notice in the SugarCRM Product, (d) develop Forked Software, (e) copy any features, functions or graphics of the SugarCRM Product for any purpose other than what is expressly authorized in this Agreement, (f) modify, remove or disable any portion of the Critical Control Software, (g) use or modify the SugarCRM Product in any way that would subject the SugarCRM Product, in whole in or in part, to a Copyleft License, (h) send, store, or authorize a third party to send or store spam, unlawful, infringing, obscene or libelous material, or Malicious Code, (i) attempt to gain unauthorized access to, or disrupt the integrity or performance of, the SugarCRM Product or the Company Data contained therein, (j) use any Intellectual Property Rights protected by applicable laws and contained in or accessible through the SugarCRM Product for the purpose of building a competitive product or service or copying its features or user interface, (k) use the SugarCRM Product, or permit it to be used, for purposes of product evaluation, benchmarking or other comparative analysis intended for publication without SugarCRM's prior written consent; or (l) use the SugarCRM Product to develop or enhance any (i) open source version of SugarCRM software (such as Sugar Community Edition ), (ii) derivative works of any open source version of SugarCRM software, or (iii) any software code made to work with any open source version of SugarCRM software Third Parties. Company may use third party contractors to assist with the installation, use and modification of the SugarCRM Product for Company s own internal business use, including creation of Modifications on Company s behalf. Company agrees not to disclose any Confidential Information of SugarCRM to any contractor or allow any subcontractor to create Modifications unless and until the contractor has agreed in writing to (a) protect the confidentiality of such Confidential Information in the manner required by Section 6 and then only to the extent necessary for the contractor to perform those services subcontracted to it, and (b) assign all such contractor s rights, title and interests (including all Intellectual Property Rights) in such Modifications to Company to ensure Company can comply with Section The Company will be solely responsible for all payments to its contractors and will remain responsible for compliance by its contractors with the terms and conditions of this Agreement. diritti o l'utilizzo del prodotto SugarCRM o di una sua eventuale versione modificata o derivata, creata dalla società o per suo conto; (b) fornire il prodotto SugarCRM o una sua eventuale versione modificata o derivata, creata dalla società o per suo conto, per essere usato in timesharing, da una agenzia di servizi o altro metodo simile; (c) rimuovere o alterare qualsiasi avviso di copyright, marchio di fabbrica o di esclusività del prodotto SugarCRM; (d) sviluppare software "forked" o divergente; (e) copiare alcuna caratteristica, funzione o elemento grafico del prodotto SugarCRM per qualsiasi scopo non espressamente autorizzato in questo contratto; (f) modificare, rimuovere o disattivare qualsiasi porzione del software di controllo critico; (g) usare o modificare il prodotto SugarCRM in qualsiasi modo che lo assoggetti in tutto o in parte ad una licenza "copyleft"; (h) inviare, memorizzare o autorizzare terzi a inviare o a memorizzare spam, materiali illeciti, lesivi, osceni o diffamatori, oppure codice doloso; (i) tentare di ottenere accesso non autorizzato o compromettere l'integrità o il rendimento del prodotto SugarCRM o dei dati della società in esso contenuti; (j) usare qualsiasi diritto di proprietà intellettuale protetto dalla normativa vigente e contenuto o accessibile tramite il prodotto SugarCRM con l'intenzione di realizzare un prodotto o servizio concorrenziale o di copiarne le funzionalità o l'interfaccia con l'utente; (k) usare il prodotto SugarCRM o permetterne l'uso ai fini della valutazione di prodotti, del benchmarking o di altre analisi comparative destinate alla pubblicazione senza il previo consenso scritto di SugarCRM; oppure (l) usare il prodotto SugarCRM per sviluppare o migliorare qualsiasi (i) versione open source del software SugarCRM (quale la Sugar Community Edition ), (ii) lavoro derivato da una qualunque versione open source del software SugarCRM, o (iii) codice software scritto per funzionare con una qualsiasi versione open source del software SugarCRM Terzi. La società può ricorrere ad appaltatori terzi ed affidare loro l'installazione, l'uso e la modifica del prodotto SugarCRM per finalità interne, compresa la creazione di modifiche per conto della società. Company s use of the SugarCRM Product, including all Third Party Software accessible via APIs, is governed by the applicable Third-Party Software terms and conditions. A listing of Third-Party Software licenses and/or notices can be found at: If a Third Party Software provider requires SugarCRM to remove such software from the SugarCRM Product due to violation of applicable law or third-party rights, Company agrees to cooperate with SugarCRM to ensure its removal from the SugarCRM Product and Company s systems Third-Party Modules. Company may use Third-Party Modules to add functionality to the SugarCRM Product, provided that such use is limited to internal use by Company in a manner that does not violate any provisions of Section 1.5. 4 Third-Party Modules and any exchange of Company Data between Company and the Third-Party Module provider are solely between Company and the Third-Party Module provider. SugarCRM does not warrant or support Third-Party Modules Third-Party Privacy Policies. Company understands and agrees that any Company Data exchanged with Third-Party Software or Third-Party Module is governed by that provider s respective privacy policy Third Party APIs. Features that interoperate with third party services (such as Google) depend on the continuing availability of the API and program for use with the SugarCRM Product. SugarCRM owns all right, title and interest, including all Intellectual Property Rights, in and to the SugarCRM Product, and all Modifications (collectively, the SugarCRM Property ). Company hereby does and will assign to SugarCRM all right, title and interest worldwide in the Intellectual Property Rights embodied in any and all Modifications. To the extent any of the rights, title and interest are not assignable by Company to SugarCRM, Company grants and agrees to grant to SugarCRM an exclusive, royalty-free, transferable, irrevocable, worldwide, fully paid-up license (with rights to sublicense through multiple tiers of sublicensees) under Company s Intellectual Property Rights to use, disclose, reproduce, license, sell, offer for sale, distribute, import and otherwise exploit the Modifications in its discretion, without restriction or obligation of any kind or nature. Except as expressly stated otherwise in this Agreement, SugarCRM retains all of its right, title and ownership interest in and to the SugarCRM Property, and no other Intellectual Property Rights or license rights are granted by SugarCRM to Company under this Agreement, either expressly or by implication, estoppel or otherwise, including, but not limited to, any rights under any of SugarCRM s or its Affiliates patents Proprietà del prodotto SugarCRM e delle modifiche. SugarCRM s name, logo, trade names and trademarks are owned by SugarCRM, and no right is granted to Company to use any of the foregoing except as expressly permitted herein or by written consent of SugarCRM Marchi di fabbrica. Company or its Subscription Users may, from time to time, provide suggestions, enhancement or feature requests or other feedback to SugarCRM with respect to the SugarCRM Property or other SugarCRM products, services or related documentation (whether or not such is disclosed or delivered by SugarCRM to Company under this Agreement) (collectively, "Feedback"). Company agrees that all Feedback is and shall be given by Company entirely voluntarily. SugarCRM shall be free to use, disclose, reproduce, license or otherwise distribute and exploit the Feedback in its discretion, without restriction or obligation of any kind or nature. Feedback, even if designated as confidential by Company, shall not create any obligation of confidentiality for SugarCRM, unless SugarCRM expressly agrees so in writing Suggerimenti. Company agrees to allow SugarCRM and its Affiliates to store and use Company business contact information, including names, business phone numbers, and business addresses, anywhere it does business. Such information will be processed and used in connection with SugarCRM s business relationship, and may be provided to contractors acting on SugarCRM s behalf, SugarCRM s business partners who promote, market and support certain SugarCRM products and services, and assignees of SugarCRM and its subsidiaries for uses consistent with SugarCRM s business relationship Trattamento dei dati. Usage Data does not, however, include Company Data. (b) The SugarCRM Product also includes Critical Control Software that regularly transmits certain usage data, including but not limited to, licensing, system and service performance data, to SugarCRM and, if applicable, an Authorized Partner, to verify compliance with the terms of this Agreement and to improve SugarCRM s products and services. Company hereby authorizes and directs SugarCRM and Authorized Partners, if applicable, to use the Critical Control Software in accordance with the terms of this Agreement. Critical Control Software does not collect or access any Company Data Dati di utilizzo. As such, Company agrees, on behalf of itself and its Subscription Users, not to use the Service or provide access to or submit any PHI to SugarCRM when requesting technical and or Support Services, in either case, to, directly or indirectly, submit, store or include any PHI as part of the Company Data. Company agrees that SugarCRM may terminate this Agreement immediately, if Company is found to be in violation of this Section HIPAA e PHI in rapporto ai prodotti SugarCRM. The provision of any Company Data by that Authorized Partner will be deemed to have come from Company directly and it is Company s responsibility to ensure the accuracy and completeness of the Company Data. Company agrees to pay all fees specified in the relevant Order Form. Except as otherwise provided, fees set forth in each Order Form hereunder will be: (a) fixed during the Subscription Term set forth in such Order Form, (b) quoted and payable in United States dollars, (c) based upon the number of Subscription User seats purchased, even if actual usage is lower, and (d) non-cancelable and non-refundable. Fees are due thirty (30) days from the invoice date, unless otherwise noted in an Order Form. Company agrees to provide SugarCRM with complete and accurate billing and contact information and to notify SugarCRM of any changes to such information. If Company purchases a Subscription to the SugarCRM Product from an Authorized Partner, the Authorized Partner (i) may agree with Company to accept payment on a different payment schedule in currencies other than United States dollars; and (ii) will submit payment to SugarCRM on Company s behalf in accordance with its agreement with SugarCRM Oneri e pagamento. The Subscription Term for the additional Subscription User subscriptions will terminate on the same date as the pre-existing Subscriptions. Company will be responsible for submitting a new Order Form to SugarCRM, or to the applicable Authorized Partner, to request the additional Subscription User seat(s) during the Subscription Term. Company also understands and agrees that the number of Subscription User seats purchased under a specific Order Form cannot be decreased during the relevant Subscription Term set forth on such Order Form Ulteriori utenti dell'abbonamento.
