2 In generale In particolare QUANDO UN PRODOTTO è SICURO? Un prodotto è sicuro, in particolare, se non presenta rischi per la salute e la sicurezza delle persone; tale valutazione va fatta per il prodotto in condizioni d uso normali o ragionevolmente prevedibili, compresa la durata e, se del caso, la messa in servizio, l installazione e la manutenzione. Quali sono i parametri da utilizzare in concreto per il giudizio di pericolosità? L art. 103 Codice del consumo, li elenca con precisione;

3 - le caratteristiche del prodotto, la sua composizione, il suo imballaggio, le modalità del suo assemblaggio e, se del caso, della sua installazione e manutenzione; - l effetto del prodotto su altri prodotti, qualora sia ragionevolmente prevedibile l utilizzazione del primo con i secondi; - la presentazione del prodotto, la sua etichettatura, le eventuali istruzioni e avvertenze per l uso e l eliminazione, nonché qualsiasi altra indicazione o informazione relativa al prodotto; - le categorie di consumatori che si trovano in condizione di rischio nell utilizzazione del prodotto, in particolare minori e anziani.

4 Non si può prescindere dalla definizione fornita dalla legislazione dell Unione Europea (B2C) Un prodotto si presume sicuro nei seguenti casi stabiliti dall art. 105 del Codice del consumo: - quando rispetti le specifiche disposizioni comunitarie che disciplinino gli aspetti di sicurezza, ove esistenti; - quando è conforme alle leggi dello Stato in cui il prodotto deve essere commercializzato, ciò in assenza di specifiche disposizioni comunitarie; - quando è conforme alle norme tecniche nazionali non cogenti (ove esistano) che recepiscono norme tecniche europee armonizzate, ciò in assenza di legislazione nazionale e comunitaria.

5 Obblighi del produttore Il produttore immette sul mercato solo prodotti sicuri (art. 104, comma 1).

6 Chi è considerato produttore? PER LA NORMATIVA EUROPEA: chiunque partecipi al processo di produzione, il c.d fabbricante del prodotto finito o di una sua componente; il produttore della materia prima; l importatore ed il distributore del prodotto difettoso; qualsiasi persona che apponga al prodotto il proprio nome, la propria marca o qualsiasi altro segno distintivo; qualsiasi persona che fornisca un prodotto il cui produttore non può essere identificato; l agricoltore, l allevatore, il pescatore ed il cacciatore.

7 Quando è l immissione sul mercato? immissione sul mercato si intende la fornitura o procurata disponibilità sul mercato nazionale e comunitario a titolo oneroso o gratuito di un bene. Secondo alcuni interpreti della norma il prodotto si considera immesso quando sia consegnato all acquirente, all utilizzatore o a un ausiliario di questi, anche in visione o in prova. Altri commentatori fanno retrocedere il momento dell immissione alla mera disponibilità sul mercato per l utilizzazione

8 Obblighi del distributore al distributore vengono anche assegnati specifici obblighi d all art. 104 del Codice del consumo, consistenti nel : a) non fornire prodotti di cui conosce o avrebbe dovuto conoscere la pericolosità in base alle informazioni in suo possesso e nella sua qualità di operatore professionale; b) partecipare al controllo di sicurezza del prodotto immesso sul mercato, trasmettendo le informazioni concernenti i rischi del prodotto al produttore e alle autorità competenti per le azioni di rispettiva competenza; c) collaborare alle azioni intraprese di cui alla lettera b), conservando e fornendo la documentazione idonea a rintracciare l origine dei prodotti per un periodo di dieci anni dalla data di cessione al consumatore finale; in questo modo sarà più semplice provvedere, ad esempio, al ritiro o al richiamo del prodotto dal mercato o individuare chiaramente eventuali responsabilità.

10 È se il prodotto è pericoloso? il ritiro è l insieme delle misure dirette ad impedire che il prodotto pericoloso venga immesso nella disponibilità del consumatore (e dunque che venga distribuito, offerto, esportato); il richiamo è, invece, l insieme degli strumenti diretti ad ottenere la restituzione del prodotto pericoloso del quale il consumatore abbia già ottenuto la disponibilità

11 Cosa fare se il prodotto è già sul mercato? Il RAPEX è un bollettino informativo telematico destinato a permettere un rapido scambio di informazioni tra gli Stati Membri (= tra le autorità ma anche a beneficio delle persone fisiche e/o enti interessati, che hanno libero accesso al RAPEX) circa l esistenza nell Unione Europea di prodotti che presentano un rischio grave. Il RAPEX riporta una descrizione dei prodotti, del produttore, dell origine del prodotto, del rischio posto, delle azioni e dei provvedimenti presi dalle autorità e/o dal produttore medesimo.

15 Nella vendita internazionale, la regolamentazione della garanzia dipende dalla legge applicabile al contratto internazionale di vendita,che sarà: a) la legge scelta dalle parti in sede di stipula del contratto; b) in mancanza di scelta ad opera delle parti, la legge che risulterà applicabile al contratto in base alle norme di diritto internazionale privato. c) Paese UE o EXTRA-UE

16 CONVENZIONE DI VIENNA DEL 1980 SULLA VENDITA INTERNAZIONALE DI MERCI Articolo Il venditore è responsabile, secondo il contratto e la presente Convenzione, di qualsiasi difetto di conformità esistente al momento del trasferimento dei rischi al compratore, anche se il difetto appare solo successivamente. 2. Il venditore è anche responsabile di qualsiasi difetto di conformità che si verifichi dopo il momento indicato al precedente paragrafo e che sia imputabile all'inesecuzione di uno qualsiasi dei suoi obblighi, compreso il venir meno ad una garanzia che, per un certo periodo, le merci si manterranno adeguate al loro uso normale o ad un uso speciale o conserveranno le qualità e le caratteristiche.

17 Articolo L'acquirente deve esaminare le merci o farle esaminare nel termine più breve possibile, considerate le circostanze. 2. Se il contratto implica un trasporto merci, l'esame può essere differito fino al loro arrivo a destinazione. 3. Le merci sono dirottate o rispedite dall'acquirente senza che questi abbia avuto ragionevolmente la possibilità di esaminarle e se, al momento della conclusione del contratto, il venditore conosceva o avrebbe dovuto conoscere la possibilità di tale dirottamento o di tale rispedizione, l'esame può essere differito fino all'arrivo delle merci alla loro nuova destinazione.

18 Articolo L'acquirente decade dal diritto di far valere un difetto di conformità se non lo denuncia al venditore, precisando la natura di tale difetto, entro un termine ragionevole, a partire dal momento in cui l'ha constatato o avrebbe dovuto constatarlo. 2. In tutti i casi l'acquirente decade dal diritto di far valere un difetto di conformità se non lo denuncia al più tardi entro un termine di due anni, a partire dalla data alla quale le merci gli sono state effettivamente consegnate, a meno che tale scadenza non sia incompatibile con la durata di una garanzia contrattuale.

19 Il profilo di responsabilità e la tempistica coinvolta è così labile che è NECESSARIO mettere sempre limiti CONTRATTUALI alle garanzie in termini di coperture e DI TEMPISTICHE

20 Esempi di clausole sul recall PRODUCT RECALLS (for licensing) 1. In the event (a) any regulatory agency issues a request, directive or order that the Product be recalled, or (b) a court of competent jurisdiction orders such a recall, or (c) the Licensor and the Licensee, after consultation with each other, determine that the Product should be recalled, the Parties shall take all appropriate corrective actions, and shall cooperate in the investigations surrounding the recall. 2. The Licensor shall handle notification of customers, return of Licensed Product from customers and all regulatory agency or court communications and requests regarding any recalls. 3. If such recall results from any cause or event arising from a sole responsibility of the Licensor as set forth in this Agreement or is solely attributable to the Licensor, the Licensor shall be responsible for all expenses of the recall and the Licensee may deduct any such expenses borne by the Licensee from any payment due to the Licensor under this Agreement. 4. If such recall results from a sole responsibility of the Licensee as set forth in this Agreement or is solely attributable to the Licensee, the Licensee shall be responsible for the expenses of recall and shall reimburse the Licensor for expenses incurred by the Licensor for such recall. 5. In the event that the recall results from any cause(s) or event(s) arising from a joint responsibility of the Parties or partially from a responsibility of the Licensor and partially from a responsibility of the Licensee, the Licensor and the Licensee shall be jointly responsible for expenses of the recall in proportion to each such Party's proximate fault with respect to the recall. 6. For the purpose of this Agreement, the expenses of recall shall include, without limitation, the expenses of notification and destruction or return of the recalled Product, cost for the Product recalled, legal expenses, inventory write-offs and penalties resulting from third-party contracts but shall not include any indirect or consequential losses or damages.

21 Esempi di clausole sul recall PRODUCT RECALLS (for distributorion) 1. The Manufacturer shall indemnify and hold the Distributor harmless against all damages and expenses incurred by the Distributor in connection with an epidemic failure among a population of Products, as a result of which the Distributor is required by applicable law or by agreement with the Manufacturer (i) to recall from Distributor s Customers or any other third party any Product furnished and (b) to repair, replace or refund the purchase price of such Products, provided that such recall and such repair, replacement or refund is based upon an epidemic failure which creates the reasonable possibility of injury to persons or property. 2. In the event that the Manufacturer s Products shall not be the sole cause for such action by the Distributor, then Distributor and the Manufacturer shall agree on an apportionment of Distributor s costs, damages and expenses in such a manner as is reasonable and equitable. 3. Failing the Parties to agree on the recall, or on the extent of such recall, or on the apportionment of the Distributor s cost for recalling the Products, the Parties shall refer the decision to the expert s determination as per Article <...> above. 4. During the continuance of this Agreement the Manufacturer shall prepare and maintain such records and reports pertaining to the manufacture, sale, use and characteristics of the Products furnished to the Distributor hereunder which are needed (i) to properly identify the batch of manufactured Products that are likely to be affected by the epidemic failure, and (ii) to assure adequate evidence of the quality controls, and their results thereof, on the whole of the Products furnished by the Manufacturer to the Distributor.

22 Esempi di clausole sul recall PRODUCT RECALLS (distribution) 1. The Distributor shall take all reasonable steps, including, without limitation, those measures prescribed by Supplier: (i) to ensure that all customers of the Distributor, who own or use Contract Products are advised of every applicable recall campaign of which the Distributor is notified by Supplier and (ii) to ensure that modifications notified by Supplier to the Distributor by means of service campaigns, recall campaigns, service programs or otherwise, are made to Contract Products sold or serviced by the Distributor. 2. Without the prior consent of the Supplier, the Distributor shall not disclose to any third party the information contained in service campaign, recall campaign or service program literature. 3. The Distributor shall immediately inform the Principal of any safety concern or potential safety-related concern that arises with respect to any Contract Product.

23 Clausola di garanzia standard per Venditore Garanzia dei Prodotti Il VENDITORE garantisce che i Prodotti saranno conformi alla quantità e alla descrizione contenute nell Ordine Confermato /oppure/ nell Allegato X- e/o altrimenti concordate tra le Parti nonché esenti da difetti di fabbricazione. La garanzia ha una durata di ( ) mesi dalla data di spedizione dei Prodotti. /oppure/ La data di scadenza della garanzia corrisponde alla data di scadenza dei Prodotti indicata sugli stessi. Product Warranty The SELLER warrants that the Products will conform to the quantity and the description set out in the Confirmed Order /oppure/ in Annex Xand/ or otherwise agreed between the Parties, and that the same will be free from manufacturing defects. The warranty period is ( ) months from the date of delivery of the Products. /oppure/ The warranty period will expire on the best before date marked on the Products.

24 L ACQUIRENTE dovrà esaminare, o far esaminare, i Prodotti nel più breve tempo possibile e avrà l onere di comunicare al VENDITORE, mediante fax o e- mail, eventuali difformità o difetti dei Prodotti entro e non oltre i seguenti termini, a pena di decadenza della garanzia e dall esercizio dei relativi diritti: difformità di tipologia o di quantità: entro ( ) giorni da ; ulteriori difformità o difetti palesi: entro ( ) giorni da ; difformità o difetti occulti: entro ( ) giorni da The BUYER shall examine the Products or have them examined in the shortest time possible and shall notify the SELLER, by fax or , of non-conformities or defects of the Products by and no later than the following terms, failing to do so will result in the lapse of the warranty and the unenforceability of the warranty rights: differences in type or quantity: ( ) days from ; other patent non-conformities or defects: ( ) days from ; hidden non-conformities or defects: ( ) days from.

25 If you are a BIG SHOT ARTICLE x -WARRANTY x.1 Contract Products supplied by CANISTRACCI and /or by the Affiliates to the Dealer are guaranteed for the period of time and according to terms established in the warranty coupon, contained in the service booklet, to be delivered to customers as well as in compliance with the provisions as per Enclosure G ('Warranty conditions"). Tyres are excluded from the warranty. The warranty covers only: 1) the supply and replacement free of charge of any part which cannot be repaired and needs replacing by reason of ascertained defective material, and 2) repair of any faulty part which can be re-used, provided that such replacing or repair is carried out after investigations to be performed by an CANISTRACCI technician. No claim, dispute or question of any nature arising out or in connection with the warranty shall be the basis for the termination of this Agreement, or for a claim for damages or for delay in payments by the Dealer. Delay in the execution of the work under warranty does not in any case give the right to any indemnity or any extension of the warranty period. The warranty shall not be valid if the Contract Products a) are used not in compliance with the CANISTRACCI instruction ; b) have been altered in any way ; c) have been repaired or dismounted, even partially by repairers other then those within CANISTRACCI organization or their bodies have been fitted by bodybuilders, outside the organization of CANISTRACCI and without CANISTRACCI' approval. The warranty period runs from the date upon which the Contract Product, being a commercial vehicle, is delivered to the customer, provided that such delivery occur not later than 6 months from the date of their delivery to the Dealer and that during this period the commercial vehicles have been regularly maintained by the Dealer as per CANISTRACCI instructions. Failing the Dealer to comply with the said obligations, any expenses incurred by the Dealer for service of said Contract Product shall not be chargeable to CANISTRACCI.

26 The warranty shall not be valid if the Contract Products a) are used not in compliance with the CANISTRACCI instruction ; b) have been altered in any way ; c) have been repaired or dismounted, even partially by repairers other then those within CANISTRACCI organization or their bodies have been fitted by bodybuilders, outside the organization of CANISTRACCI and without CANISTRACCI' approval. The warranty period runs from the date upon which the Contract Product, being a commercial vehicle, is delivered to the customer, provided that such delivery occur not later than 6 months from the date of their delivery to the Dealer and that during this period the commercial vehicles have been regularly maintained by the Dealer as per CANISTRACCI instructions. Failing the Dealer to comply with the said obligations, any expenses incurred by the Dealer for service of said Contract Product shall not be chargeable to CANISTRACCI. The warranty terms may be modified by CANISTRACCI at any time by 90 days prior written notice The Dealer undertakes to 1) Deliver, or have delivered to the customer for each new vehicle sold a copy of the "warranty booklet" duly filled in, consisting of i) warranty document with terms and conditions ; ü) Predelivery inspection ("PDI") coupon for the inspections to be carried out before delivery to the customer and to be performed free of any charge for the customer and at the Dealer's expenses ; iii) "service coupon" for the initial period of the use of the vehicle to be performed as above mentioned for the PDl ; iv) Any periodical service coupon for inspections and maintenance, to be charged to the customer. 2) Observe and have observed all terms and conditions quoted in the "warranty booklet" and in particular perform or have performed free of any charge, at his own workshop or at the workshop of sales network, the operations fisted in the service coupon and any work under the warranty on vehicles in the "free service coupon" whether supplied by the Dealer or not.

27 When the Dealer performs the operations scheduled in the "service coupon" and "PDI coupon" on vehicles sold by the Dealer itself or its network, the expenses shall be born by the Dealer. - When the Dealer performs the operations scheduled on the "service coupon" and "PDI coupon" on vehicles bearing the CANISTRACCI Trademarks and other then those sold by the Dealer, expenses shall be reimbursed to the Dealer as follows 10 i) the Dealer is entitled to and shall debit the relevant cost to the CANISTRACCI dealer operating in the same Country who sold the vehicle which the above coupon is referred to ; or ii) the Dealer is entitled to and shall debit the relevant cost to CANISTRACCI (Service Department) when the vehicle which the above coupon is referred to was sold by CANISTRACCI in the Territory ; CANISTRACCI or an Affiliate or another CANISTRACCI dealer outside the Territory ; an CANISTRACCI dealer in the same Country, no being part of CANISTRACCI distribution network anymore. The cost of above mentioned service coupons shall be determined in accordance with CANISTRACCI regulations and has to be claimed against presentation of proper documentation for the work carried out within the warranty terms on vehicles sold either by itself or by others and in compliance with the provisions of Enclosure H ("After Sales Service"). Conversely the Dealer shall reimburse the cost of the full service (according to the same procedure) to any organization which carry out said operation on vehicles sold by the Dealer In order to allow to the Dealer to duly comply with the obligations concerning after sales service to the Contract Products sold in the Territory under this Agreement, CANISTRACCI could provide free of charge technical documentations as well as specific tools, as required for a proper after sales service of any CANISTRACCI commercial vehicle introduced in the Territory and sold by CANISTRACCI and the Affiliates to the Dealer, according to terms and relevant quantities as from time to time agreed by and between CANISTRACCI and the Dealer from time to time. 16AThe warranty as referred to in article herein above represents the full responsibility of CANISTRACCI and the Affiliates in relation to the Contract Products supplied to the Dealer, in lieu of any other expressed or implied warranty, condition, liability or guarantee with respect to Contract Products or any part thereof and including any implied warranty of fitness or merchant ability.

28 Exclusion and limitation of liability 1.1. Neither Party shall be liable to the other for any economic, consequential or other losses including loss of reputation, profit or goodwill whether resulting from misrepresentation, misdescription, breach of contract, breach of duty or other act or omission (unless fraudulent) however caused Nothing in these Conditions shall limit the right of either Party to seek to recover damages for personal injury or death occasioned by breach of contract or breach of duty by the other Party, its employees or agents. or 1.1. The liability of the X (and of any sub-contractor) under or in connection with this Agreement for the provision of the Services whether arising in contract, tort, negligence, breach of statutory duty or otherwise howsoever shall not exceed [the amount of professional negligence insurance cover carried by X which shall not be less than [...] or a refund of that part of the Fee for the Services which has been paid by Y to X under this Agreement. The relevant Fee for the purpose of this Clause [...] will be that which relates to the particular Services in respect of which a successful claim is brought by Y] X shall not be liable to Y for any indirect, consequential or economic loss including but not limited to damage, costs or expenses of any description, loss of profit, business, goodwill, turnover or any other loss arising from its performance or non-performance of its obligations in connection with this Agreement whether arising from breach of contract, tort, breach of duty, negligence or any other cause of action. Nothing in this Clause [...] shall limit or remove X s liability for causing personal injury or death.

29 Inspection and Testing. Within 30 days after the Effective Date, Vendor and Purchaser shall agree upon Product inspection and testing procedures to be performed by Purchaser, and such inspection and testing procedures shall become a part of this Agreement as Exhibit A. For 30 days following receipt by Purchaser of any Components from Vendor (the "Test Period"), Purchaser shall have the right, solely at Purchaser's expense, to count, inspect, and test such Components in accordance with such agreed-upon inspection and testing procedures. If any Product fails such inspection and testing, and such failure is not, in whole or in part, the direct or indirect result of Purchaser's negligence or misuse (including, without limitation, Purchaser's failure to properly store the Product while in Purchaser's possession), then Purchaser shall immediately notify Vendor of such failure, and Vendor shall, at Vendor's option after confirming such failure, either (a) promptly repair or replace any such Product without additional charge, or (b) refund the purchase price of such Product. In such event, Vendor shall accept the return of such Product and pay the shipping costs for (i) the return to Vendor of such Product, and (ii) the delivery to Purchaser of the repaired or replacement Product, if any. If Purchaser fails to notify Vendor during the Test Period for any Product of a failure of such inspection and testing, such Product shall be deemed accepted by Purchaser. Inspection, testing, acceptance, or use of the Components, or failure to do the same, on any occasion shall not affect Vendor's obligation under any warranty contained herein or any other rights or remedies available to Purchaser whether at law or in equity, and such warranties, rights, and remedies shall survive such inspection, testing, acceptance, and use.
