OFFER, CONFIRMATION OR AGREEMENT Le presenti condizioni generali di vendita di Phoenix Mecano S.r.l. (le Condizioni Generali ) si applicano e formano parte integrante di tutte le quotazioni e offerte fatte da Phoenix Mecano S.r.l. ( Phoenix Mecano ), di tutte le accettazioni, i riconoscimenti e le conferme di Phoenix Mecano agli ordini dell Acquirente e di tutti i contratti ( Contratti ) relativi alla vendita da parte di Phoenix Mecano e all acquisto da parte dell Acquirente di beni e servizi ( Prodotti ), salvo e nel limite in cui Phoenix Mecano abbia in maniera esplicita, per iscritto, convenuto diversamente ovvero le parti non abbiano definito un contratto quadro di subfornitura. Tutti i termini e le condizioni stabiliti in uno o più documenti emessi dall Acquirente sia prima che dopo l emissione di qualsiasi documento da parte di Phoenix Mecano che si riferisca alle presenti Condizioni Generali sono espressamente rigettati e non accettati da Phoenix Mecano, e detti termini non saranno in alcun modo applicabili a nessuna vendita fatta da Phoenix Mecano all Acquirente e non saranno in alcun modo vincolanti per Phoenix Mecano. Le offerte di Phoenix Mecano sono valide per il solo periodo di tempo stabilito da Phoenix Mecano nell offerta e se il periodo non sia specificato, fino a trenta giorni dalla data dell offerta e, tuttavia, tutte le offerte sono revocabili da Phoenix Mecano in ogni momento anteriore al ricevimento da parte di Phoenix Mecano dell accettazione dell Acquirente. 2. PREZZI I Prezzi in ogni offerta, conferma o Contratto sono espressi in Euro, con consegna EXW (secondo gli INCOTERMS nell ultima versione) presso la sede di Phoenix Mecano o altro sito di produzione, o altro sito indicato da Phoenix Mecano, salvo diverso accordo scritto fra l Acquirente e Phoenix Mecano e non includono tasse, diritti o simili tributi, vigenti ora o in seguito e applicabili ai Prodotti, né ogni altra voce di costo. Phoenix Mecano aggiungerà tasse, diritti e simili tributi al prezzo di vendita quando sia tenuta a pagarli o legittimata a raccoglierli in base alla legge e saranno pagati dall Acquirente insieme al These terms and conditions of commercial sale of Phoenix Mecano S.r.l. ( Phoenix Mecano ), all acceptances, acknowledgements and confirmations by Phoenix Mecano of any orders by Buyer and any agreements ( Agreement(s) ) regarding the sale by Phoenix Mecano and purchase by Buyer of goods and services ( Products ), unless and to the extent Phoenix Mecano explicitly agrees otherwise in writing or the parties have executed a framework subsupply agreement. Any terms and conditions set forth on any document or documents issued by Buyer either before or after issuance of any document by Phoenix Mecano setting forth or referring to these Terms and Conditions are hereby explicitly rejected and disregarded by Phoenix Mecano, and any such terms shall be wholly inapplicable to any sale made by Phoenix Mecano to Buyer and shall not be binding in any way on Phoenix Mecano. Phoenix Mecano offers are open for acceptance within the period stated by Phoenix Mecano in the offer or, when no period is stated, within thirty (30) days from the date of the offer, but any offer may be withdrawn or revoked by Phoenix Mecano at any time prior to the receipt by Phoenix Mecano of Buyer s acceptance thereof. 2. PRICING Prices in any offer, confirmation or Agreement are in Euros, based on delivery Ex Works (INCOTERMS latest version) Phoenix Mecano manufacturing facility or other facility designated by Phoenix Mecano, unless agreed otherwise in writing between Buyer and Phoenix Mecano and do not include any taxes, duties or similar levies, now or hereafter enacted, applicable to the Products or any other expenses. Phoenix Mecano will add taxes, duties and similar levies to the sales price where Phoenix Mecano is required or enabled by law to pay or collect them and these will be paid by Buyer together with the price.

PAGAMENTO (a) Salvo diverso accordo scritto fra l Acquirente e Phoenix Mecano, Phoenix Mecano emetterà fatture all Acquirente sulla base del prezzo dei Prodotti, alla consegna dei Prodotti conformemente agli INCOTERMS applicabili. Il pagamento sarà anticipato, salvo diverso accordo scritto fra l Acquirente e Phoenix Mecano. Tutti i pagamenti saranno effettuati all indirizzo indicato da Phoenix Mecano. Se le consegne sono ripartite, le fatture saranno emesse separatamente e i pagamenti saranno effettuati quando dovuti. Nessuno sconto sarà effettuato in caso di pagamento anticipato, salvo diverso accordo scritto fra l Acquirente e Phoenix Mecano. Oltre ai diritti e ai rimedi che Phoenix Mecano può attivare in base alla legge, matureranno e saranno applicati interessi sui ritardi nei pagamenti come previsto dall art. 5 del D.Lgs. 231/2002, al tasso ufficiale BCE, aumentato di 7 punti, nel limite in cui sia permesso dalla legge, dalla data di esigibilità del credito fino all avvenuto pagamento del totale. (b) Tutte le consegne di Prodotti accettate da Phoenix Mecano saranno soggette all approvazione dell Ufficio Crediti di Phoenix Mecano. Se, in ogni momento, nell opinione di Phoenix Mecano le condizioni finanziarie dell Acquirente non giustificano la produzione o la consegna dei Prodotti nei termini di pagamento di cui sopra, Phoenix Mecano potrà esigere pagamenti in anticipo parziali o totali o l applicazione di altri termini, quale condizione per la consegna e potrà sospendere, ritardare o annullare qualsiasi affidamento, consegna o altra prestazione da parte di Phoenix Mecano. (c) Nel caso di inadempimento da parte dell Acquirente nel pagamento di compensi o altri diritti dovuti e nel caso di qualsiasi altro inadempimento, Phoenix Mecano avrà il diritto di rifiutare di effettuare altre prestazioni e/o consegna di Prodotti fino a che i pagamenti siano stati effettuati e potrà sospendere, ritardare o annullare qualsiasi affidamento, consegna o altra prestazione. Detto diritto si cumulerà e non sostituirà i diritti e i rimedi a disposizione di Phoenix Mecano in base al Contratto o alla legge. 4. CONSEGNA E QUANTITA (a) Unless agreed otherwise between Phoenix Mecano and Buyer in writing, Phoenix Mecano may invoice Buyer for the price of the Products delivered upon delivery of the Products in accordance with the applicable INCOTERM. Advanced payment is required unless agreed otherwise between Phoenix Mecano and Buyer in writing. All payments shall be made to the designated Phoenix Mecano address. If deliveries are made in installments, each installment may be separately invoiced and shall be paid for when due. No discount is allowed for early payment unless agreed to in writing by Phoenix Mecano. In addition to any other rights and remedies Phoenix Mecano may have under applicable law, interest will accrue on all late payments, as per section 5 of the Legislative Decree 231/2002, at a rate equal to the official ECB rate plus 7% or to the extent permitted by applicable law, from the due date until payment in full. (b) All deliveries of Products agreed to by Phoenix Mecano shall at all times be subject to credit approval of Phoenix Mecano. If, in Phoenix Mecano judgment, Buyer s financial condition at any time does not justify production or delivery of Products on the above payment terms, Phoenix Mecano may require full or partial payment in advance or other payment terms as a condition to delivery, and Phoenix Mecano may suspend, delay or cancel any credit, delivery or any other performance by Phoenix Mecano. (c) In the event of any default by Buyer in the payment of any fees or charges due, or any other default by Buyer, Phoenix Mecano shall have the right to refuse performance and/or delivery of any Products until payments are brought current and Phoenix Mecano may suspend, delay or cancel any credit, delivery or any other performance by Phoenix Mecano. Such right shall be in addition to, and not in lieu of, any other rights and remedies available under the Agreement or at law. 4. DELIVERY AND QUANTITIES (a) Products shall be delivered Ex Works (INCOTERMS latest version) as designated by Phoenix Mecano, unless otherwise agreed in writing. Delivery dates communicated or acknowledged by Phoenix Mecano are approximate only, and Phoenix Mecano shall not be liable for, nor shall Phoenix Mecano be in breach of its obligations to Buyer, for any delivery made within a reasonable time before or

Le date di consegna comunicate o accettate da Phoenix Mecano sono puramente approssimative e Phoenix Mecano non risponderà, né sarà responsabile per l inadempimento delle proprie obbligazioni nei confronti dell Acquirente, per le consegne che avvengano in date anteriori o successive alla data comunicata, se ragionevoli. Phoenix Mecano si impegna a effettuare tutti gli sforzi commercialmente ragionevoli per rispettare la data di consegna comunicata o accettata, sempre che l Acquirente fornisca tutte le informazioni relative all ordine e alla consegna con il necessario preavviso, rispetto alla data prevista per la consegna. (b) L Acquirente comunicherà immediatamente a Phoenix Mecano per iscritto la mancata consegna e concederà un termine di 30 giorni per porre rimedio. In caso di mancata consegna entro detto termine di 30 giorni, l Acquirente a sua scelta potrà recedere parzialmente dal relativo Contratto per la parte relativa ai Prodotti non consegnati. (c) Il rischio per la perdita dei Prodotti passerà in capo all Acquirente all avvenuta Consegna da parte di Phoenix Mecano conformemente agli INCOTERMS applicabili. (d) Se l Acquirente non sia in grado di ricevere la consegna dei Prodotti ordinati, Phoenix Mecano avrà facoltà di affidare i Prodotti in deposito a spese dell Acquirente. (e) Nel caso in cui la produzione Phoenix Mecano subisca per qualsiasi motivo dei tagli, Phoenix Mecano avrà il diritto, a sua sola discrezione, di allocare la produzione e i Prodotti disponibili tra i vari clienti, vendendo e consegnando, se del caso, all Acquirente una quantità minore di Prodotti, rispetto a quanto specificato nel Contratto, senza essere responsabile nei confronti dell Acquirente per i danni che possano risultarne. 5. FORZA MAGGIORE Phoenix Mecano non sarà responsabile per inadempimenti o ritardi nell esecuzione se: (i) detto inadempimento o ritardo derivi da interruzione nel processo produttivo dei Prodotti, o (ii) detto inadempimento o ritardo derivi da cause di Forza Maggiore come specificato qui di seguito e/o in base alla legge. (d) If Buyer fails to take delivery of Products ordered, then Phoenix Mecano may deliver the Products in consignment at Buyer s cost. (e) In the event Phoenix Mecano production is curtailed for any reason, Phoenix Mecano shall have the right to allocate its available production and Products, in its sole discretion, among its various customers and as a result may sell and deliver to Buyer fewer Products than specified in the Agreement, as the case may be, without being responsible or liable to Buyer for any damage resulting therefrom. 5. FORCE MAJEURE Phoenix Mecano shall not be liable for any failure or delay in performance if: (i) such failure or delay results from interruptions in the Product manufacturing process; or (ii) such failure or delay is caused by Force Majeure as defined below and/or by law. In case of such a failure as set forth above, the performance of the relevant part(s) of the Agreement will be suspended for the period such failure continues, without Phoenix Mecano being responsible or liable to Buyer for any damage resulting therefrom. The expression "Force Majeure" shall mean and include any circumstances or occurrences beyond Phoenix Mecano' reasonable control whether or not foreseeable at the time of the Agreement as a result of which Phoenix Mecano cannot reasonably be required to execute its obligations including force majeure and/or default by one of Phoenix Mecano suppliers. In

Nel caso in cui la causa di Forza Maggiore si protragga per un periodo di tre mesi consecutivi (o nel caso in cui sia ragionevole attendersi un ritardo da parte di Phoenix Mecano di tre mesi consecutivi), Phoenix Mecano avrà il diritto di risolvere in tutto o in parte il Contratto, senza che Phoenix Mecano possa considerarsi responsabile o tenuta per il danno che ne derivi all Acquirente. 6. DIRITTI RELATIVI A SOFTWARE, DOCUMENTAZIONE E PROPRIETA INTELLETTUALE Alle condizioni qui contenute, la vendita di beni da parte di Phoenix Mecano comporta la licenza, limitata, non esclusiva e non trasferibile all Acquirente dei diritti di proprietà intellettuale di Phoenix Mecano e/o sue consociate utilizzati nei beni, di usare e rivendere i beni come venduti da Phoenix Mecano all Acquirente. Se un software e/o documentazione siano inclusi o consegnati con un bene venduto da Phoenix Mecano all Acquirente, la vendita di detti beni non costituirà il trasferimento della proprietà di diritti o della titolarità di detti software e/o documentazione all Acquirente, ma, alle condizioni qui contenute, comporterà una licenza nonesclusiva e non trasferibile all Acquirente ai sensi dei diritti di proprietà intellettuale di Phoenix Mecano utilizzati nel software di usare detti software e/o documentazione in relazione e come inclusi o consegnati con i beni forniti da Phoenix Mecano a terze parti. Nonostante qualsiasi indicazione contraria qui contenuta, i presenti Termini e Condizioni non dovranno essere interpretati in modo tale da conferire alcun diritto, licenza od esenzione, sia direttamente che implicitamente, all Acquirente o a terzi ai sensi dei diritti di proprietà intellettuale di Phoenix Mecano e/o di terzi diversi da quanto esplicitamente conferito secondo i presenti Termini the event that the Force Majeure extends for a period of three (3) consecutive months (or in the event that the delay is reasonably expected by Phoenix Mecano to extend for a period of three (3) consecutive months), Phoenix Mecano shall be entitled to cancel all or any part of the Agreement without any liability towards Buyer. 6. RIGHTS IN SOFTWARE, DOCUMENTATION AND INTELLECTUAL PROPERTY Subject to the provisions set forth herein, the sale by Phoenix Mecano of any goods implies the non exclusive and non transferable limited license to Buyer under any of Phoenix Mecano and/or its affiliates intellectual property rights ( Phoenix Mecano IPR ) used in the goods to use and resell the goods as sold by Phoenix Mecano to Buyer. To the extent that software and/or documentation is embedded in or delivered with any goods sold by Phoenix Mecano to Buyer, the sale of such goods shall not constitute the transfer of ownership rights or title in such software and/or documentation to Buyer, but, subject to the provisions set forth herein, shall only imply a nonexclusive and non transferable license to Buyer under Phoenix Mecano IPR used in the software to use such software and/or documentation in conjunction with and as embedded in or delivered with the goods as supplied by Phoenix Mecano to Buyer. Notwithstanding anything to the contrary herein, these Terms and Conditions shall not be construed as conferring any right, license or immunity, either directly or by implication, estoppel or otherwise to Buyer or any third party under any Phoenix Mecano IPR or intellectual property rights of any third party other than explicitly granted under these Terms and Conditions. Buyer shall not: (a) modify, adapt, alter, translate, or create derivative works from any software residing in or provided by Phoenix Mecano in conjunction with any goods; (b) assign, sublicense, lease, rent, loan, transfer, disclose, or otherwise make available such software; (c) merge or incorporate such software with or into any other software; or (d) reverse assemble, decompile, disassemble, or otherwise attempt to derive the source code for such software without written authorization from Phoenix Mecano except as explicitly allowed under applicable law. Buyer shall reproduce, without any amendments or changes thereto, any proprietary rights legends of Phoenix Mecano and/or its affiliates or its third party suppliers in any software or documentation provided by

L Acquirente non: (a) modificherà, adatterà, altererà, tradurrà, o creerà opere derivative di software, di proprietà e/o forniti da Phoenix Mecano in relazione ai beni; (b) cederà, sub licenzierà, darà in locazione, noleggerà, darà in pegno, trasferirà, diffonderà, o in altro modo renderà disponibile detto software; (c) unirà o incorporerà detto software con o in un altro software; o (d) assemblerà, decompilerà, disassemblerà, o tenterà in altro modo di derivare il codice sorgente per detto software, senza la previa autorizzazione scritta di Phoenix Mecano, a meno che sia legittimato a ciò in base alla legge. L Acquirente riprodurrà, senza cambiamenti o modifiche, le frasi relative ai diritti di proprietà intellettuale di Phoenix Mecano e/o sue consociate o delle terze parti sue fornitrici, nei software o documentazione forniti da Phoenix Mecano. Nel caso, si applicheranno le condizioni di licenza delle terze parti. Se il copyright nel software è di proprietà di terzi, si applicheranno al software di tali terzi i termini e le condizioni di licenza di questi ultimi invece dei Termini e Condizioni qui delineate. 7. LIMITI ALLA GARANZIA (a) Phoenix Mecano garantisce che, in caso di uso normale e conforme alle prescrizioni d uso dei Prodotti, (esclusi i software che non siano inclusi o consegnati con i beni da Phoenix Mecano o i software che siano soggetti al diritto d autore di terzi) per un periodo di 12 mesi dalla consegna all Acquirente (o per il diverso periodo concordato per iscritto fra le parti, o come comunicato per iscritto da parte di Phoenix Mecano al momento della vendita), i Prodotti saranno esenti da difetti materiali e di produzione e che saranno conformi alle specifiche Phoenix Mecano relative a quel Prodotto, o alle diverse specifiche che Phoenix Mecano abbia accettato per iscritto, se del caso. I costi per l Acquirente del lavoro per lo (s)montaggio, e/o (dis)installazione dei Prodotti riconosciuti come difettosi sono da intendessi come ricompresi nelle attività di ripristino di cui infra. La denuncia di eventuali difetti andrà effettuata entro 8 giorni dalla scoperta (ai sensi dell art. 1495, I co. cod.civ.). La sola obbligazione di Phoenix Mecano e il solo diritto dell Acquirente con riguardo ai reclami relativi alla garanzia, saranno limitate, a scelta di Phoenix Mecano, alla (1) riparazione o (2) sostituzione del prodotto difettoso o non conforme o (3) al rimborso del prezzo d acquisto. If and to the extent copyright in the software is owned by third parties, the license terms of these third parties shall apply instead of the present Terms and Conditions to such third party software. 7. LIMITED WARRANTY AND DISCLAIMER (a) Phoenix Mecano warrants that under normal use also in accordance with the applicable prescriptions by Phoenix Mecano, the Products (excluding any software that is not embedded in or delivered with any goods by Phoenix Mecano or software which is subject to copyright owned by a third party) shall, at the time of delivery to Buyer and for a period of twelve (12) months from the date of delivery (or such other period as may be agreed upon in writing by the parties, or as communicated in writing at sale by Phoenix Mecano), be free from defects in material or workmanship and shall substantially conform to Phoenix Mecano specifications for such Product, or such other specifications as Phoenix Mecano has agreed to in writing, as applicable. Labor costs, (de)mounting and/or (de)installation are excluded from this warranty. Claims of defective Products shall be made within 8 days as from discovery pursuant and to the effects of section 1495 of the Italian Civil Code. Phoenix Mecano sole and exclusive obligation, and Buyer s sole and exclusive right, with respect to claims under this warranty shall be limited, at Phoenix Mecano option, to (1) repair or (2) provide a replacement of the defective or non conforming Product or (3) to an appropriate credit for the purchase price thereof. Phoenix Mecano will have a reasonable time to repair, replace or credit. Phoenix Mecano is entitled at its option to replace the defective or non conforming Product(s) with a product that has minor deviations in design and/or specifications not affecting the functionality of the agreed Product(s). The nonconforming or defective Products shall become Phoenix Mecano' property as soon as they have been replaced or credited. (b) Buyer may ship Products returned under warranty to Phoenix Mecano designated facility only in conformance with Phoenix Mecano then current return material authorization policy. Where a warranty claim is justified, Phoenix Mecano will pay for freight expenses. Buyer shall pay for returned Products that are not found to be defective or non conforming together with the freight, testing and handling costs associated therewith. (c) Notwithstanding the foregoing, Phoenix Mecano shall have no obligations under warranty if the alleged defect or

I Prodotti difettosi o non conformi torneranno di proprietà di Phoenix Mecano non appena sostituiti o rimborsati. (b) L Acquirente spedirà i Prodotti restituiti in base alla garanzia, al sito indicato da Phoenix Mecano in conformità alla policy di Phoenix Mecano sull autorizzazione alla restituzione dei materiali, vigente in quel momento. Se un reclamo relativo alla garanzia sia giustificato, Phoenix Mecano pagherà le spese di assicurazione. Nel caso in cui i Prodotti restituiti siano risultati non difettosi o conformi, l Acquirente pagherà le spese per la restituzione e quelle connesse per l assicurazione, per le verifiche e per la gestione. (e) Subject to the exclusions and limitations set forth in Section 9 of the Terms and Conditions, the foregoing states the entire liability of Phoenix Mecano and its affiliates in connection with defective or non conforming Products supplied hereunder. 8. INTELLECTUAL PROPERTY RIGHTS INDEMNITY (d) Fatte salve le norme imperative applicabili, la garanzia espressa assicurata sopra si applicherà direttamente soltanto all Acquirente e non ai clienti, agenti o rappresentanti dell Acquirente e tiene luogo a tutte le altre garanzie, espresse o implicite, incluse le garanzie relative all adeguatezza del prodotto a un uso particolare, alla sua commerciabilità, al fatto che non violi diritti di proprietà intellettuale., Tutte le altre garanzie non troveranno applicazione. (e) Salvo le limitazioni di cui all'articolo 9 delle Condizioni Generali, quanto sopra rappresenta la responsabilità complessiva di Phoenix Mecano e delle sue consociate in connessione con la difettosità e non conformità dei Prodotti forniti in base al Contratto. 8. INDENNITA PER DIRITTI DI PROPRIETA INTELLETTUALE a) Phoenix Mecano, a sue spese: (i) assumerà la difesa nei procedimenti legali che un terzo azioni nei confronti dell Acquirente qualora il procedimento riguardi la pretesa che un Prodotto fornito da Phoenix Mecano in base al Contratto viola direttamente il brevetto, il (a) Phoenix Mecano, at its sole expense, shall: (i) defend any legal proceeding brought by a third party against Buyer to the extent that the proceeding includes a claim that any Product as furnished by Phoenix Mecano under an Agreement directly infringes the claimant s patent, copyright, trademark, or trade secret; and (ii) hold Buyer harmless against damages and costs awarded by final judgment in such proceeding to the extent directly and solely attributable to such infringement. (b) Phoenix Mecano shall have no obligation or liability to Buyer under Section (a) (1) if Phoenix Mecano is not: (i) promptly notified in writing of any such claim; (ii) given the sole right to control and direct the investigation, preparation, defense and settlement of such claim, including the selection of counsel; and (iii) given full reasonable assistance and cooperation by Buyer in such investigation, preparation, settlement and defense; (2) if the claim is made after a period of three (3) years from the date of delivery of the Product. (3) to the extent that any such claim arises from: (i) modification of the Product if the claim of infringement would have been avoided by use of the unmodified Product; or (ii) design, specifications or instructions

7 copyright, il marchio o il segreto commerciale del reclamante e (ii) manterrà l Acquirente indenne per i danni e i costi che derivino dal giudizio finale se siano direttamente imputabili a detta violazione. b) Phoenix Mecano non sarà obbligata e responsabile nei confronti dell Acquirente in base all'articolo (a) 1) se Phoenix Mecano: (i) non riceverà la tempestiva comunicazione per iscritto del reclamo o dell azione; (ii) non avrà il diritto esclusivo e il controllo diretto sulle indagini, la preparazione, la difesa e la composizione della lite, inclusa la scelta del difensore e (iii) non riceverà la piena ragionevole assistenza e cooperazione dall Acquirente in dette indagini, preparazione, composizione e difesa; 2) se il reclamo sia proposto dopo un periodo di 3 (tre) anni dalla data della consegna del Prodotto. 3) se tale reclamo deriva da: (i) modifica del Prodotto se il reclamo sarebbe stato evitato utilizzando il Prodotto non modificato; o (ii) design, specifiche od istruzioni fornite dall Acquirente; 4) se il reclamo è basato direttamente o indirettamente sulla quantità o sul valore di prodotti fabbricati per mezzo dei Prodotti o se è basato sulla frequenza d uso o sulla quantità d uso del Prodotto indipendentemente dal fatto che in tale reclamo si sostenga che il Prodotto come tale, o il suo uso, violi o contribuisca a violare i diritti di proprietà intellettuale del ricorrente; 5) in caso di uso o distribuzione non autorizzati dei Prodotti o di uso oltre le specifiche del Prodotto; 6) se il reclamo deriva da fabbricazione, uso, vendita, offerta di vendita, importazione od altre disposizioni o promozioni dei Prodotti da parte dell Acquirente dopo che Phoenix Mecano abbia avvisato l Acquirente che quest ultimo deve cessare tali attività, a condizione che tale avviso venga fornito soltanto se il Prodotto è, o secondo Phoenix Mecano ragionevolmente diventerà, l oggetto di tale reclamo; 7) in caso di costi o spese sostenute dall Acquirente senza il preventivo consenso scritto di Phoenix Mecano; 8) se il reclamo è basato su prototipi o Software Open Source, o software forniti dall Acquirente o da suoi incaricati a Phoenix Mecano e/o sue consociate; 9) se il reclamo deriva da violazione o pretesa violazione di diritti di proprietà intellettuale di terzi che riguardino uno standard fissato da un ente standard e/o concordato tra almeno due società; 10) in caso di violazione dei diritti di proprietà intellettuale di terzi rispetto alla fabbricazione, ai test od all applicazione di ogni parte assemblata, circuito, furnished by Buyer; (4) to the extent the claim is based directly or indirectly upon the quantity or value of products manufactured by means of the Product or upon the frequency of use or the amount of use of the Product irrespective of whether such claim alleges that the Product as such, or its use, infringes or contributes to the infringement of any intellectual property rights of the claimant; (5) for unauthorized use or distribution of the Product or use beyond the specifications of the Product; (6) to the extent any such claim arises from Buyer's manufacture, use, sale, offer for sale, importation or other disposition or promotion of the Product after Phoenix Mecano notice to Buyer that Buyer should cease any such activity, provided such notice shall only be given if the Product is, or in Phoenix Mecano opinion is likely to become, the subject of such a claim of infringement; (7) for any costs or expenses incurred by Buyer without Phoenix Mecano prior written consent; (8) to the extent the claim is based on any prototypes, or Open Source Software, or software provided by Buyer or any of its designees to Phoenix Mecano and/or its affiliates; (9) to the extent any such claim arises from any infringement or alleged infringement of third party's intellectual property rights covering a standard set by a standard setting body and/or agreed between at least two companies, (10) for infringement of any third party's intellectual property rights covering the manufacture, testing or application of any assembly, circuit, combination, method or process in which the Product may have been used, or (11) for infringement of any third party's intellectual property rights with respect to which Phoenix Mecano or any of its affiliates has informed Buyer, or has published (in a datasheet or other specifications concerning the Product or elsewhere) a statement, that a separate license has to be obtained. For such claims of infringements referred to in this Section 8(b), Buyer shall indemnify Phoenix Mecano and its affiliates against and hold them harmless from any damages or costs arising from or connected with such claims and shall reimburse all costs incurred by Phoenix Mecano and its affiliates in defending any claim, demand, suit or proceeding for such infringement, provided Phoenix Mecano gives Buyer prompt notice in writing of any such suit or proceeding for infringement. (c) If any Product is, or in Phoenix Mecano opinion is likely to become, the subject of a claim of infringement as referred to under Section 8 (a) above or if Phoenix

8 combinazione, metodo o processo in cui il Prodotto possa essere stato utilizzato o 11) in caso di violazione dei diritti di proprietà intellettuale di terzi di cui Phoenix Mecano o una delle sue consociate abbia informato l Acquirente, o riguardo a cui abbia pubblicato (in un foglio di dati o in altre specifiche riguardanti il Prodotto od in altro documento) una dichiarazione secondo la quale sia stata ottenuta una separata licenza, Per i reclami o le violazioni di cui all articolo 8(b), l Acquirente risarcirà Phoenix Mecano e le sue consociate per, e le terrà indenni da, i danni e i costi derivanti da o relativi a tali reclami e rimborserà tutti i costi sostenuti da Phoenix Mecano e dalla sue consociate per la difesa nei reclami, nelle domande, nelle cause o nei procedimenti per tali violazioni, a condizione che Phoenix Mecano dia all Acquirente tempestivo avviso scritto di tali cause o procedimenti. c) Se un Prodotto sia o, nell opinione di Phoenix Mecano, possa diventare, oggetto di un reclamo per le violazioni di cui all'articolo 8 (a) sopra o se Phoenix Mecano riceve da un terzo un reclamo per violazione di un diritto di proprietà di un terzo in relazione ad uno dei Prodotti, Phoenix Mecano avrà il diritto, senza esserne obbligata né responsabile e a sua sola discrezione, di: (i) procurare all Acquirente il diritto di continuare a usare o vendere il Prodotto; (ii) sostituire il Prodotto con un Prodotto che non sia in violazione, o (iii) modificare il Prodotto in modo che il Prodotto modificato non violi i diritti di cui sopra, o (iv) riacquistare tale Prodotto dall Acquirente al prezzo iniziale pagato dall Acquirente meno il ragionevole deprezzamento o (v) sospendere o interrompere le forniture all Acquirente dei Prodotti o delle parti a cui tale avviso si riferisce o (vi) risolvere qualsiasi accordo che si riferisca a detto Prodotto. (d) Fatto salvo quanto previsto nell'articolo 9 delle Condizioni Generali, quanto sopra esaurisce la responsabilità e le obbligazioni di Phoenix Mecano nei confronti dell Acquirente e rappresenta il solo rimedio a disposizione dell Acquirente in relazione a violazioni reali o asserite di diritti di proprietà intellettuale o ogni altro genere di diritto. 9. LIMITAZIONE DI RESPONSABILITA (a) PHOENIX MECANO NON SARA RESPONSABILE PER LE PERDITE DI PROFITTO, IL MANCATO RISPARMIO, PERDITA DI REPUTAZIONE, PERDITA DI AVVIAMENTO, DANNI DIRETTI, INDIRETTI, Mecano receives from a third party claiming infringement of third party IPR in relation to any of the Products, Phoenix Mecano shall have the right, without obligation or liability and at its sole option, to: (i) procure for Buyer the right to continue to use or sell the Product; (ii) provide replacement Product with a non infringing product, or (iii) modify the Product in such a way as to make the modified Product non infringing; or (iv) repurchase such Product from the Buyer for the initial price paid by Buyer less reasonable depreciation; or (v) suspend or discontinue supplies to Buyer of the Products or parts to which such notice relates or (vi) terminate any Agreement to the extent related to such Product. (d) Subject to the exclusions and limitations set forth in Section 9 of the Terms and Conditions, the foregoing states Phoenix Mecano entire liability and obligation to Buyer and Buyer s sole remedy with respect to any actual or alleged infringement of any intellectual property rights or any other proprietary rights of any kind. 9. LIMITATION OF LIABILITY (a) PHOENIX MECANO SHALL NOT BE LIABLE FOR ANY LOST PROFITS, LOST SAVINGS, LOSS OF REPUTATION, LOSS OF GOODWILL, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT OR THE SALE OF ANY PRODUCTS OR SERVICES BY PHOENIX MECANO OR THE USE THEREOF WHETHER OR NOT SUCH DAMAGES ARE BASED ON TORT, WARRANTY, CONTRACT OR ANY OTHER LEGAL THEORY EVEN IF PHOENIX MECANO HAS BEEN ADVISED, OR IS AWARE, OF THE POSSIBILITY OF SUCH DAMAGES. PHOENIX MECANO AGGREGATE AND CUMULATIVE LIABILITY TOWARDS BUYER UNDER ANY AGREEMENT SHALL NOT EXCEED AN AMOUNT OF TEN PERCENT (10%) OF THE RELATED AGREEMENT. (b) Any Buyer s claim for damages must be brought by Buyer within ninety (90) days of the date of the event giving rise to any such claim, and any lawsuit relative to any such claim must be filed within one (1) year of the date of the claim. Any claims that have been brought or filed not in accordance with the preceding sentence are null and void. (c) The limitations and exclusions set forth above in this

9 CONSEQUENZIALI O SPECIALI CHE DERIVINO O SIANO IN CONNESSIONE CON IL CONTRATTO O LA VENDITA DI PRODOTTI O SERVIZI DA PARTE DI PHOENIX MECANO O DAL LORO USO, DI NATURA CONTRATTUALE O EXTRACONTRATTUALE O DERIVANTI DA OGNI ALTRA FONTE ANCHE SE PHOENIX MECANO NE SIA AVVISATA O SIA CONSAPEVOLE DELLA EVENTUALITA DI DETTI DANNI. LA RESPONSABILITA COMPLESSIVAMENTE ATTRIBUIBILE A PHOENIX MECANO NEI CONFRONTI DELL ACQUIRENTE SULLA BASE DEL CONTRATTO NON ECCEDERA LA SOMMA CORRISPONDENTE AL 10% DEL VALORE DEL CONTRATTO (b) Ogni reclamo dell Acquirente per danni dovrà essere denunciato entro 90 giorni dalla data dell evento che abbia dato luogo al reclamo e ogni azione legale relativa a detto reclamo dovrà essere iniziata entro un anno dalla data del reclamo. In mancanza l azione sarà nulla o invalida. (c) Le limitazione e le esclusioni nella presente Sezione 9 si applicano nel limite in cui questo sia permesso dalla legge. 10. CONFIDENZIALITA L Acquirente riconosce che tutti i dati tecnici, commerciali e finanziari comunicati all Acquirente da Phoenix Mecano e/o dalle consociate hanno carattere confidenziale. L Acquirente non comunicherà dette informazioni confidenziali a terzi e non userà dette informazioni confidenziali per scopi diversi da quelli concordati fra le parti e in conformità con le operazioni di acquisto previste nel Contratto. 11. CONTROLLI SU ESPORTAZIONE E IMPORTAZIONE L Acquirente è consapevole che alcune transazioni di Phoenix Mecano sono soggette a leggi e norme sul controllo delle esportazioni, comprese a titolo esemplificativo e non esaustivo le leggi e norme dell ONU, dell UE e degli USA sulle esportazioni (in seguito Regole sulle Esportazioni ) che vietano l esportazione o la deviazione di alcuni prodotti ed alcune tecnologie in determinati paesi. Tutte le obbligazioni di Phoenix Mecano riguardo all esportazione, alla ri Section 9 shall apply only to the extent permitted by applicable mandatory law. 10. CONFIDENTIALITY Buyer acknowledges that all technical, commercial and financial data disclosed to Buyer by Phoenix Mecano and/or its affiliates is the confidential information of Phoenix Mecano and/or its affiliates. Buyer shall not disclose any such confidential information to any third party and shall not use any such confidential information for any purpose other than as agreed by the parties and in conformance with the purchase transaction contemplated herein. 11. EXPORT/IMPORT CONTROLS Buyer understands that certain transactions of Phoenix Mecano are subject to export control laws and regulations, including but not limited to the UN, EU and the USA export control laws and regulations ( Export Regulations ), which prohibit export or diversion of certain products and technology to certain countries. Any and all obligations of Phoenix Mecano to export, re export or transfer Products as well as any technical assistance, training, investments, financial assistance, financing and brokering will be subject in all respects to such Export Regulations and will from time to time govern the license and delivery of Products and technology abroad by persons subject to the jurisdiction of the relevant authorities responsible for such Export Regulations. If the delivery of products, services and/or documentation is subject to the granting of an export or import license by certain governmental authorities or otherwise restricted or prohibited due to export/import control regulations, Phoenix Mecano may suspend its obligations and the Buyer's/end user's rights until such license is granted or for the duration of such restrictions or prohibitions. Furthermore, Phoenix Mecano may even terminate the relevant order in all cases without incurring any liability towards the Buyer or end user. Buyer warrants that it will comply in all respects with the export, re export and transfer restrictions set forth in such Export Regulations or in export licenses (if any) for every Product supplied to Buyer. Buyer accepts the responsibility to impose all export control restrictions to any third party if the items are transferred or re exported to third parties. Buyer shall take all actions that may be

10 esportazione o al trasferimento di Prodotti e all assistenza tecnica, ai training, agli investimenti, all assistenza finanziaria, all attività finanziaria e all intermediazione saranno soggette al rispetto di tali Regole sulle Esportazioni e periodicamente disciplineranno la licenza e la consegna dei Prodotti e delle tecnologie all estero da parte di persone soggette alla giurisdizione delle autorità responsabili di tali Regole sulle Esportazioni. Se la consegna dei prodotti, servizi e/o documenti sia soggetta a licenza da parte di determinate autorità governative per l esportazione o importazione o sia altrimenti limitata in base a leggi o regolamenti applicabili, Phoenix Mecano potrà sospendere l esecuzione delle proprie obbligazioni e dei diritti dell Acquirente/dell utente finale fino a che detta licenza sia concessa o per tutto il periodo in cui viga la restrizione o proibizione. Inoltre Phoenix Mecano potrà anche risolvere, in ogni caso, i relativi ordini, senza che sorgano responsabilità nei confronti dell Acquirente o dell utente finale. L Acquirente garantisce che rispetterà le restrizioni all esportazione, alla ri esportazione e al trasferimento delineate nelle Regole sulle Esportazioni o alle licenze di esportazione (se del caso) per ogni Prodotto fornito all Acquirente. L Acquirente accetta la responsabilità di imporre tutte le restrizioni sul controllo delle esportazioni ai terzi se i beni vengano trasferiti a o ri esportati verso tali terzi. L Acquirente porrà in essere ogni azione che possa ragionevolmente essere necessaria ad assicurare che nessun cliente/acquirente od utente finale contravvenga a tali Regole sulle Esportazioni. L Acquirente risarcirà Phoenix Mecano per ogni danno, diretto od indiretto, per le perdite, i costi (comprese le spese legali) ed ogni altra responsabilità derivante dai reclami risultanti da inadempienza dell Acquirente o del cliente o da mancato rispetto del presente articolo. L Acquirente riconosce che le obbligazioni contenute nel presente Contratto sopravvivranno alla risoluzione di ogni contratto o altro accordo con cui i prodotti, i software o le tecnologie siano stati forniti all Acquirente, Inoltre, in caso di conflitto tra le condizioni delineate nel presente Contratto con ogni altro documento avente valore tra l Acquirente e Phoenix Mecano, l Acquirente comprende che le condizioni del presente Contratto prevarranno il e saranno vincolanti per l Acquirente. L Acquirente non cederà diritti od obbligazioni derivanti dal Contratto, senza il previo consenso scritto di Phoenixreasonably necessary to ensure that no customer/purchaser or end user contravenes such Export Regulations. Buyer shall indemnify Phoenix Mecano against any and all direct, indirect and punitive damages, loss, costs (including attorney s fees and costs) and other liability arising from claims resulting from Buyer's or its customers breach or non compliance with this section. 12. ASSIGNMENT AND SETOFF Buyer shall not assign any rights or obligations under the Agreement without the prior written consent of Phoenix Mecano. Buyer shall have no right to withhold or reduce any payments or to offset existing and future claims against any payments due for Products sold under the Agreement or under any other agreement that Buyer may have with Phoenix Mecano or any of its affiliates may have and agrees to pay the amounts hereunder regardless of any claimed offset which may be asserted by Buyer or on its behalf. Buyer acknowledges that the obligations contained in this Agreement shall survive the termination of any agreement of other arrangement under which the products, software or technology was provided to Buyer. In addition, in the event of any conflict in the terms provided in this Agreement with any other document entered into between Buyer and Phoenix Mecano, Buyer understands that the terms of this Agreement shall control and be binding upon Buyer. 13. ANTI BRIBERY Buyer agrees that it now and in future shall comply with national law on prevention of bribery, as well as any other law transforming from ratification of the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions (including the US Foreign Corrupt Practices Act). In general, the law makes it illegal to bribe or make a corrupt payment to an Official for the purpose of obtaining or retaining business, directing business to any person, or securing any improper advantage. 12. CESSIONE E COMPENSAZIONE Buyer s failure to comply with any provision of this section is grounds for immediate termination of any Agreement by Phoenix Mecano (or its respective affiliate(s)), without Phoenix Mecano incurring any liability towards Buyer. In the event of such termination,

(i) Phoenix Mecano shall be under no obligation to supply any Product to Buyer, (ii) Buyer shall be responsible for and indemnify Phoenix Mecano for any damages, claims, penalties or other losses (including attorneys fees) that may be asserted against or incurred by Phoenix Mecano as a result of Buyer s breach of this section; and (iii) Phoenix Mecano shall be entitled to any other remedies available at law or in equity. The terms and conditions of this section shall survive any expiration or termination of this Agreement. 13. ANTI CORRUZIONE L Acquirente concorda che ora ed in futuro rispetterà le norme nazionali sulla prevenzione della corruzione, così come ogni altra norma derivante dalla ratifica della Convenzione OCSE contro la Corruzione dei Pubblici Ufficiali Stranieri nelle Operazioni Economiche Internazionali (compreso il Foreign Corrupt Practices Act degli Stati Uniti). In generale, è illegale corrompere o versare tangenti ad un pubblico funzionario allo scopo di ottenere o mantenere un business, di indirizzare il business verso una persona o di assicurarsi vantaggi impropri. Il mancato rispetto da parte dell Acquirente di una qualsivoglia delle disposizioni del presente articolo sarà motivo di risoluzione immediata di ogni Contratto da parte di Phoenix Mecano (o delle sue consociate), senza che comporti alcuna responsabilità in capo a Phoenix Mecano nei confronti dell Acquirente. In caso di tale risoluzione, (i) Phoenix Mecano non avrà alcun obbligo di fornire Prodotti all Acquirente, (ii) l Acquirente sarà responsabile e terrà indenne Phoenix Mecano per ogni danno, reclamo, penale od ogni altra perdita (comprese le spese legali) che possa essere avanzata contro o subita da Phoenix Mecano in conseguenza del mancato rispetto del presente articolo da parte dell Acquirente e (iii) Phoenix Mecano avrà diritto ad ogni altro rimedio disponibile in base alla legge. I Termini e le Condizioni del presente articolo sopravvivranno ad ogni forma di scadenza o risoluzione del presente Contratto. Phoenix Mecano eserciterà attività economiche soltanto con le società che rispettano la legge ed aderiscono agli standard ed ai principi etici. Nel caso in cui Phoenix Mecano ricevesse informazioni contrarie, Phoenix Mecano ne informerà l Acquirente e l Acquirente accetta sin d ora di cooperare e fornire ogni informazione che possa essere necessaria a consentire a Phoenix Mecano di decidere se le accuse ricevute siano fondate e se il Contratto debba continuare. Tali informazioni comprendono, a titolo esemplificativo e non esaustivo, Phoenix Mecano will only do business with those companies that respect the law and adhere to ethical standards and principles. Should Phoenix Mecano receive any information to the contrary, Phoenix Mecano will inform and Buyer agrees to cooperate and provide whatever information is necessary to allow Phoenix Mecano to decide whether there is any basis to any allegation received and whether the Agreement should continue. Such information includes, but is not limited to, books, records, documents, or other files. 14. GOVERNING LAW AND FORUM All offers, confirmations and Agreements are governed by and construed in accordance with the laws of Italy. All disputes arising out of or in connection with any Agreement shall first be attempted by Buyer and Phoenix Mecano to be settled through consultation and negotiation in good faith in a spirit of mutual cooperation. All disputes which cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy, provided that Phoenix Mecano shall always be permitted to bring any action or proceedings against Buyer in any other court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to any offer, confirmation or Agreement. Nothing in this Section 14 shall be construed or interpreted as a limitation on either Phoenix Mecano or Buyer s right under applicable law for injunctive or other equitable relief or to take any action to safeguard its possibility to have recourse on the other party. 15. BREACH AND TERMINATION Without prejudice to any rights or remedies Phoenix Mecano may have under the Agreement or at law, Phoenix Mecano may, by written notice to Buyer, terminate with immediate effect the Agreement or any part
