COMUNICATO STAMPA Pioneer Investments e Torre, società affiliata a Fortress Investment Group, siglano una partnership per la gestione e la distribuzione in Italia di prodotti finanziari immobiliari Milano, 28 Luglio 2008 - Pioneer Investment Management SGR p.a. (PIM) e Torre SGR SpA (Torre), società affiliata a Fortress Investment Group, hanno siglato oggi una partnership strategica per la gestione e la distribuzione in Italia di prodotti finanziari immobiliari, con l obiettivo di sviluppare ulteriormente le attività nel settore della gestione dei fondi immobiliari e di creare valore per i clienti e sottoscrittori. L operazione, subordinata all approvazione delle Autorità competenti, prevede il conferimento del business gestione di fondi immobiliari di PIM a Torre (società di gestione di fondi immobiliari interamente controllata da Fortezza RE S.a.r.l., a sua volta interamente controllata dai fondi gestiti da Fortress Investment Group). Per effetto di tale conferimento, PIM verrà a detenere una partecipazione in Torre pari al 37,5%, mentre Fortezza RE S.a.r.l. sarà l azionista di maggioranza con una partecipazione del 62,5%. PIM avrà un ruolo sostanziale nella governance di Torre ed opererà in esclusiva nella distribuzione dei prodotti finanziari immobiliari generati dalla partnership. Le parti concentreranno tutte le loro rispettive attività nel settore della gestione dei fondi immobiliari in Torre, con l obiettivo di raggiungere una massa gestita di 5 miliardi di Euro nei prossimi 5 anni. PRESS RELEASE Pioneer Investments and Torre, an affiliate of Fortress Investment Group, sign a partnership for the management and distribution in Italy of real estate financial products Milan, 28 July 2008 - Pioneer Investment Management SGR p.a. (PIM) and Torre SGR SpA (Torre), an affiliate of Fortress Investment Group, today signed a strategic partnership for the management and distribution in Italy of real estate financial products, with the aim to further develop the activities in the real estate funds management sector and create value for the clients and unit holders. The transaction, which is subject to the final authorization of the competent regulatory Authorities, contemplates the contribution of the PIM real estate fund management business to Torre (a real estate fund management company wholly controlled by Fortezza RE S.a.r.l., itself wholly owned by funds managed by Fortress Investment Group). As a result of the contribution, PIM will acquire a 37.5% stake in Torre, while Fortezza RE S.a.r.l. will be the majority shareholder with a 62.5% interest. PIM will play a substantial role in the governance of Torre SGR and will operate on an exclusive basis in the partnership real estate financial products distribution. The parties aim to focus all of their respective real estate fund management activities through Torre with a target of reaching Euro 5 billion in Asset under Management over the next five years.
