COMUNICATO STAMPA UniCredit: il CdA nomina Deputy CEO Sergio Ermotti, Paolo Fiorentino e Roberto Nicastro Il Consiglio di Amministrazione di UniCredit, nella riunione ordinaria del 17 luglio, ha approvato la proposta dell Amministratore Delegato Alessandro Profumo per la nomina a Deputy CEO con riporto diretto all AD di Sergio Ermotti, Paolo Fiorentino e Roberto Nicastro. I Deputy CEO avranno il compito di sostenere l AD nell attuazione del modello divisionale attraverso le differenti aree geografiche e nell esecuzione della strategia di Gruppo per le diverse linee di business. Allo scopo di proseguire il nostro track record di successo nel processo di integrazione, ma anche di capitalizzare le opportunità di crescita organica fra le divisioni e di generare produttività dalla razionalizzazione dei servizi, ha affermato il Presidente di UniCredit Dieter Rampl, il Consiglio ha accettato la proposta dell AD di chiamare tre dei nostri senior manager, tra i più autorevoli, capaci e di esperienza, a lavorare con lui per condividere alcune delle responsabilità del processo decisionale quotidiano. Sono felice che Sergio, Paolo e Roberto assumano un ruolo ancor più importante nella conduzione del business del Gruppo. I miei obiettivi sono rafforzare ed estendere ulteriormente il nostro modello divisionale, accelerare l introduzione dei nostri prodotti globali in tutti i paesi in cui operiamo e dare ulteriore impulso ai nostri sforzi verso l armonizzazione dell infrastruttura IT e delle operazioni di back-office. Sergio Ermotti è stato nominato Deputy CEO, con responsabilità sulle Divisioni Markets & Investment Banking, Corporate Banking e Private Banking. Vittorio Ogliengo continuerà a dirigere il Corporate Banking mentre la Divisione Private Banking continuerà a essere condotta da Dario Frigerio. Ermotti sarà assistito sulle questioni tedesche da Wolfgang Sprissler, CEO di HypoVereinsbank, alla luce dell importante presenza a Monaco della Divisione Markets & Investment Banking e della Divisione Corporate. Paolo Fiorentino è stato nominato Deputy CEO per le funzioni di Global Banking Services, così come per gli Affari Legali, diretti ad interim da Maurizia Angelo Comneno e per la Group Identity & Communications diretta da Marc Beckers, che
manterrà un riporto diretto all AD relativamente allo sviluppo delle strategie di Corporate Identity ed entrerà a far parte del Management Committee. Roberto Nicastro diventa Deputy CEO con responsabilità sulle Divisioni Retail, CEE e Poland Markets. Eric Hampel e Federico Ghizzoni continueranno a dirigere rispettivamente la Divisione CEE e la Divisione Poland Markets. Dario Frigerio manterrà un riporto diretto all AD per le proprie funzioni di CEO di Pioneer Global Asset Management e Responsabile della Divisione Asset Management. Questa soluzione renderà ancor più chiaro e rafforzerà ulteriormente l indipendenza e la governance di Pioneer e permetterà a Dario che è uno dei nostri manager più forti di consolidare e sviluppare la nostra strategia di crescita globale nell asset management, un area strategica di creazione di valore nel lungo termine del Gruppo, ha sottolineato Profumo. Le funzioni di governance rimarrano a diretto riporto dell AD sotto la direzione del Chief Financial Officer Ranieri de Marchis, del Chief Risk Officer Henning Giesecke e del Responsabile delle Risorse Umane Rino Piazzolla. La Compliance e gli Affari Societari sono stati strutturati in una funzione di governance separata, sempre a riporto dell AD, per evidenziare l importanza e il forte impegno nel mantenere i massimi standard di compliance ovunque il Gruppo operi. Maurizia Angelo Comneno dirigerà questa funzione ed entrerà a far parte del Management Committee. Infine, l M&A and Business Development, diretto da Marina Natale, riporterà anch esso all AD, mentre la responsabile dell Audit di Gruppo Elisabetta Magistretti continuerà a rispondere direttamente al Consiglio di Amministrazione di UniCredit. PRESS RELEASE UniCredit Board of Directors appoints Sergio Ermotti, Paolo Fiorentino and Roberto Nicastro as Deputy CEOs In its regular Board meeting of July 17, UniCredit Group Board of Directors approved CEO Alessandro Profumo s proposal to appoint Sergio Ermotti, Paolo Fiorentino and Roberto Nicastro as Deputy CEOs directly reporting to him. The Deputy CEOs will focus on supporting the Group CEO in executing the implementation of the Divisional model across the different geographies and in executing the Group s strategy across the different business lines. In order to continue our successful track record in integration, capitalize on crossdivisional organic growth opportunities, and extract productivity via service delivery rationalization said Group Chairman Dieter Rampl, the Board has accepted the CEO s recommendation to elevate three of our most talented, experienced and respected senior executives to work with him in sharing some of the day-to-day operational decision-making responsibilities, he commented. Sergio Ermotti is named Deputy CEO with responsibility for the Markets & Investment Banking, Corporate Banking, and Private Banking Divisions. Vittorio Ogliengo will continue to head up Corporate Banking. The Private Banking Division will continue to be run by Dario Frigerio.
Ermotti will be advised on German issues by HypoVereinsbank CEO Wolfgang Sprissler, in view of the important presence in Munich of both the Markets & Investment Banking and Corporate Banking Divisions. Paolo Fiorentino is appointed Deputy CEO for the Global Banking Services functions, as well as Legal Affairs, led by Maurizia Angelo Comneno on an interim basis, and Group Identity & Communications led by Marc Beckers who will also retain a direct reporting line to the CEO with respect to Corporate Identity strategy development and will become Management Committee member. Roberto Nicastro becomes Deputy CEO with responsibility for the Retail, CEE and the Poland Markets Divisions. Erich Hampel and Federico Ghizzoni continue to lead respectively the CEE and the Poland Markets Divisions. Dario Frigerio will continue his direct reporting line to Profumo for his responsibility as CEO for Pioneer Asset Management and Head of the Asset Management Division. This solution will further clarify and strengthen Pioneer s independence and governance, and allow Dario - who is one of our strongest executives - to consolidate and enhance our strategy of global growth in asset management, a strategic area of long term value creation for the Group, highlighted Profumo. The governance functions will continue to report directly to the CEO, with Chief Financial Officer Ranieri de Marchis, Chief Risk Officer Henning Giesecke, and Head of Human Resources Rino Piazzolla. Compliance and Corporate Affairs is now established as a separate governance function reporting to the CEO to signal the critical importance and strong commitment to keeping the highest compliance standards everywhere the Group operates. Maurizia Angelo Comneno will lead it and will become Management Committee member. Finally M&A and Business Development, led by Marina Natale, will report directly to the CEO, while the Group s Head of Audit, Elisabetta Magistretti, will continue to report directly to the Board of Directors.
